Going private is not a simple cost-cutting exercise. It can reduce exchange reporting, concentrate ownership, and give a smaller group more control over long-term decisions. The transaction itself is expensive, financing-dependent, and vulnerable to fairness challenges, shareholder litigation, regulatory review, and delay. Staying public preserves liquid shares, a broad investor base, acquisition currency, employee-equity liquidity, and market visibility, but requires recurring disclosure, audit, internal-control, governance, and investor-relations work.
The right choice depends on whether the company’s future capital needs, stakeholder commitments, and risk capacity justify the continuing public-company burden. There is no universal dollar break-even point: costs vary with public float, shareholder dispersion, transaction structure, leverage, jurisdiction, and lender requirements.
What “going private” and “staying public” actually mean
A public company can become private when its securities are no longer widely held or when the company is delisted and deregisters a class of securities. A tender offer, merger, or reverse split can produce that result. Delisting and deregistration are related but distinct: delisting removes a security from an exchange, while deregistration ends the applicable Exchange Act registration and periodic-reporting obligation after the legal conditions are met.
In the United States, an issuer or an affiliate carrying out a transaction that takes a reporting company private may trigger Securities and Exchange Commission Rule 13e-3. Schedule 13E-3 requires disclosure of the transaction’s purpose, alternatives considered, effects on unaffiliated shareholders, fairness analysis, and the positions of directors who may have conflicts or disagreements. The filing and review process is part of the transaction, not paperwork that can safely be left until closing.

“Staying public” means continuing to maintain the relevant registration, exchange listing, periodic reports, audited financial statements, internal-control certifications, governance arrangements, and investor communications. The exact obligations depend on the company’s filer status, securities class, exchange, size, and exemptions.
The evidence and cost figures discussed below are primarily U.S.-based. A company listed or incorporated elsewhere must apply its own securities, takeover, accounting, labor, tax, and exchange rules.
What a public company gains by remaining public
Broader and more liquid capital access
Public registration allows an issuer to reach more investors than a typical private offering. Public shares also provide a visible market price and can be issued for acquisitions or employee compensation. The SEC has described the trade-off this way: an issuer accepts public-offering obligations partly because it can raise more money from more investors than in a private offering.

Liquidity does not guarantee a low cost of capital or a successful offering. Market conditions, valuation, dilution, sector sentiment, and the company’s execution record still determine whether investors will fund it. Public status nevertheless gives management an established mechanism for raising equity from institutions and retail investors rather than negotiating with a limited pool of private capital providers.
Acquisition currency and commercial credibility
A widely traded stock can be used as consideration in an acquisition, reducing the amount of cash or debt required. The SEC reported that public companies are generally able to raise capital or finance acquisitions more easily than private companies because their stock is liquid and followed by a large aftermarket trading universe.
Public status can also help attract customers, suppliers, business partners, employees, and directors who value transparent financial reporting and a visible market valuation. This is a credibility benefit, not a guarantee: a weak share price, restatement, regulatory investigation, or missed guidance can damage confidence quickly.
Investor and employee liquidity
Exchange trading gives diversified funds, individual investors, and other shareholders a way to buy or sell without waiting for a negotiated private transaction. Employees holding public-company equity can often sell vested shares subject to the company’s trading policies and securities-law restrictions. In a private company, transfers are usually limited by contractual rights, company approval, and the availability of a buyer.
Governance and visibility
Public reporting exposes performance, risks, executive compensation, related-party transactions, and material events to investors and regulators. That scrutiny can constrain short-term behavior, but it can also impose discipline on controls and decision-making. Analysts, activist investors, and the financial press create additional accountability and may identify problems earlier than a small private ownership group would.

The recurring costs and pressures of remaining public
Disclosure, audit, and internal controls
Public companies must prepare periodic reports, maintain disclosure controls, support board and committee processes, and produce audited financial statements. Sarbanes-Oxley Section 404(a) requires management’s annual assessment of internal control over financial reporting. Section 404(b) requires an external auditor’s attestation for companies that are not exempt. The work includes personnel, accounting and compliance systems, documentation, testing, remediation, audit fees, legal review, and board oversight.
A 2025 U.S. Government Accountability Office analysis of 2019–2023 data found that nonexempt companies in its nongeneralizable sample had 19% higher overall Sarbanes-Oxley compliance costs than exempt counterparts. When a company became nonexempt, the median audit fee increased by $219,000, or 13%. These are sample findings, not a budget forecast for a particular issuer; company size, complexity, control environment, auditor, and reporting status can produce very different results.
Control quality is not a simple public-versus-private score
In a GAO sample of restatements from 2022–2023, 73% of exempt companies and 59% of nonexempt companies cited ineffective internal controls or material weaknesses. The sample was not designed to establish a universal rate or prove that exemption causes better controls. It does show why a company should evaluate the quality and business value of its controls separately from the cost of external attestation.

Quarterly expectations, analyst estimates, shareholder activism, public criticism, and share-price volatility can make a long-horizon restructuring harder to explain or finance. Disclosure rules can require management to reveal information before a strategy is fully developed. These pressures have no universal dollar price, but they consume executive and board time and can affect when a company invests, restructures, or exits a market.
What going private can improve
Concentrated control and greater timing flexibility
A completed transaction reduces the number of public shareholders and can give a sponsor, founder group, management team, or other controlling owners more authority over strategy, capital allocation, and leadership. Without quarterly exchange reporting and a continuously quoted share price, management may have more flexibility to pursue a multiyear plan, close a controversial division, or restructure operations without responding to every short-term market movement.
Privacy is relative, not absolute. Lenders, private-equity investors, minority owners, customers, regulators, and employees may still require detailed financial and operational information. Contractual reporting, covenants, board rights, and securities-law obligations can preserve substantial disclosure.
Potential reduction in public-company overhead
Deregistration can remove some SEC reporting and exchange obligations. The savings may include fewer filings, less investor-relations activity, reduced exchange fees, and a smaller public-company compliance infrastructure. The amount depends on what the company can actually discontinue and what its financing sources still demand.

An SEC report cautioned that even after a management buyout or leveraged buyout, a company may continue to bear part of Sarbanes-Oxley’s costs to satisfy capital sources. Banks, bondholders, and private investors may require audit quality, segregation of duties, testing, certifications, and reporting that look much like public-company controls.

Founder and management ownership
Private financing can let entrepreneurs retain more equity and board influence than a public issuance would. A 2022 Annual Review of Financial Economics study reported that entrepreneurs raising a first venture-capital round retained 30% more equity and were more likely to control their boards; late-stage startups were also raising larger amounts in private markets. Those findings concern venture financing, not a universal result for a public-company buyout, but they illustrate why control and dilution are central to the private-market choice.
The costs and risks of taking a public company private
A transaction can take about six months
The SEC has reported that going-private deals routinely take as long as six months. A typical process can involve company counsel, counsel to an independent committee, sponsor or buyer counsel, investment bankers, a fairness opinion, financing providers, SEC review, shareholder communications, and litigation preparation. A longer timetable increases advisory fees, financing uncertainty, employee distraction, and the chance that market conditions change before closing.
One-time fees can overwhelm expected annual savings
The transaction budget normally includes legal work, financial advice, valuation and fairness opinions, financing and lender fees, solicitation or proxy expenses, printing and dissemination, regulatory responses, insurance, and a reserve for shareholder claims. The company may also incur retention or change-in-control costs and expenses for separating systems after the transaction. No source establishes a universal break-even amount; management must model the actual recurring savings against the one-time costs and the value of lost flexibility.

Management buyouts and leveraged buyouts may require substantial equity and debt. Conservative credit markets, rising rates, weak operating results, or a lender’s revised terms can make the financing unavailable or more expensive. Debt increases fixed obligations, covenant restrictions, refinancing exposure, and the consequences of an operating downturn. A transaction that is attractive at one leverage level can become unsafe if financing is delayed or repriced.
Fairness, conflicts, and litigation
Insider-led transactions create an unavoidable conflict question: the people negotiating for shareholders may also benefit as buyers or continuing owners. The independent committee must understand alternatives, obtain competent advice, evaluate the price and process, and document its reasoning. Schedule 13E-3 requires disclosure about fairness, alternatives, and director positions, including disagreements where applicable.
Shareholders who believe the price, process, or disclosures were inadequate may bring class actions or seek judicial review. Litigation can delay closing, increase the reserve required to complete the deal, and force supplemental disclosures or changes to the agreement. A fairness opinion supports the record but does not guarantee a court-approved price or eliminate fiduciary duties.
Loss of liquidity and public-market capabilities
After delisting and deregistration, shareholders may lose an easy exit, a continuously updated market price, and the ability to use public shares for acquisitions or broad employee compensation. The company may find it harder to attract directors, customers, partners, or employees who value a public profile. Re-entering public markets later can be expensive, slow, and dependent on market conditions. The SEC has described these effects as potentially long-term and adverse.

| Decision area | Staying public | Going private |
|---|---|---|
| Capital access | Broad investor pool; public equity and liquid stock can support offerings and acquisitions. | Concentrated private capital; may require more debt, sponsor equity, dilution, or negotiated terms. |
| Recurring obligations | SEC reports, exchange rules, audit, Section 404 controls, governance, disclosure, and investor relations. | Some public obligations may end, but lenders and private investors can require extensive reporting and controls. |
| Control | Ownership is dispersed or subject to public voting, activism, and market scrutiny. | Control can be concentrated among a sponsor, founder, management group, or selected owners. |
| Liquidity | Public trading for investors and employees, subject to trading restrictions. | Limited transfers, negotiated exits, and potentially no readily observable market price. |
| Transaction exposure | No buyout transaction is required, although strategic transactions remain possible. | Six-month-scale timetable is common; financing, SEC review, fairness disputes, and litigation can derail the deal. |
| Strategic visibility | Public profile can help recruiting, partnerships, and customer confidence. | Less market visibility and potentially less public disclosure, with possible effects on stakeholders. |
| Financial risk | Equity volatility and public pressure; leverage depends on the existing balance sheet. | Buyout financing can add leverage, covenants, and refinancing risk. |
How to evaluate a proposed take-private
1. Establish the strategic case
Define the problem the transaction is meant to solve. Is the objective to reduce recurring compliance cost, protect a long-term investment plan, resolve ownership concentration, avoid activist pressure, or enable a restructuring? Quantify the expected benefit by year and identify which benefits are operational rather than merely accounting savings.

- List the public-company costs that would actually disappear.
- Separate costs that would continue under lender or investor requirements.
- Identify strategic projects that public disclosure or quarterly pressure is delaying.
- Test whether changing leadership, investor communication, or the capital structure could solve the problem without delisting.
2. Compare alternatives before negotiating price
Schedule 13E-3 disclosure requires attention to alternatives. Consider a tender offer, merger, reverse split, recapitalization, sale of a division, a controlled-company arrangement, or remaining public with a smaller compliance footprint. The independent committee should evaluate alternatives before it becomes anchored to a buyer’s proposal.
3. Form an independent process
Directors with a buyer-side interest should disclose the conflict and allow an independent committee to lead negotiations. The committee typically selects its own legal and financial advisers, controls the mandate, and keeps a contemporaneous record of meetings, information requests, valuation ranges, counteroffers, and reasons for accepting or rejecting alternatives.
4. Build a financing case that survives stress
Model base, downside, and severe-downside operating cases. Include interest-rate changes, covenant headroom, delayed synergies, working-capital needs, refinancing dates, and the possibility that financing commitments expire before shareholder approval. Identify the minimum equity contribution and the consequences if debt capacity falls below that level.
5. Obtain valuation and fairness analysis
Advisers should test the proposed consideration using methods appropriate to the company, such as trading data, precedent transactions, discounted cash flow, and standalone projections. A fairness opinion is one input to the committee’s judgment; it does not replace an informed process, independent negotiation, or full disclosure of assumptions.
6. Prepare regulatory and shareholder disclosures
Describe the purpose, material terms, financing, effects on unaffiliated holders, alternatives considered, conflicts, board positions, and fairness analysis. Coordinate Schedule 13E-3 materials with the merger agreement, tender-offer documents, proxy statement, or other required filings. Build time for SEC comments and supplemental disclosure.
7. Secure the required shareholder approval or tenders
Determine the voting threshold, tender conditions, appraisal or dissenters’ rights, and treatment of restricted or employee-held shares under the governing law and transaction documents. Shareholder outreach must explain both the premium and the loss of future liquidity; presenting only the headline price can create avoidable credibility and litigation problems.
8. Close, delist, and manage the private company
At closing, implement the merger, purchase the tendered shares, or effect the approved reverse split. Complete exchange delisting and securities deregistration steps, update ownership records, refinance or fund the new capital structure, and establish private-company reporting. Preserve controls needed by lenders and investors rather than assuming that deregistration eliminates them.
How to decide whether staying public is the better path
Use public status when capital and liquidity are strategic assets
Remaining public is usually easier to justify when the company expects recurring equity needs, acquisitions using stock, substantial employee equity grants, or a broad shareholder base that values continuous liquidity. It is also more defensible when customers, partners, and prospective directors treat public reporting as an important trust signal.

Improve the public-company model before abandoning it
- Map every compliance activity to a risk, filing, control objective, or stakeholder requirement.
- Automate evidence collection and close processes where manual work drives cost.
- Clarify guidance and investor communication to reduce avoidable volatility.
- Use the board’s audit and compensation committees to focus management on material risks rather than low-value reporting volume.
- Review whether an available filer or Section 404 exemption applies, with securities counsel and the auditor.
These steps cannot remove statutory duties, but they can reduce waste and make the public-company burden more proportional to the business.
A decision scorecard for the board
| Question | Evidence favoring staying public | Evidence favoring going private |
|---|---|---|
| Recurring compliance cost | Costs are manageable relative to revenue, risk reduction, and access to capital. | Costs are material, persistent, and unlikely to fall through process or exemption changes. |
| Capital plan | Equity issuance, acquisition currency, or broad investor access is needed within the planning horizon. | Funding is available from committed private sources without unsafe leverage. |
| Ownership and control | Dispersed ownership and independent oversight improve credibility and accountability. | A capable owner group has a credible long-term plan and can manage conflicts fairly. |
| Liquidity needs | Investors, employees, and counterparties rely on a tradable security. | Owners accept restricted liquidity and have credible private exit mechanisms. |
| Financing resilience | The company can withstand market volatility without a transaction. | Debt and equity commitments remain sound under downside cases and refinancing stress. |
| Execution and legal risk | A complex, conflicted process would create unacceptable delay or litigation exposure. | The committee, advisers, disclosures, and financing process can withstand scrutiny. |
Boards should score both choices over the same period and use sensitivity analysis rather than a single forecast. A small annual compliance saving cannot justify a transaction that destroys acquisition capacity or adds fragile leverage. Conversely, a company with durable private funding, little need for public equity, and a well-governed ownership group may rationally accept the loss of liquidity to pursue a longer-term plan.
Common mistakes and how to avoid them
Assuming deregistration eliminates all reporting
Private investors and lenders may demand audited statements, quarterly packages, compliance certificates, internal controls, and board reporting. Obtain written requirements from each financing source before counting savings.
Treating the headline premium as the whole shareholder outcome
Compare the offer with the value of remaining public, including expected capital needs, potential acquisitions, dividends, employee-equity effects, and the value of liquidity. Explain the assumptions and the period used.
Underestimating minority-holder and director conflicts
An insider buyer, continuing management stake, or unequal treatment of holders can increase scrutiny. Use an independent committee, independent advisers, complete conflict disclosure, and a documented alternatives analysis.
Ignoring the failed-deal scenario
Model what happens if financing expires, the vote fails, the exchange price moves, or litigation delays closing. Include termination fees, advisory costs, employee retention, lender commitments, and the company’s ability to resume life as a public issuer.
Using sample statistics as a promise
The GAO figures on 19% higher compliance costs, a $219,000 median audit-fee increase, and control weaknesses describe specific nongeneralizable samples. They are useful benchmarks, not predictions for an individual company.

Practical conclusion: match ownership status to the capital plan
Going private is most compelling when the company can fund a carefully governed transaction, tolerate reduced liquidity, and demonstrate that concentrated ownership will create more value than public-market access. Staying public is most compelling when liquid equity, acquisition currency, employee compensation, visibility, and broad investor access are strategic—not merely convenient.
The board’s final recommendation should show the recurring public-company cost, the full one-time transaction budget, financing and refinancing stress tests, stakeholder effects, legal and fairness protections, and a credible alternative path. Without that comparison, “going private” is a reaction to public-market frustration rather than an evidence-based capital-structure decision.
