GameSquare’s fiscal 2025 Form 10-K recorded an $8.1 million reserve against the seller-financed note from its sale of Complexity Gaming and said $0.5 million was expected to be collected through settlement. The reserve is an accounting measure, not evidence that GameSquare paid $8.1 million in cash or that the settlement was complete. Separately, later reporting attributed Complexity’s shutdown decision at the end of 2025 to founder Jason Lake.

What GameSquare’s $8.1 million reserve means

In its fiscal 2025 Form 10-K, GameSquare reported an $8.1 million reserve against the promissory note receivable from the Complexity sale. The filing also said the remaining $0.5 million was expected to be collected through settlement with the buyer.

A reserve against a receivable reflects the amount the company does not expect to recover as originally recorded; it is not itself a cash payment. The filing’s stated expectation of a $0.5 million settlement recovery does not establish that the money had already been received or that settlement had been completed. The available information therefore supports describing an $8.1 million reserve and an expected $0.5 million recovery—not a completed cash loss of the entire note.

How the Complexity sale was financed

GameSquare announced on March 1, 2024, that it had sold NextGen Tech, LLC, doing business as Complexity Gaming, to Global Esports Properties, an investor group led by Complexity founder and CEO Jason Lake. The announced total consideration was approximately US$10.36 million.

Sale consideration Terms announced by GameSquare
Cash at closing US$0.75 million
Seller-financed note Approximately US$9.61 million; three-year term; 3% annual interest; balloon payment due at the end of the term

Thus, most of the announced price was deferred rather than paid at closing. GameSquare’s announcement also provided that it would receive 50% of proceeds from certain Global Esports equity raises above US$500,000, with those proceeds credited against the note principal. That provision tied qualifying fundraising proceeds to reductions in the amount owed; it did not, on the terms stated in the announcement, prohibit fundraising.

Timeline: sale, reserve, and reported shutdown decision

  • March 1, 2024: GameSquare announced the Complexity sale and its seller-financing terms.
  • Fiscal 2024: GameSquare’s 2024 Form 10-K reported Complexity as a discontinued operation and reported a pretax loss of $1.4 million for the year, including $1.0 million in revenue, $0.9 million in cost of revenue, and $1.5 million in operating expenses.
  • September 30, 2025: The Esports Advocate’s later account of GameSquare’s quarterly report says no allowance for credit losses had been recognized on the note as of that reporting period. This point is attributed to that outlet’s description of the filing.
  • December 31, 2025: GameSquare measured the $8.1 million reserve in its fiscal 2025 Form 10-K and said it expected to collect $0.5 million through settlement. The filing also treated Complexity’s historic results as discontinued operations.
  • End of 2025: The Esports Advocate reported that Lake said in a video posted on September 23 that Complexity had decided at the end of 2025 to shut down.

The reserve and the reported shutdown decision concern different matters: GameSquare’s accounting for the receivable, and Complexity’s operating future. The shutdown explanation is attributed to Lake through The Esports Advocate’s reporting; it is not a conclusion stated by GameSquare’s accounting filing.

What was reported about the shutdown

The Esports Advocate attributed the shutdown explanation to Lake, identified in its article as Complexity’s founder and former CEO. As quoted by that outlet, he said: “We surveyed the landscape, surveyed where the business was at, and prospects for raising capital to pay off the seller-held note, and decided the best thing to do was to shut it down in an orderly and professional way,” Lake said.

The quotation links the shutdown decision, in Lake’s account, to the business outlook and prospects for raising capital to pay off the seller-held note. It should be read as his explanation as reported by the outlet, not as an independently verified transcript or as a finding in the 10-K.

What is—and is not—established about the note

The original sale announcement described a three-year note. The Esports Advocate later reported that filings put the principal at about $9.5 million and the due date at February 28, 2027. Those later details are attributable to the outlet’s account of subsequent filings; they are distinct from the approximately $9.61 million note described in GameSquare’s March 2024 announcement.
