What Fairchild acquired in 2003
The deal covered the commercial unit of Raytheon’s RF Components Division. Fairchild described the purchase as an immediate entry into advanced radio-frequency markets, including wireless LANs and handset power amplifiers. The acquired technology also included gallium-arsenide (GaAs) millimeter-wave monolithic microwave integrated circuits (MMICs). Fairchild’s 2003 Form 10-K records the transaction’s completion and consideration; its 2004 factbook describes the strategic fit.
- Raytheon’s GaAs wafer-foundry agreement and access to foundry and support services at Raytheon’s Andover, Massachusetts facility.
- An equity stake in WIN Semiconductor Corporation.
- More than 30 Raytheon designers, test engineers and business-development employees, according to EE Times’ 2003 report on the transaction announcement.
How the 2003 RF deal differs from the 1997 purchase
Fairchild had bought a separate Raytheon business years earlier: Raytheon Semiconductor, Inc. The 1997 acquisition covered a broader analog and mixed-signal business, rather than the commercial RF Components unit acquired in 2003.

Raytheon disclosed the 1997 sale in its 1998 annual report. The very different prices reflect distinct transactions and business perimeters; the $120 million figure is not the price of Raytheon’s RF unit.

Accounting treatment and later RF exit
Fairchild’s 2004 Form 10-K reported a $2.1 million non-recurring in-process research and development charge associated with the transaction. That accounting charge is separate from the approximately $9.5 million cash consideration. Fairchild’s 2004 Form 10-K reports the charge.
In 2007, ANADIGICS reported acquiring Fairchild’s RF design team, fixed assets, certain leases, software and IP licenses for $2.3 million as Fairchild exited its RF Group business. This was a later transaction involving Fairchild’s RF assets, not part of the 2003 purchase from Raytheon. ANADIGICS’ 2007 filing describes that acquisition.
