ERP overruns are usually contractual control failures before they become project-management failures. The strongest protection is a scope baseline tied to objective acceptance tests, milestone payments that are withheld until deficiencies are fixed, written change orders priced before work starts, and a ceiling on every time-and-materials (T&M) commitment. Use fixed-fee milestones when the work is knowable; reserve capped T&M for discovery or genuinely uncertain tasks; and give the buyer audit, replacement, service-credit, and step-in rights.
Why ERP contracts run over budget
An ERP program combines software configuration, integrations, data conversion, reports, security, training, testing, infrastructure and business-process decisions. If the contract describes only licenses and a broad implementation promise, the parties can disagree about what “complete” means. The supplier treats missing detail as extra work; the buyer treats it as included work. Each disagreement becomes a change request, delay or disputed invoice.
A South African ERP specification identifies poor governance, inadequate scope definition and a lack of phased funding control as causes of cost overruns and procurement delays. Its remedies—milestone-linked payment, framework contracting and formal change control—are useful design principles in any jurisdiction, but the exact thresholds must fit your project and governing law.

Put the operational outcome in the statement of work
The statement of work (SOW) should describe the result the buyer must be able to operate, not just the activities the supplier will perform. Include:

- Reports, dashboards, forms, workflows and regulatory requirements.
- Training, documentation, knowledge-transfer and post-go-live support deliverables.
- Milestone dates, dependencies, buyer responsibilities, exclusions and the definition of “complete.”
State that work reasonably necessary to achieve the stated operational outcome is included unless the SOW expressly excludes it. This prevents a supplier from pricing a technically narrow task while omitting the work needed to make the delivered process usable.
Make assumptions and dependencies visible
Require the supplier to list every commercial and technical assumption in its proposal. Silence should not create an automatic route to an extra charge. Attach a responsibility-assignment matrix identifying who supplies data, decisions, environments, test users, subject-matter experts and approvals. Maintain a dependency log with an owner, due date and consequence for each dependency. If a buyer-caused delay genuinely changes cost, the supplier must still document the affected task and obtain a signed change order.
Define deliverables and evidence
For each deliverable, specify its format, required content, test data, performance level and acceptance evidence. “Configure the purchasing module” is not an acceptance criterion; “approved purchase orders route to the correct cost centre, enforce the stated approval thresholds and produce the listed audit report in the test environment” is testable.

| Model | Best fit | Cost-control strength | Main trade-off |
|---|---|---|---|
| Fixed-fee milestones | Defined phases with stable requirements and measurable outputs | Highest budget certainty; payment can be tied to acceptance | Requires detailed scope; poorly written exclusions can trigger disputes |
| Capped T&M | Discovery, data profiling or approved work whose effort cannot yet be estimated reliably | Buyer pays for actual effort but has a hard ceiling and audit trail | Requires close oversight; the ceiling must be increased formally for more work |
| Hybrid phases | Most ERP programmes: known implementation work plus uncertain discovery or changes | Fixed milestones protect the baseline while capped T&M preserves flexibility | Two charging methods must use consistent definitions, rates and controls |
Compare models on scope certainty, total-cost control, labor-efficiency incentives, ease of changing requirements, audit burden, cash-flow timing, acceptance leverage, schedule risk and exit or step-in rights. A practical hybrid commonly uses fixed-fee implementation milestones and capped T&M for discovery and authorized changes, with one locked rate card and the same invoice and audit rules for both.
3. Put a real ceiling on time-and-materials work
Under 2 CFR 200.320, T&M may be used only after determining that no other contract type is suitable. The contract must include a ceiling price that the contractor exceeds at its own risk, and the buyer must apply a high degree of oversight. The regulation warns:

“Because this formula generates an open-ended contract price, a time-and-materials contract provides no positive profit incentive to the contractor for cost control or labor efficiency.”
Write the ceiling as a not-to-exceed amount for a defined phase, not as a vague estimate. Require all of the following:
- Named labor categories, minimum qualifications and a locked hourly rate card.
- Pre-approved hours by task or work package.
- Weekly burn reports showing hours used, cost incurred, forecast to complete, remaining ceiling and variance.
- Written authorization before any ceiling increase or work outside the approved task list.
- No payment for unapproved hours, duplicate work, unsupported expenses or idle time.
- Invoice detail identifying each person, date-level hours, task, rate, cumulative spend and remaining ceiling.
A supplier that reaches the ceiling before completing the authorized work must stop and notify the buyer; it cannot continue billing on the assumption that approval will be granted later.
4. Make change control a gate, not a conversation
Define a change broadly enough to catch cost movement: any alteration to scope, configuration, interface, data volume, report, milestone, resource assumption or acceptance criterion. The contract should require a written change request containing:
- Description, reason and business impact.
- Alternative solutions, including the option to do nothing.
- One-time fee, recurring fee, schedule effect and resource impact.
- Dependencies, risks, testing consequences and funding source.
- Effect on the affected milestone and the overall implementation baseline.
No changed work starts until the authorized governance body signs the change order. Create a fast path for genuinely minor changes, but set a monetary or effort threshold, name the approver and preserve an audit trail. A project manager’s email or meeting agreement should not silently amend the SOW.

5. Tie payment to objective acceptance
Use acceptance tests and a cure process
For every milestone, state the review period, acceptance criteria, permitted rejection reasons, cure period and retest method. Avoid deemed acceptance for silence where practical. A workable clause is:
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problems“Buyer may reject a Deliverable that fails the applicable Acceptance Criteria. Supplier shall correct and resubmit the Deliverable at no additional charge within 10 business days. Payment is not due until written acceptance.”
Define a material deficiency separately from a cosmetic defect, and allow partial acceptance only when the contract states the resulting payment and operational consequences.
Retain money through go-live
Nevada County’s 2026 ERP RFP requires a final acceptance period of at least 30 days after go-live and a final-acceptance milestone of at least 5% of phase implementation fees. It also specifies a 45-day post-acceptance warranty. These are negotiation benchmarks, not universal defaults: a safety-critical or highly integrated deployment may justify a longer period or larger retainage, while a small, low-risk phase may justify less.
Portland Public Schools’ term sheet states that fixed-price milestone payments are withheld until the proposer remediates all deficiencies. This gives the buyer leverage without relying on a damages claim after the money has already been paid.

6. Control rates, expenses and the people doing the work
Lock the rate card
Attach the implementation rate card to the signed contract and prohibit unilateral changes. Require expense receipts and prior approval for travel, subcontractors, equipment and other pass-through costs. Portland Public Schools requires invoice-level T&M detail and caps later rate increases at 5% or the Consumer Price Index, whichever is lower, for five years. Use that as a ceiling example, then set a period and index that match your market and budget.
Protect key personnel
List key people by name, role, allocation and minimum experience. Require buyer approval before reassignment, an equal-or-better replacement, a documented handover and no-charge onboarding. PPS requires substitution within 15 business days and bars billing replacement staff until they are fully onboarded and productive. Add a remedy for unapproved departures, such as withholding the affected milestone or requiring extra transition support at the supplier’s cost.
7. Add early-warning duties and phased funding
Release budget at stage gates tied to approved deliverables, risk review and a decision to continue. Require prompt notice when forecast spend threatens a phase budget or the overall T&M ceiling. PPS uses a five-business-day notice period, with an explanation and remediation plan, when projected spend may exceed a phase budget or overall not-to-exceed amount. The notice should identify the cause, amount at risk, options, decision date and the person accountable for the forecast.
Do not let a supplier defer bad news until the invoice arrives. Make failure to provide timely notice a contractual breach that limits recovery of avoidable excess cost.
8. Make invoices auditable and recover overpayments
Reserve audit rights over invoices, time records, rate cards, subcontractor charges, change orders and delivery evidence. Require records to be retained for the period that applies to your buyer. UK public-sector terms published by the Crown Commercial Service in 2025 require seven years of contract records and allow access to accounts, systems, sites and staff, with repayment of overpayments and correction after audit.

Specify an invoice format that shows:
- Person, role, date, hours, task description and applicable rate.
- Milestone or change-order reference and written acceptance evidence.
- Current-period cost, cumulative cost, approved ceiling and remaining balance.
- Each reimbursable expense with the required receipt and approval.
Give the buyer an express right to withhold disputed amounts, demand repayment and set off verified overcharges against future invoices. Preserve access to subcontractor records through the prime contract.
9. Define service levels, remedies and recovery rights
Measure operational performance
For the live system and critical testing periods, define availability, response time, resolution time, batch-window, integration and data-quality targets. State the measurement method, reporting frequency, exclusions and maintenance windows. A South African Bureau of Standards specification gives a 99.9% availability objective excluding scheduled maintenance; use it as a benchmark only after checking your architecture, support hours and planned maintenance.
Make remedies usable
Set service credits or fee refunds for missed targets, a cure period, escalation steps and termination triggers for repeated failure. Credits should be automatic from the service report, not dependent on a new negotiation. Add obligations for knowledge transfer, current documentation, tested disaster recovery and business continuity. Step-in rights let the buyer or a replacement provider take over critical work when the supplier cannot recover, while termination assistance protects data, configurations and open work packages.
10. Cover warranty, indemnity and subcontracting
Require the delivered system and services to conform to the SOW and functional requirements for a defined post-acceptance warranty. Specify correction times, who pays for retesting and what happens when a defect recurs. Nevada County’s example combines a 45-day warranty with indemnity for vendor-caused loss, subject to its stated public-entity negligence exception.
Flow the same confidentiality, security, audit, record-retention, warranty and transition obligations to subcontractors. Keep the prime supplier fully responsible for subcontractor performance; the buyer should not have to coordinate multiple vendors to recover the cost of a failed integration.
A practical contract-review sequence
- Baseline the outcome: approve the SOW, deliverables, assumptions, exclusions, responsibility matrix and dependency log.
- Choose the charging method: use fixed milestones for knowable work; place discovery and approved uncertainty under a not-to-exceed T&M ceiling.
- Set the payment gate: attach acceptance tests, cure periods, final retainage and the post-go-live warranty.
- Install change governance: require priced, funded and signed change orders before work begins.
- Lock commercial inputs: approve rates, expenses, key personnel, substitution rules and invoice evidence.
- Monitor continuously: review weekly burn, milestone status, risks, dependencies and five-day (or agreed) overrun notices.
- Preserve recovery options: include audit, set-off, service credits, continuity, step-in, termination assistance and subcontractor flow-downs.
These drafting patterns come from public procurement and regulatory examples, not jurisdiction-specific legal advice. Have counsel align indemnity, liability limits, liquidated damages, data protection, tax and public-procurement provisions with the governing law and your procurement rules. The central test is simple: before a supplier spends more, can the buyer identify the authorized scope, price, evidence, acceptance condition and funding source? If not, the contract is still exposing the project to avoidable overruns.
