To compete for a defense construction Other Transaction (OT), first confirm that the notice actually uses the construction authority in 10 U.S.C. § 2808a; then shape your response around the government’s stated outcome, prove you can deliver it, and negotiate terms that make performance and acceptance clear. This is not simply a faster version of a conventional FAR construction contract: the solicitation and agreement control the process, and an OT does not remove the need for competition, lawful funding, approvals, or careful contract-like discipline.

Section 2808a can cover facility repair and construction, including planning, design, engineering, prototyping, piloting, and execution. A conditional follow-on route exists, but neither winning an initial transaction nor joining a consortium guarantees later work.

What is a defense construction OTA?

A defense construction OT is a transaction under which the government may arrange a covered facility repair or construction project outside the ordinary contract, cooperative-agreement, or grant forms. Section 2808a(a) of Title 10 authorizes transactions for facility repair and construction projects, including planning, design, engineering, prototyping, piloting, and execution. The statute uses “transaction”; “OTA” is common shorthand for Other Transaction Authority, but it should not be taken to mean every construction effort follows the same consortium or prototype process.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The authority matters because it defines the legal pathway, while the notice and negotiated agreement determine what a particular bidder must submit and what the selected performer must do. A construction OT might cover a defined improvement, an early pilot, or a broader delivery effort. Do not infer scope, evaluation factors, standard terms, or the existence of a follow-on award from the word “OTA” alone.

Distinguish a construction OT under § 2808a from a prototype OT under 10 U.S.C. § 4022, other OT authorities such as §§ 4021 or 4023, and a conventional FAR-based construction contract. The DoD/OUSW(A&S) Guide to Prototype Other Transactions, Version 1.0, identifies construction OTs under § 2808a, but its Appendix D, “Construction OT,” remains a placeholder. The guide’s prototype-OT discussion is useful context, not a universal construction-OT solicitation or clause book. The specific notice, agreement office, and service-level instructions govern.

How do I qualify a construction OT opportunity?

Before spending time on a proposal, establish the authority, actual project scope, and conditions for performance. A notice may use OT language while requiring a response format or process unlike the one you expected; ask the designated government contact to resolve material uncertainty rather than filling gaps with assumptions.

Confirm the authority and project

  • Ask whether the government is pursuing the requirement under § 2808a, another OT authority, or a conventional contract.
  • Identify whether the effort is repair, new construction, a facility improvement, planning and design, a pilot, or a combination. Confirm the site and the specific outcome the government needs.
  • Ask what authority, appropriation, site authorization, environmental or permitting status, and § 2853 constraints apply. Section 2808a is subject to § 2853 and other authorization and funding rules.
  • Determine whether a later production effort is contemplated and, if so, how the government proposes to define a “complete and useable facility” or “complete and useable improvement to a facility.”

Clarify the conditions that affect your ability to perform

Ask about expected transaction value, approval route, security posture, labor and insurance requirements, and performance location. Confirm site access, government-furnished information or property, and any interfaces that affect schedule or price. These details can change whether you should bid, which partners you need, and what assumptions must be stated in your response.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Funding also needs to fit the statutory pathway. Section 2808a(b) allows military-construction, operation-and-maintenance, or research, development, test, and evaluation (RDT&E) amounts, subject to the statute, § 2853, and other authorization rules. Do not treat the availability of one of these appropriation categories as proof that a particular project has been funded or is ready to proceed; ask the government to confirm the applicable funding and authorization conditions.

What does the government look for in an OT proposal?

There is no universal construction-OT scorecard established by § 2808a or the DoD guide’s placeholder construction appendix. Use the notice’s actual evaluation criteria, submission instructions, and questions-and-answers as the controlling checklist, and make it easy for evaluators to trace each requirement to evidence in your response.

Create a compact compliance and evaluation matrix before drafting. For each requirement, record the evidence you will provide, the person responsible for it, the main risk, and the section or slide where the answer appears. Map criteria to verifiable proof rather than broad claims: comparable facility work, named personnel, a credible schedule, a supported cost basis, safety and quality controls, supply-chain readiness, and an acceptance plan.

Proposal area What to make clear Useful evidence to include
Mission outcome What facility need the work addresses and how the government can tell the outcome has been achieved. Defined scope, measurable success criteria, user needs, and proposed acceptance evidence.
Technical and construction approach How the design and execution method fit the site, materials, interfaces, and operational requirements. Design basis, constructability rationale, methods, materials, commissioning, and maintainability approach.
Prototype or pilot What uncertainty the pilot is intended to reduce and what decision follows the results. Test, inspection, and acceptance plan; decision gates; and evidence for a down-select or expansion decision.
Schedule Whether the proposed sequence is achievable, including dependencies outside your direct control. Critical path, site access, permits, long-lead items, interfaces, and a recovery plan.
Cost and price What the estimate includes, what assumptions it depends on, and what is fixed versus still to be negotiated. Basis of estimate, assumptions, escalation, options, contingencies, and scope boundaries.
Risk and controls Who owns significant safety, site, technical, security, environmental, labor, supply, and schedule risks. Risk owners, mitigations, quality controls, reporting, and change-management approach.
Team and governance Who is accountable to the government and how delivery decisions will be made. Key personnel, subcontractor roles, reporting cadence, records, change control, and escalation path.
Data, intellectual property, and security What information will be delivered, what rights are proposed, and how sensitive material will be handled. Background and foreground rights, technical data deliverables, cybersecurity approach, and applicable classified-information or CUI handling.

Follow the response format the notice actually requests. An OT solicitation may use a request for solutions, a white paper, a presentation, negotiation, or another format; do not assume a conventional FAR proposal structure applies. If the government requests a short first-stage response, prioritize the required decision evidence and observe its page, file, and content limits rather than attaching an unrequested full proposal.

How should I present a credible delivery plan?

Show a connected path from the government’s need to an accepted facility outcome. A technically attractive idea is not enough if the site plan, schedule, cost assumptions, risk owners, or acceptance evidence are missing.

Explain the work as a deliverable, not just an idea

Describe the intended facility result, the design basis, and how the construction method will work in the actual setting. Identify commissioning and maintainability needs, as well as interfaces with existing operations or other work. If the effort is a pilot, say what is being learned or de-risked, how that learning will be measured, and what result would justify continuing, changing course, or stopping.

  • One-Handed Loading - Keep one hand free with a 1/4 in. hex chuck that accepts 1 in. bit tips

Make schedule and cost assumptions visible

Present the critical path and its dependencies, including access, permits, long-lead materials, labor availability, and government or third-party interfaces. State who owns each significant dependency and what recovery action is available if it slips. A schedule without these dependencies can make a delivery promise look more certain than it is.

Explain the estimate in a way the agreement office can negotiate and administer. Separate the supported basis of estimate from assumptions and unresolved scope; identify escalation, options, contingencies, and which elements you propose to fix versus negotiate. Do not imply that an unpriced or unconfirmed condition is already included. If the notice supplies a required pricing format, use it and identify any necessary clarification through the stated process.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Connect risk controls to the responsible people

For each material risk, identify the owner, mitigation, and evidence that will show whether the mitigation is working. Address safety, quality, weather, site conditions, labor, supply chain, security, environmental matters, technical uncertainty, and schedule exposure where relevant to the project. Name the people accountable for key functions and explain the reporting cadence, records, change control, and escalation route.

Do not treat data rights and security as paperwork to settle after technical selection. Identify proposed background and foreground intellectual-property rights, technical data deliverables, cybersecurity responsibilities, and handling of classified information or controlled unclassified information (CUI) if applicable. State assumptions that affect what the government can use, maintain, or share; obtain counsel review where the rights or security obligations are consequential.

Should I bid alone, team, or join a consortium?

Choose the structure that makes the project more deliverable, not the one that merely adds names. A prime can bid alone when it can credibly cover the required work and risk; teaming or a consortium may help when important capabilities, capacity, or past performance are missing.

The DoD/OUSW(A&S) guide says, “The Government may suggest that potential performers team together at any point in the process,” and says the government should not mandate collaboration. It also explains that competition may occur at consortium level or among participants for an individual prototype or subproject, depending on the circumstances. Confirm whether the opportunity is competing for consortium membership, a specific project, or both, and how the agreement office will document participant selection.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When a team adds real capability

A partner may close a gap in design authority; civil, structural, or mechanical, electrical, and plumbing engineering; prototype or pilot delivery; site logistics; local execution capacity; cybersecurity or security; bonding and insurance; quality control; or comparable facility performance. Name the actual work each member will perform and how that work reduces a delivery risk or provides a required capability.

Avoid opaque pass-through structures, unassigned responsibilities, and a prime whose qualifications do not match its obligations. Explain who owns the technical solution, who is accountable to the government, who carries schedule and safety responsibilities, and how members coordinate changes, cost approvals, data, intellectual property, and security. A consortium label by itself does not establish that the team can perform.

Questions to resolve before signing a teaming agreement

  • Who controls the solution and who is responsible to the government for delivery?
  • Are roles, workshare, pricing, data and intellectual-property rights, and conflicts of interest clearly addressed?
  • Can every member meet applicable representations and security, ethics, labor, insurance, and performance obligations?
  • What happens if scope changes, a milestone is rejected, a member cannot perform, or the government does not make a follow-on award?

How does competition work for a construction OT?

Competition remains a central issue even when the process is not a conventional FAR procurement. The DoD guide states that § 4022 prototype-OT authority calls for competitive procedures “to the maximum extent practicable” and says the government should retain a document trail showing when and how the competition requirement was met. That is guidance about prototype OTs; do not assume every procedure it describes automatically governs a § 2808a construction OT. Follow the notice and ask how the agreement office will handle selection and document competition for this effort.

The guide describes practical prototype-OT patterns such as requests for solutions, presentations, white papers, multiple awards, and later competitive milestones. These are possibilities, not guaranteed construction-OT formats. A notice may use a different staged process, so track its deadlines, required exchanges, and submission rules precisely.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Where the government uses multiple prototype awards, the guide says they can help mitigate technical risk, enable riskier approaches, maintain alternate sources, and sustain competition until success is clearer. For a bidder, the practical implication is to propose early evidence that supports a decision: what can be inspected or tested, what success looks like, and when the government can decide whether to continue, change, or down-select. Do not promise a later production award as the expected result.

Keep a complete, orderly record of the competition and your commitments. Preserve the notice, questions and answers, response versions, presentations, evaluation communications, negotiation record, signed agreement and modifications, test and inspection records, acceptance evidence, and closeout material. The evidence should make it possible to establish what you offered, what the parties agreed, what was delivered, and what the government accepted.

Can a construction OT lead to follow-on work?

It can, but only if the statutory conditions and the agreement support that route; there is no automatic entitlement to later work. Under § 2808a(c), the original transaction may provide for a follow-on production contract or transaction without further competition only if competitive procedures were used to select the original participants and those participants successfully completed a complete and useable facility or a complete and useable improvement to a facility.

That makes follow-on eligibility something to clarify before selection, not a sales assumption. If the government is considering the route, ask what counts as completion and useability, what evidence will establish acceptance, and what later award and pricing logic can be stated in the notice or agreement. Preserve delivery, inspection, test, acceptance, and closeout records that demonstrate what was completed. The government’s ability to use the route does not mean it must do so.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What should I negotiate before signing?

OT flexibility is not a reason to leave performance mechanics vague. The point is not to eliminate discipline; it is to let the parties tailor discipline to the project. Before signing, ensure the agreement allocates responsibilities, decision rights, payment conditions, and remedies clearly enough for both sides to administer the work.

  • Funding and payment: Confirm the funding structure, payment conditions, milestones, and evidence needed for payment.
  • Inspection and acceptance: Define review points, acceptance criteria, rejection or correction procedures, and the records that establish completion.
  • Scope and changes: Set out how changes are proposed, priced, approved, documented, and reflected in schedule and deliverables.
  • Schedule and performance: Identify milestones, dependencies, reporting, and how delays or missed decision gates will be handled.
  • Quality, safety, and warranties: Specify applicable plans, inspections, correction obligations, warranties, and the division of responsibilities.
  • Stop-work, termination, and closeout: Clarify who can direct a pause or termination, payment and disposition of work in progress, records, and transition obligations.
  • Insurance, indemnity, labor, and site rules: Confirm what coverage and obligations apply to the work, location, and team members.
  • Data, intellectual property, and security: Agree on deliverables, rights, safeguarding, access, and any applicable security requirements.
  • Audit, records, and disputes: Establish recordkeeping and review rights, escalation steps, and the process for resolving disagreements.

The DoD guide advises consulting legal counsel on statutory, regulatory, and policy requirements. Have counsel review the notice and proposed agreement, particularly funding and approval conditions, competition documentation, data rights, insurance, labor, security, changes, disputes, and follow-on language.

What legal and funding checks should I make?

Do not equate the OT label with an exemption from every legal or oversight requirement. The DoD guide states that procurement-specific laws such as the Competition in Contracting Act, the Contract Disputes Act, and the Truthful Cost or Pricing Data Act do not apply to Prototype and Follow-on OTs. That statement concerns the prototype and follow-on OT context described by the guide; it is not a blanket conclusion about every construction OT or every obligation that may apply to your project.

Section 2808a requires advance congressional notification. No later than 14 days before entering into a transaction, the Secretary concerned must notify the congressional defense committees electronically. The notification includes the project title, description and location, estimated cost and funding source, recipient or contractor if known, and the reason for using § 2808a instead of the ordinary military-construction process. This is a government notification requirement, not a bidder’s proposal deadline.

Keep competition, ethics, procurement-integrity, funding-legality, and approval questions active throughout the process. Confirm applicable § 2853 and service-level approvals with the government; do not infer an approval threshold or schedule from the statute summary. The authority’s flexibility does not replace disciplined agreement terms, accurate representations, or counsel’s review.

What should I do before submitting?

Use this final check to catch preventable gaps before the response deadline. Tailor it to the notice rather than treating it as a substitute for the notice’s instructions.

  • Confirm the authority and ensure the proposed project fits the described repair or construction scope.
  • Check that funding, authorization, site access, permitting, environmental conditions, and security assumptions are visible and addressed.
  • Map every stated requirement and evaluation factor to a specific proof point and response location.
  • Verify that the proposed team has defined roles, capacity, and responsibility for the work it is assigned.
  • Reconcile scope, schedule, price assumptions, risk controls, data rights, and acceptance criteria across all response sections.
  • Use only the required submission format and follow all stated page, file, deadline, and communication rules.
  • Do not assume proposal development will be reimbursed, consortium participation is mandatory, or follow-on work is automatic.
  • Arrange legal review of material authority, agreement, funding, security, insurance, labor, intellectual-property, and follow-on issues.

How should a small construction company approach the opportunity?

A smaller firm can be competitive when its response demonstrates a credible, bounded role and a delivery structure that covers the project’s real requirements. Size alone does not establish that a company is qualified or disqualified; the notice, project obligations, and any applicable eligibility conditions determine that.

Start by identifying what the company can perform directly and where it needs another party: for example, specialized engineering, site execution capacity, bonding or insurance, security capability, or comparable project experience. If teaming is the answer, show how the partner’s contribution is operationally necessary and how accountability stays clear. Avoid presenting a long partner list as a substitute for an integrated plan.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Review the capacity needed to carry the proposed schedule, pricing, and risk before committing to a bid. A technically suitable project may still be a poor fit if the firm cannot meet insurance, security, labor, or financial obligations or cannot manage the cash flow and change process in the proposed agreement. Raise material uncertainty with the government contact and assess it with counsel before signing.

Frequently Asked Questions

Does the 14-day congressional notice period set my proposal deadline?

No. Section 2808a’s 14-day period applies to the Secretary’s notification to congressional defense committees before entering the transaction, not to the bidder’s response window. Use the deadline and submission instructions in the specific notice.

Does Section 2808a automatically make a project a small-business set-aside?

The construction-OT authority described here does not itself establish a small-business set-aside. Check the solicitation for any eligibility restriction, set-aside, or other participation condition before deciding whether your firm can submit.

Can the government pay me for preparing an OT proposal?

Do not assume proposal-development costs will be reimbursed. Unless the notice or a separate written arrangement expressly provides otherwise, treat bid-preparation expense as your company’s responsibility.
