Negotiate a cloud GPU agreement as an operational exit plan, not just a price sheet. Put GPU SKU, region, capacity, uptime measurement, outage credits, export formats, egress costs, suspension limits, and termination treatment in the signed order documents. Public provider terms often leave these points qualified, discretionary, or dependent on payment, so an enterprise buyer should make each one measurable and enforceable before committing spend.
Start with the clauses that protect a GPU workload
GPU contracts fail in ways that ordinary compute contracts may not. A workload can be technically “available” while the required accelerator SKU is out of stock, provisioning repeatedly fails, a checkpoint cannot be restored, or network performance makes distributed training unusable. A useful agreement therefore separates four risks:
- Availability: whether the contracted GPU service can be reached and used.
- Capacity: whether the specified GPU model, quantity, region, and topology can actually be provisioned.
- Continuity: whether data, checkpoints, images, logs, and configuration can be recovered after an incident or provider change.
- Exit: whether you can stop buying, retrieve content, and receive a fair treatment of prepaid or reserved capacity.
Attach a schedule identifying every GPU SKU, region, quantity, networking requirement, storage tier, and service dependency. The SLA should incorporate that schedule rather than referring vaguely to “the service.” Also specify which document controls if the order form, SLA, online terms, console language, and procurement form conflict.

Make uptime measurable and GPU-specific
An uptime percentage is meaningful only when the contract explains what is measured, where, and how a customer proves a failure. Ask for separate metrics for service availability, GPU capacity, provisioning, and performance degradation.

Define the service and measurement window
State the exact endpoint or control-plane operation that must work, the monitoring region, the measurement interval, and the monthly calculation. For a training cluster, “available” might require successful allocation of the contracted GPU count, attachment of required storage, and access to the documented network fabric—not merely an operational web console.
Define a capacity shortfall as its own event. If a contract promises 64 accelerators but only 48 can be allocated, that should not be treated as ordinary availability. Likewise, define failed provisioning, repeated instance replacement, and material performance degradation separately. A workload may remain connected while delivering no useful training throughput.
Control exclusions and maintenance
List excluded events narrowly and require evidence for each exclusion. NVIDIA’s published SLA, for example, excludes customer devices or software, public-internet and telecommunications problems, force majeure, customer actions, and planned or unplanned maintenance. Those categories are negotiation points: require the provider to identify the affected dependency, show incident timestamps, and demonstrate that the exclusion caused the failure.

Require advance notice for planned maintenance, a maximum maintenance duration, and a rule for emergency work. Do not allow an “unplanned maintenance” exclusion to erase an unlimited portion of the measurement period. If maintenance consumes the customer’s reserved capacity or interrupts a training run, specify whether it counts toward downtime or earns a separate service credit.
Set evidence and claim mechanics
The agreement should name the monitoring source, incident-ticket process, deadline for submitting a claim, and information the provider must supply. Ask for provider-generated logs, start and end timestamps, affected resources, and the calculation used. Make credits automatic where the provider’s telemetry establishes the event; a customer should not have to discover an outage and file paperwork for every incident.

Design credits as a real remedy
Credits should compensate the contracted GPU commitment, not just a small on-demand line item. Define progressive tiers, cumulative treatment for multiple incidents, and a separate remedy for chronic failure.
Specify the calculation base
AWS’s published EC2 SLA calculates credits as a percentage of the affected monthly billing. That approach is useful only if “affected” includes the reserved or committed GPU capacity that could not be used. Ask whether the base is hourly usage, the monthly minimum, a reservation charge, storage and networking consumed during the incident, or the entire affected order.

If the provider cannot allocate the agreed GPU quantity, capacity-shortfall credits should apply even when no instance was successfully launched.
Use progressive tiers and escalation
A practical schedule can increase credits as monthly availability falls, then add a separate trigger for a single prolonged incident. Include an automatic credit for each qualifying event, cumulative credits when several events occur, and a right to terminate or seek additional damages after repeated failures. The contract should say whether credits are the exclusive remedy; if so, negotiate exceptions for confidentiality breaches, data loss, gross negligence, and a chronic service failure.
Do not accept discretionary language for a critical workload. Lambda’s terms state that “Lambda may, at its sole discretion, choose to offer credits for the Services.” Those terms also restrict credits to specified services, make them non-transferable, and generally cause them to expire after 12 months. If your agreement uses similar language, replace discretion with an objective entitlement, identify every covered GPU service, permit application against the affected commitment, and extend the validity period through the transition window.

Credit administration details
- State the currency and tax treatment of a credit.
- Allow credits to offset future committed charges, not only variable usage.
- Prohibit unilateral cancellation or expiration while an incident dispute is open.
- Require a statement showing the event, eligible amount, tier, and remaining balance.
- Provide a cash refund or termination right when the provider cannot deliver the contracted capacity for a defined period.
Turn portability into an operational schedule
“Your data is portable” is not a migration plan. List every artifact needed to recreate the workload elsewhere, the export format, the retrieval method, the provider’s assistance, and the cost ceiling.

Include raw datasets, transformed datasets, model weights, optimizer state, checkpoints, container images, package manifests, infrastructure-as-code, scheduler definitions, secrets references, logs, metrics, audit records, metadata, and IAM or role mappings. Specify whether snapshots are consistent and restorable, whether sparse or encrypted volumes can be exported, and how keys are transferred or re-encrypted.
Require documented formats and an automated API or command-line path. A provider should not satisfy portability by offering screenshots or a proprietary archive that cannot be imported. State the API version, schema, rate limits, checksum method, and a test export that the customer can validate before a termination notice.
Address interoperability and dependencies
Google Cloud’s service-specific terms include interoperability and export concepts, but the practical scope is determined by the applicable documentation, fee pages, console behavior, and order. Incorporate the exact export capabilities into the order and identify dependencies that are not portable, such as proprietary networking, managed schedulers, or vendor-specific image formats.
Map each dependency to a substitute: a standard container image, an open checkpoint format, a portable infrastructure definition, or a documented manual step. Require disclosure of any artifact that cannot be exported and a reasonable conversion path.

Control egress and assistance
Negotiate an egress-price cap or waiver for an agreed exit window. The window should be long enough to copy large datasets and checkpoints, with no throttling that makes the contractual right impractical. Include a paid transition-assistance period covering export commands, identity mapping, image conversion, network diagrams, and troubleshooting. Define staffing, response times, and rates in advance.
Protect termination, refunds, and retrieval
Termination language determines whether a service failure becomes an expensive lock-in event. Ask for termination for convenience after a minimum initial period, termination for cause after a cure period, and an immediate right to act after a severe or repeated outage.
Unused commitments and prepaid amounts
State how unused reservations, committed-use amounts, deposits, and prepaid credits are treated. Options include a pro-rata refund, transfer to another account or region, conversion to migration services, or a credit that remains usable during the transition window. Do not assume a refund exists: Lambda’s terms say payment obligations are non-cancelable and fees paid are non-refundable unless the agreement or order expressly provides otherwise.
Retrieval window and payment disputes
Set a minimum retrieval period after termination, with read-only access and no deletion while a good-faith invoice dispute is pending. Oracle’s Cloud Services Agreement says content will be available for retrieval for at least 60 days after an order’s Services Period ends. Treat 60 days as a floor to evaluate, not an automatic guarantee for your workload; large datasets may require a longer, negotiated period.
AWS customer terms condition retrieval of content on payment of amounts due. If that condition appears in your agreement, negotiate a narrow exception for disputed charges and require continued access to undisputed content while the dispute is resolved. Define the provider’s duties after the retrieval window: secure deletion, deletion certification, backup expiry, and treatment of legal holds.

Survival and transition
Confidentiality, deletion, audit, intellectual-property, indemnity, liability, and dispute provisions should survive termination for the periods needed to protect the business. Include a transition schedule with notice dates, export tests, final billing, access shutdown, and a named contact on each side.

Suspension can be more damaging than an outage because it may prevent retrieval. Limit suspension to defined triggers such as nonpayment of undisputed amounts, security abuse, or a legal requirement. Require notice, a cure period, proportional suspension, and an emergency exception for an active security threat.
Force majeure should not automatically erase payment, retrieval, confidentiality, or deletion obligations. Oracle’s agreement allows cancellation of unperformed services when a force-majeure event continues for more than 30 days, while payment obligations and other specified provisions survive. Negotiate the same clarity for your order: identify what can be suspended, what remains payable, and when either party may terminate.
Set liability, governing law, and document precedence
Public cloud agreements often disclaim broad warranties. AWS customer language states that “THE SERVICES AND AWS CONTENT ARE PROVIDED ‘AS IS.’” The same customer agreement excludes liability for unavailability and consequential losses and caps aggregate liability at fees paid in the preceding 12 months. If your GPU workload can suffer model loss, missed launch dates, or regulatory exposure, negotiate carve-outs or a higher cap for data loss caused by provider negligence, confidentiality breaches, security incidents, and infringement.
Specify governing law, venue, notice addresses, audit rights, subcontractor responsibility, and insurance evidence where appropriate. Most importantly, establish precedence: a negotiated order form should control over a click-through term or website statement, and the SLA should control for availability and credits. Require advance notice of material online-term changes and a right to terminate if a change materially reduces protection.
Provider evidence to use as negotiation benchmarks

No single public source establishes a comparable, current uptime percentage and credit table for every GPU SKU and enterprise order. Obtain those values in the order form and verify them immediately before signature.

- Verify at signature. Confirm SKU availability, region, pricing, credit mechanics, export APIs, and all survival clauses in the final executed documents.
Clause checklist before signing
- GPU SKU, region, quantity, topology, and capacity commitment are attached.
- Uptime, degradation, failed provisioning, and capacity shortfall have separate definitions.
- Maintenance notice and exclusion boundaries are explicit.
- Credits are automatic, cumulative, and calculated against the affected commitment.
- Chronic failure creates a termination and refund or credit right.
- Exports cover data, checkpoints, images, logs, metadata, IAM mappings, and configuration in documented formats.
- Egress pricing is capped or waived during the exit window.
- Transition assistance, retrieval duration, and deletion certification are specified.
- Suspension requires defined triggers, notice, cure, and proportionality.
- Liability caps, carve-outs, governing law, audit rights, confidentiality, and document precedence are clear.
