The most important cloud-GPU contract question is not the hourly rate. It is what you are actually buying: a metered allowance, a discount commitment, a reservation of inventory, or a fixed-duration subscription. Those products create different rights. A reservation can improve the chance that a named GPU is available in a zone, while a commitment can reduce the price without reserving any hardware. Every offer should therefore be checked for capacity assurance, unused-spend exposure, quota dependencies, interruption rules, service-level remedies, portability, and exit rights before price is compared.

What exactly is the provider promising to deliver?

Write the deliverable as a measurable capacity obligation, not as vague access to GPUs. The order form should identify the GPU make and model, memory, quantity, machine or host shape, interconnect or topology where it affects performance, region, zone, start date, fulfillment deadline, committed hours, and minimum usable run length.

Define the unit of capacity

Ask whether the purchase is a GPU-hour allowance, a fixed number of attached GPUs, reserved inventory, or access to dedicated systems. These are not interchangeable. A GPU-hour allowance may be consumed at different times; a reservation is concerned with whether inventory can be allocated when needed; dedicated systems may add host, networking, and support obligations.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Define concurrency and substitution

State whether the GPUs must be available concurrently or merely during a billing period. If the provider can substitute another model, memory size, host type, zone, or interconnect, specify a performance floor, the permitted alternatives, and whether customer approval is required. Google Cloud documentation treats region, zone, GPU model, machine configuration, and reservation linkage as material to GPU capacity commitments.

Specify fulfillment and usable time

Include a date by which capacity must be usable, not merely ordered. Define what counts as usable: successful allocation, booted instances, functioning accelerators, working networking, and access to the required images or drivers. A contract that counts a failed allocation as fulfillment can leave the buyer paying for capacity that cannot run the workload.

Is a capacity reservation the same as a price commitment?

No. Capacity assurance and price discount are separate rights and must appear as separate clauses. Google Cloud says reservations provide high assurance of capacity for zone-specific resources, including GPUs, while compute-flexible commitments can preserve discount eligibility without assuring that capacity. Azure states that Future Capacity Reservations provide neither a pricing discount nor dedicated hardware.

Reservation rights

A reservation should state the inventory being held, the location, the period, and the conditions under which the provider may release or relocate it. Google Cloud says resource-based GPU commitments require an attached reservation. That means a discounted commitment without the required reservation may lower the unit price but still leave the buyer exposed to allocation shortages.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Discount mechanics

State the price formula separately from the capacity promise. Identify the base rate, discount, region, currency, indexation, taxes, and whether the discount survives a move to another zone, model, project, or eligible service. Flexible commitments may permit some location or service changes, but Google Cloud notes that they do not themselves assure capacity.

Failure treatment

If named capacity is unavailable, specify whether the buyer receives replacement GPUs, a move to an approved fallback location, a refund, a fee suspension, a service credit, or only continued discount eligibility. A discount that remains available while the workload is unable to run is not an adequate capacity remedy.

Which buying model fits the workload?

Choose the commercial model by matching certainty, utilization, and interruption tolerance. On-demand usage preserves flexibility but exposes the buyer to current rates and availability. Reservations improve capacity assurance for defined resources. Commitments can lower price but create minimum-spend risk. Spot or preemptible capacity is cheaper in exchange for interruption and restart risk.

Model Primary right Main exposure Questions for the order form
On-demand Use capacity at published or current rates when available Price and availability can change What rate, quota, region, and allocation priority apply?
Reservation Improved assurance for specified inventory and location Payment or reservation charges may continue when idle Is inventory concurrent, zone-specific, and protected from substitution?
Committed use Discounted rates for a defined term Unused commitment can remain payable and may be non-cancellable Can it be reduced, exchanged, transferred, or stopped from renewing?
Spot or preemptible Lower-cost interruptible capacity Provider can reclaim instances, sometimes with short or no notice What notice, refund, checkpoint, restart, and replacement rules apply?

The same workload can use more than one model. Keep interruptible training jobs on spot capacity, for example, while reserving a smaller baseline for inference or deadlines. The contract should state whether quota, discounts, and support differ between those pools.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How do term, minimum spend, renewal, and cancellation clauses work?

Term language determines whether a forecast error becomes a large fixed liability. Google Cloud documents one-year and three-year commitment plans and says committed resources are paid for the full term whether or not they are used. Its documentation also says a resource-based commitment cannot be canceled after purchase.

Term and payment

Write the start and end timestamps, billing unit, minimum spend, and treatment of partial months. Identify whether charges continue during provider outages, customer suspension, idle instances, failed deployments, or quota delays. A commitment should not silently convert a failed launch into payable consumption.

Renewal

State whether renewal is automatic, the notice deadline for stopping it, the post-term rate, and the date on which the buyer can reduce capacity. Google Cloud service terms describe committed units as generally non-cancellable and may renew them automatically unless renewal is stopped; standard rates can apply after expiration.

Early exit and provider failure

Negotiate written treatment for workload cancellation, demand collapse, GPU end-of-life, regional withdrawal, material price changes, merger or acquisition, and provider failure to deliver. Useful alternatives to an absolute lock-in include partial surrender, conversion to another eligible model, a shorter renewal, or a provider-failure refund. Do not assume these rights exist because a sales quote is silent.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Why are quota, region, and zone part of the contract?

GPU capacity is location- and quota-dependent. Google Cloud says quotas are specific to GPU model and region, that both running instances and reservations consume quota, and that standard, Spot, virtual-workstation, and committed-use instances can have different quota classes. Azure states that the customer remains responsible for subscription, quota, deployment, and configuration requirements.

Assign quota responsibility

The agreement should say who requests quota increases, who pays any related fees, and by what date approval is required. Make the commitment conditional on quota approval if the provider controls the approval process. Specify the remedy if quota is denied or delayed: release without penalty, a move to an approved region, or provider-supplied capacity.

Define quota scope

Identify whether quota is shared across projects, accounts, subscriptions, billing entities, or regions. A reservation that consumes quota needed by another production workload can create an internal shortage even when the provider has inventory.

Control deployment prerequisites

List required machine types, images, drivers, networking, storage, service accounts, and support tiers. The provider should not classify capacity as delivered when a documented prerequisite prevents deployment and belongs to the provider or its managed service.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What interruption, preemption, and maintenance terms matter?

Interruptible GPU capacity needs a different contract from standard capacity. Google Cloud says GPU Spot VMs follow its normal preemption process and may be recreated only if resources are available. It also says standard GPU VMs receive one hour of advance notice before preemption. AWS states that Capacity Blocks may terminate instances without notice during the final 30 minutes for instance types and 60 minutes for UltraServer types.

Notice and termination

Define the notice channel, timing, time zone, and whether notice is guaranteed or best effort. State whether the provider can terminate only the instance, the whole reservation, or a larger placement group. Distinguish planned maintenance from emergency reclamation.

Data and restart protection

Require checkpointing guidance, persistent-storage behavior, restart assistance, and replacement-capacity terms. Clarify whether interrupted minutes are refunded, credited, or simply unavailable. A replacement promise should identify the region, model, maximum wait, and whether a substitute has to meet a performance floor.

What should a GPU SLA measure?

A normal VM-uptime SLA may show that a control plane is reachable while the contracted GPU cannot be allocated. The SLA should therefore measure capacity availability separately from service availability, with a clear denominator and remedy.

Separate service and capacity metrics

NVIDIA’s SLA separately defines Service Availability and Capacity Availability, measures them over a calendar month, and specifies different exclusions, claim procedures, and remedies. For DGX Cloud, NVIDIA states a 99% service-availability target and a 95% capacity-availability target. Service status is tracked every 15 minutes, while capacity status is tracked every 60 minutes.

Define the denominator

Specify whether capacity availability means the ability to allocate the contracted GPU count, launch a usable instance, or keep a running workload alive. Count failed allocation attempts, partial fulfillment, model substitutions, zone outages, and provider-imposed quota reductions. Exclusions should identify maintenance, force majeure, customer-caused events, and unsupported configurations rather than using an open-ended exception.

Set operational targets

NVIDIA states a 24-hour target to find a resolution for a critical service-availability issue, subject to exclusions and the SLA’s target-language limitations. If your workload has a launch deadline, negotiate a separate fulfillment deadline and escalation path; a support response target is not the same as a capacity guarantee.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What remedies and claim procedures should be included?

Capacity shortfalls need a remedy that matches their commercial harm. Uptime credits alone may be too small when a missed training window or inference launch causes a larger loss.

Claim mechanics

NVIDIA requires a detailed claim describing incident timing, the affected offering, attempted use, affected users, and troubleshooting information, and requires the claim within two months of the incident. Its DGX Cloud remedy is a future-order credit after claim validation. That process should be reflected explicitly in any order relying on the SLA.

Negotiate stronger remedies

  • Automatic credits based on provider telemetry instead of discretionary validation.
  • A capacity-shortfall remedy separate from service-uptime credits.
  • Fee suspension while named capacity is unavailable.
  • Replacement capacity or migration assistance within a defined time.
  • An enhanced remedy for repeated failures, not only a monthly credit.
  • A claim period long enough to reconcile monthly invoices and logs.

Also state whether credits are the sole remedy. If they are, consider a termination right after repeated misses or a refund for the affected commitment period.

How should total cost be calculated?

The GPU line item is only part of the bill. Google Cloud says each GPU adds to VM cost and lists GPU prices by region. Oracle measures GPU offerings by GPU hour and separately measures outbound data transfer. Your pricing schedule should cover every charge that can make an apparently cheap commitment expensive.

Include all infrastructure charges

  • Host or machine cost in addition to the attached GPU.
  • Storage, snapshots, local disks, and persistent volumes.
  • Inter-region traffic, internet egress, and data-transfer processing.
  • Support plans, managed-service fees, software licenses, and marketplace charges.
  • Taxes, currency conversion, minimums, idle-state charges, and reservation fees.

Model utilization risk

Calculate the effective cost at expected utilization, not at 100% use. Include warm-up, queueing, failed allocations, maintenance, checkpoint overhead, and periods in which committed GPUs are reserved but idle. Compare a flexible option with a commitment at several utilization levels so that a lower nominal rate does not conceal a higher effective cost.

Can the provider change the region or GPU model?

Portability is a negotiated right, not an assumption. Resource-based commitments are generally regional and tied to qualifying resources. Google Cloud says flexible commitments can provide some ability to change locations, switch supported GPU machine types, or cover other eligible services when capacity is unavailable, but they do not assure capacity.

Fallback locations

Name a primary region and approved fallback regions. State whether moving to a fallback changes price, tax, data-location obligations, latency, or support. Require notice and customer approval unless an emergency relocation is needed to preserve service.

Model substitutions

Define equivalence using memory, interconnect bandwidth, software compatibility, and a performance floor relevant to the workload. A newer or more expensive model should not automatically become the buyer’s obligation. State who pays when substitution requires larger hosts, extra storage, or data movement.

Project and account mobility

Specify whether capacity and discounts can move among projects, subscriptions, billing accounts, or legal entities under common control. If the provider limits movement, identify the administrative process and lead time so an internal reorganization does not strand the commitment.

What transfer, resale, and exit rights are available?

Exit rights are commercial risk controls. Google Cloud says committed units generally may not be resold, shared, or transferred. AWS permits only limited Reserved Instance resale through its marketplace and says Capacity Blocks are nontransferable. NVIDIA’s order form, marketplace terms, and service-specific terms govern subscription purchases.

Ask for practical alternatives

If transfer is prohibited, seek a shorter term, partial surrender, conversion to another product, or a refund when the provider fails to supply the contracted capacity. Define whether a merger, acquisition, divestiture, or billing-account change counts as a prohibited transfer.

Check the document hierarchy

Identify which document controls if the order form conflicts with public product terms, an SLA, support terms, marketplace conditions, or an online pricing page. The signed order should incorporate the applicable data-processing, security, support, and regional terms rather than leaving them to a changeable web page.

Which security and compliance terms belong in the deal?

GPU product pages rarely answer regulatory questions. The agreement should incorporate the applicable data-processing addendum, data-location commitments, security controls, confidentiality, export restrictions, acceptable-use rules, incident notification, customer-data ownership, deletion, and access logging.

How do the major provider structures differ?

Provider or service example Contract feature Buyer implication
Google Cloud Reservations improve assurance for zone-specific GPUs; resource-based GPU commitments require attached reservations; commitments are regional, payable whether used or not, and non-cancellable after purchase. Separate the reservation from the discount and model unused capacity, quota, and renewal risk.
AWS Capacity Blocks and Reserved Instances have different termination, transfer, and resale mechanics. Capacity Blocks are nontransferable and can terminate instances without notice in their final defined window. Do not apply Reserved Instance assumptions to Capacity Blocks; write interruption and exit terms for the exact product.
Azure Capacity Block terms make accepted capacity billable whether consumed or not. Future Capacity Reservations do not provide a discount or dedicated hardware, and the customer owns quota and deployment prerequisites. Confirm whether the purchase is inventory, price protection, or both, and make quota a documented condition.
NVIDIA DGX Cloud The SLA separately measures service and capacity availability, with 99% and 95% targets respectively for DGX Cloud; the remedy is a validated future-order credit. Check the capacity denominator, claim evidence, two-month claim period, and whether credits are the sole remedy.
Oracle OCI GPU offerings are billed by GPU hour; capacity reservations have separate unused-capacity metering, and preemptible instances use a distinct metering rule. Reconcile reservation, usage, and preemptible meters separately when calculating effective cost.

How should buyers compare competing offers?

Score every offer against the same questions instead of comparing headline GPU-hour rates.

Axis Questions to ask
Capacity assurance Is inventory reserved, merely discount-eligible, or best effort?
Price certainty Is the price fixed, indexed, region-specific, or subject to current rates?
Utilization exposure Do payments continue when GPUs are idle or unused?
Interruption risk Can the provider preempt, terminate, or relocate the workload?
Flexibility Can the buyer change model, region, project, account, or service?
Exit rights Can the commitment be canceled, transferred, resold, converted, or refunded?
Remedy strength Are there replacement-capacity rights, fee suspension, refunds, or only credits?
Operational prerequisites Who owns quota, deployment, support, networking, and migration work?

What should be in the final negotiation checklist?

  1. Identify the exact GPU model, count, memory, topology, region, zone, start date, and fulfillment deadline.
  2. State whether the promise is capacity, a discount, or both.
  3. Define the remedy if the named model or zone is unavailable.
  4. Assign quota approval, deployment prerequisites, and associated costs.
  5. Confirm whether unused commitments remain payable.
  6. Document cancellation, reduction, transfer, resale, conversion, and renewal rights.
  7. Require an SLA that measures capacity shortfall separately from service uptime.
  8. Set the claim deadline, evidence requirements, escalation path, and whether credits are the sole remedy.
  9. List storage, network, egress, support, software, tax, and currency charges.
  10. Specify data location, security, export, deletion, and incident obligations.
  11. Define treatment of GPU end-of-life, model substitution, and provider region withdrawal.
  12. State which order form, SLA, support terms, marketplace rules, and linked documents control in a conflict.

What are the common failure scenarios?

The buyer purchased a discount but cannot launch

The commitment lowered the rate but did not reserve inventory, or the required reservation was not attached. The fix is to contract for named capacity and state the remedy for failed allocation rather than relying on discount eligibility.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The workload is interrupted and the invoice continues

The offer treated interruption as an availability event without suspending commitment charges. Require explicit refund, credit, replacement, or fee-suspension language for preemption and provider maintenance.

Quota blocks the reserved GPUs

The buyer accepted a reservation before confirming model- and region-specific quota. Make quota approval a precondition, assign responsibility, and define release or fallback rights when approval is delayed.

A business change strands the commitment

The provider prohibits transfer or resale and the original workload no longer needs the GPUs. Negotiate shorter terms, partial surrender, conversion, or an assignment right before signing.

An uptime SLA pays for the wrong problem

The service endpoint met its uptime target while the required GPU count was unavailable. Add a separate capacity metric, allocation-failure measurement, and remedy tied to the contracted quantity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How we picked the terms in this guide

The criteria are the rights that determine whether GPU capacity can actually be obtained and used: measurable deliverables, assurance versus discount, utilization liability, quota and location dependencies, interruption exposure, SLA definitions, remedies, portability, transferability, total cost, and security obligations. Provider examples are included only where their published terms illustrate a distinct commercial treatment.

Frequently Asked Questions

Can a cloud GPU reservation guarantee that my job will start immediately?

Not necessarily. A reservation can improve assurance for specified inventory, but quota approval, machine configuration, image readiness, networking, and other deployment prerequisites can still block a launch. The contract should define successful allocation and a maximum fulfillment time.

What evidence should I keep for a GPU-capacity SLA claim?

Keep allocation-request IDs, timestamps, requested model and zone, quota status, error messages, instance logs, and provider support-ticket numbers. Preserve them for the full claim period because some SLAs require incident details and troubleshooting records before granting a credit.

Should I put GPU capacity in a master agreement or an order form?

Use both: the master agreement can carry general security, liability, confidentiality, and data terms, while the order form should state the exact model, quantity, location, term, price, and remedy. Add a clear precedence clause so a web page or later policy cannot silently override the negotiated capacity promise.

What’s actually slowing this PC down?

How can finance account for an unused GPU commitment?

Track committed spend, reserved capacity, actual GPU hours, interruption time, and ancillary charges as separate metrics. Report effective cost at forecast utilization and maintain a renewal calendar so an automatic extension is not mistaken for fresh demand.
