Usually, no. An ex-employee should assume that sending a former employer’s files to a competitor is unauthorized unless the employer clearly permits it or a narrow legal-reporting exception applies. In the United States, copying, downloading, transmitting, or using a protected trade secret for a competitor can lead to an injunction, substantial damages, and, when statutory elements are proved, criminal prosecution. You may generally take your professional skills, experience, and publicly known information to a new job; that is different from taking a particular confidential file.

The answer depends on the governing country and state, contract language, the type of file, how you obtained it, how you transferred it, and whether you were reporting suspected illegality. The analysis below explains the United States framework and then identifies important UK differences. It is general information, not a determination of any specific dispute.

What makes sharing a former employer’s file unlawful?

Ownership is only one part of the analysis. A file is not lawful to share merely because you created it, edited it, or had access to it at work. The key questions are whether the information was secret, whether the employer took reasonable steps to keep it secret, whether you had a duty not to disclose it, and whether your access, copying, transmission, or use was authorized.

A single folder can contain several categories with different rules. Public information and your general know-how are usually treated differently from a customer database, source code, unreleased pricing model, engineering drawing, or internal strategy document. Personal data, privileged communications, export-controlled material, and regulated records can create additional duties even when trade-secret law does not apply.

Trade secrets under U.S. law

Under 18 U.S.C. §1839, a trade secret can be financial, business, scientific, technical, economic, or engineering information, including plans, compilations, programs, methods, processes, procedures, and code. Two conditions matter: the information must have independent economic value because it is not generally known or readily ascertainable, and the owner must take reasonable measures to keep it secret.

Reasonable measures can include password and access controls, need-to-know permissions, confidentiality markings, employee training, restricted repositories, monitoring, and written agreements. No single measure is mandatory, and an employer does not necessarily lose protection because one document was mislabeled. Conversely, calling a file “confidential” does not by itself make ordinary or publicly available information a trade secret.

Misappropriation is broader than “selling a file”

Misappropriation includes unauthorized acquisition, disclosure, or use. The conduct can therefore include copying a folder before resignation, downloading it to a personal cloud account, emailing it to a new employer, uploading it to a shared drive, showing it on screen, or using its contents to prepare a competing proposal. The transfer does not have to involve money, and the competitor does not have to receive the original physical device.

U.S. criminal exposure

18 U.S.C. §1832 makes certain trade-secret theft a federal offense when a person knowingly steals, copies, downloads, uploads, transmits, delivers, or communicates a trade secret without authorization, intending to convert it to another person’s economic benefit and knowing or intending that the owner will be injured. The statute also requires the applicable interstate or foreign-commerce connection.

The Department of Justice identifies six proof issues: an unauthorized taking or conveyance; knowledge that the information was proprietary; existence of a trade secret; intent to benefit someone other than the owner; knowledge or intent that the owner will be injured; and the interstate or foreign-commerce connection. Prosecutors must prove the statutory elements rather than rely solely on an employment move or suspicious timing.

Possible penalties

An individual convicted under §1832 can face up to 10 years’ imprisonment. The current statutory text also provides that an organization can face a fine of up to $5 million or three times the value of the stolen trade secret, whichever is greater, subject to the statute’s terms. Charging decisions and sentences depend on the facts, evidence, and applicable sentencing rules.

A published example illustrates the risk without predicting an outcome in any other case. In 2018, the U.S. Attorney’s Office for the Northern District of Iowa reported that Josh Harry Isler received a 42-month sentence after admitting that he transferred hundreds of DuPont files to an external device for a competitor. The scale, intent, and proof in that matter were case-specific.

U.S. civil lawsuits and what a court can order

The federal Defend Trade Secrets Act (DTSA), 18 U.S.C. §1836, allows an owner to sue over a trade secret related to interstate or foreign commerce. State trade-secret statutes and contract claims may also apply. A former employer can seek urgent relief while a case is pending, not just money after trial.

Remedies available under the DTSA

Remedy What it can address Important qualification
Injunction Stops actual or threatened use or disclosure and can require specific protective measures. The order cannot simply prevent a person from entering a job; employment restrictions must be based on evidence of threatened misappropriation and comply with applicable state law.
Damages Compensates the owner’s actual loss and may capture unjust enrichment not included in that loss. The measure depends on proof of causation, value, and the defendant’s benefit.
Reasonable royalty Provides a monetary measure when loss or unjust enrichment is difficult to calculate. It is a substitute measure, not an automatic percentage.
Enhanced damages Up to two times compensatory damages for willful and malicious misappropriation. The conduct must meet the statute’s willful-and-malicious standard.
Attorney fees May shift fees in specified bad-faith or willful-misappropriation situations. Fees are not awarded in every trade-secret case.
Ex parte seizure In extraordinary circumstances, a court can order seizure of property needed to prevent dissemination. This is an exceptional procedure with strict statutory requirements.

A demand letter, preservation notice, or lawsuit may also trigger obligations to preserve devices, messages, cloud logs, and other evidence. Deleting files after learning of a dispute can create separate litigation problems.

Joining a competitor versus taking a secret

Moving to a competitor is not itself misappropriation. DOJ guidance states that a former employee cannot be prosecuted merely because she was exposed to a trade secret at a former job and then moved to a competitor. The government must prove use or disclosure of a particular trade secret and the other statutory elements.

General knowledge, skills, and experience normally remain yours. Examples include familiarity with a programming language, sales technique, project-management method, or broad industry knowledge that you can perform without consulting a former employer’s protected materials. The boundary becomes difficult when a remembered detail is specific, nonpublic, and economically valuable, such as a precise discount matrix, source-code routine, unreleased product design, or named customer pipeline.

Practical examples

Action Likely analysis
Use publicly posted customer names and published prices while competing. Generally ordinary competition, assuming no restricted personal data or contractual limit applies.
Recreate a workflow from your own professional experience without copying documents. Usually general know-how, provided the result does not embody a particular protected secret.
Email the former employer’s customer list and discount history to your new sales team. High risk of trade-secret, contract, privacy, and possible competition-law claims.
Copy source code or technical drawings to a USB drive before resigning. Unauthorized acquisition and transmission can support civil claims and, if the elements are met, criminal charges.
Keep a personal portfolio containing work samples that were never cleared for release. Risk depends on confidentiality, ownership, client restrictions, personal data, and any written authorization; do not assume creation equals permission.
Tell a regulator about suspected fraud through a confidential channel. Potentially protected if the statutory whistleblower conditions are followed; sending the same files to a competitor is a different act.

Contracts and noncompete clauses

Review every document you signed: confidentiality or nondisclosure agreements, invention-assignment terms, intellectual-property policies, garden-leave provisions, return-of-property clauses, and any noncompete or nonsolicitation language. A contract can impose duties broader than trade-secret law, including protection for confidential information that may not satisfy the statutory trade-secret definition.

The FTC’s 2024 Noncompete Rule is not in effect and is not enforceable after litigation, according to the agency’s current rule page. That status does not make disclosure lawful. State law, a valid contract, fiduciary duties, and trade-secret statutes remain separate questions. A noncompete governs whether and where you may work; confidentiality rules govern what information you may disclose or use.

Whistleblowing: the narrow federal exception

18 U.S.C. §1833 protects an individual from trade-secret liability for a confidential disclosure to a federal, state, or local government official or to an attorney, when the disclosure is made solely to report or investigate a suspected violation of law. The statute also covers a complaint or other filing made under seal. It allows sealed use of trade-secret information in an anti-retaliation case under stated conditions.

This protection is not a general license to copy an entire repository, send files to a competitor, publish them online, or obtain them through unauthorized access. Limit the disclosure to what is reasonably needed, use counsel or an appropriate government channel, follow sealing requirements, and keep the communication confidential. The exception’s conditions matter; a disclosure that falls outside them may not be protected.

UK position: similar risks, different legal framework

UK rules do not simply mirror U.S. statutes. Acas explains that an NDA may prevent a worker from sharing company information with competitors, while confidentiality duties can also arise from data-protection law and whistleblowing protections. Acas gives selling organizational data to a competitor as an example of potentially unlawful conduct.

UK competition guidance also warns employers not to share sensitive business or employee information with competitors and notes significant financial and personal consequences for illegal information sharing. These are UK examples, not universal rules. The contract, the type of information, data-protection obligations, competition-law context, and the applicable part of the UK all matter.

A decision checklist before you move or share anything

  1. Identify the governing rules. Determine the country and state, check the contract’s choice-of-law clause, and list every NDA, confidentiality, IP, garden-leave, or noncompete term.
  2. Classify each item. Mark files as public information, general know-how, employer-owned work product, trade secret, personal data, privileged material, or regulated information. One project may contain several categories.
  3. Document how you obtained it. Record whether access was authorized and whether the file was copied through a personal account, USB drive, email, cloud download, screenshot, or another method. Unauthorized copying or transmission is especially risky under §1832.
  4. Assess secrecy measures. Look for access controls, need-to-know limits, confidentiality labels, training, monitoring, and agreements. These facts help determine whether information was protected and whether you knew it was proprietary.
  5. Separate know-how from documents. Take your skills and experience, but do not take customer lists, source code, pricing files, credentials, templates, or other particular materials unless you have clear written authorization.
  6. Use a protected reporting route if needed. For suspected illegality, consult an attorney or an appropriate government channel and preserve the confidentiality and sealing conditions in §1833.
  7. Stop further access and preserve evidence. Do not log back into former systems, forward additional files, wipe devices, or alter metadata. Preserve relevant messages and seek jurisdiction-specific legal advice before answering a demand letter.

What to do if files are already on a personal device

Do not open, forward, upload, or combine the files with your new employer’s systems. Disconnect automatic synchronization that could spread them, but avoid deleting or altering data if a dispute is reasonably foreseeable. Make a factual record of what exists, when it arrived, and who can access it. Tell your lawyer what happened and follow advice about secure return, deletion, or preservation; the correct step can depend on litigation holds, privacy rules, and the employer’s instructions.

How employers and new employers should reduce risk

For the departing employee

  • Return company equipment and confirm in writing what has been returned.
  • Ask for written permission before retaining any portfolio sample or nonpublic work product.
  • Use only publicly available information and personal know-how in the new role.
  • Tell the new employer that you will not bring or use former-employer files, credentials, or data.

For the new employer

  • Instruct hires not to bring confidential material from a prior job.
  • Use clean-room or independent-development procedures for sensitive projects.
  • Restrict access and preserve audit logs if a former employer raises a concern.
  • Quarantine and obtain legal advice about any files an employee appears to have brought.

Bottom line for the common scenarios

If you changed jobs, you can generally use your abilities and publicly known information. You should not send a former employer’s confidential files, customer data, pricing, code, templates, or technical documents to a competitor without clear authorization. In the United States, unauthorized acquisition, disclosure, or use of a qualifying trade secret can produce civil injunctions and damages and, when the criminal elements are proved, imprisonment. A confidential report to government or counsel may be protected under a narrow statute; a transfer to a competitor is not the same thing. When the facts are close, stop access and obtain advice under the governing jurisdiction before sharing or responding.
