En mai 2003, STMicroelectronics a acquis auprès d’IPM les actifs et activités d’Incard SpA, un fabricant italien de cartes à puce. L’opération, annoncée après le rachat de Proton World International, visait à élargir les compétences de ST au-delà des composants et à lui permettre de proposer des solutions plus complètes aux banques et aux opérateurs télécoms.
Pourquoi STMicroelectronics a-t-il racheté Incard ?
ST et IPM Group coopéraient déjà pour repérer des débouchés dans les terminaux, la sécurité, les réseaux locaux sans fil (WLAN) et d’autres applications de télécommunications. L’acquisition des activités d’Incard s’inscrivait dans cette démarche : ajouter à l’expertise de ST des cartes, des logiciels et des outils de développement, afin de couvrir davantage d’étapes nécessaires à des applications de cartes à puce.
La logique était de vendre aux clients finaux des solutions intégrées plutôt que de se limiter à un seul élément de la chaîne. Maurizio Felici, alors vice-président de ST et directeur général de sa division cartes à puce, expliquait que l’élargissement de l’expertise système et le travail avec des partenaires devaient permettre à ST de fournir des solutions complètes, notamment aux banques et aux opérateurs de télécommunications. EDN rapportait l’annonce le 22 mai 2003.
Que fabriquait Incard ?
Incard SpA était une entreprise italienne spécialisée dans les cartes à puce et orientée vers les télécommunications. Son offre comprenait des cartes, des logiciels et des kits de développement couvrant plusieurs applications. Les cartes téléphoniques prépayées et les modules SIM figuraient parmi les moteurs de la demande cités dans l’annonce.

Les modules SIM relient l’abonné aux services mobiles en s’appuyant sur une carte à puce. Ils constituaient donc un débouché pertinent pour une entreprise dont les produits pouvaient inclure la carte elle-même ainsi que les logiciels et outils nécessaires à son intégration dans des systèmes télécoms. L’annonce évoquait également un champ plus large, allant des terminaux et de la sécurité au WLAN, sans détailler de produits particuliers dans chacun de ces domaines.
Quelle était la taille d’Incard en 2002 ?
Selon l’annonce d’EDN publiée en 2003, Incard était le sixième fabricant mondial de cartes à puce en 2002 et employait environ 290 personnes sur son site de Marcianise, près de Naples. Ces chiffres décrivent l’entreprise au moment de l’acquisition annoncée; ils ne renseignent pas sur son statut ou ses effectifs actuels.

L’article d’EDN ne donne ni le prix d’acquisition ni les autres détails financiers de la transaction. Il ne permet pas non plus d’établir quels produits Incard ont continué à être commercialisés par la suite, ni quelle est aujourd’hui la gamme de cartes à puce de ST.
