Yes. Japanese corporate-bond interest is generally taxable. For a Japan-resident individual who owns a qualifying specified bond, the usual combined tax is 20.315%: 15.315% national income tax (including the reconstruction surtax) plus 5% local inhabitant tax. The payer or broker normally withholds the tax.
The result changes with the investor’s status, the bond’s classification, related-party features, and any treaty or permanent-establishment (PE) connection. This guide separates the rules for resident individuals, non-residents, and domestic corporations and explains when a tax return is optional or required.
Tax treatment at a glance
| Investor and instrument | Typical Japanese treatment | What the investor should check |
|---|---|---|
| Japan-resident individual holding a specified bond | 20.315% total: 15.315% national withholding plus 5% local tax. The interest may be reported under separate taxation, or the taxpayer may elect non-declaration where permitted. | Whether the bond is publicly offered, listed, governmental, municipal, foreign-government, or another qualifying class; whether a related-party rule applies. |
| Japan-resident individual holding a non-specified or private bond | Usually 20.315% withholding as final source-separation taxation, with no ordinary filing option. Special bonds and related-party arrangements can be treated differently. | Issue structure, issue date, family-controlled-company status, and relationship between issuer and investor. |
| Non-resident or foreign corporation without a Japanese PE receiving interest on a bond issued by a domestic corporation | Generally 15.315% Japanese withholding on that Japanese-source interest, before applying an available exemption or treaty reduction. | Treaty residence, beneficial-owner and documentation requirements, and whether a Japanese PE exists. |
| Domestic corporation | Interest is generally included in taxable profits. Withholding is made when the interest is paid, although qualifying banks, financial-instrument firms, and certain domestic corporations may obtain an exemption. | Entity type, stated-capital condition, and whether the payment meets the exemption conditions. |
These are default categories, not a substitute for checking the exact issue terms and payment date. Japanese National Tax Agency (NTA) guidance distinguishes specified bonds from other bonds, and the classification controls much of the filing result.
Japan-resident individuals: the standard 20.315% result
How the rate is assembled
For payments made after 1 January 2016, qualifying specified-bond interest is subject to 15.315% national income tax, which includes the 0.315% special income tax for reconstruction, and 5% local inhabitant tax. Together they produce a 20.315% tax deduction from the coupon.

For example, a ¥1,000,000 coupon paid to a resident individual would normally have ¥203,150 withheld, leaving ¥796,850 before any other account charges. The calculation illustrates the statutory rate; it does not determine whether a particular bond is a specified bond or whether a treaty, exemption, or related-party rule changes the result.
What “specified bond” means
NTA examples include Japanese government bonds, Japanese municipal bonds, foreign-government bonds, publicly offered bonds, listed bonds, and certain bonds issued before 31 December 2015. A corporate bond can therefore qualify, but the label “corporate bond” alone is not enough. Public-offering and listing status, the issue date, and the transaction structure must be verified.
Withholding and the filing choice
The broker or paying agent normally withholds the tax when the interest is paid. A resident individual can generally include specified-bond interest in a tax return under separate taxation. The separate-taxation system allows the income to be handled outside the progressive aggregate-income brackets; the 15.315% figure cited in NTA guidance is the national component, while the ordinary combined burden remains 20.315% after local tax.

Where the specified-bond rules permit, the taxpayer may instead elect not to declare the interest. In that case, withholding completes collection for that income and the coupon is left off the return. The choice should be made consistently with the broker’s annual withholding statement and the taxpayer’s wider position, including whether reporting is needed for loss offsets or other separate-tax items.

When a corporate bond is not in the specified-bond category
Private and other non-specified bonds
Interest on a bond outside the specified-bond classes is generally subject to 20.315% withholding as final source-separation taxation. Unlike specified-bond interest, the ordinary rule does not provide a normal election to report the income under separate taxation. The payment is usually not added to a return once final withholding has been made.
“Private” does not by itself describe every legal consequence. A bond sold privately, an unlisted issue, or an issue with unusual transfer restrictions may fall outside the specified category, but the conclusion depends on the statutory definition and the issue documents. Ask the paying institution for the classification it used and compare that with current NTA guidance.
Related-party and family-controlled-company rules
Special rules can apply when the issuer is a family-controlled company or when the investor and issuer are related. Those rules can move interest out of final withholding and into aggregate taxation, so a private-company owner, director, family member, or closely connected entity should not assume that the broker’s standard coupon treatment is conclusive.

Do you have to report Japanese corporate-bond interest?

- Specified bond: withholding is normally 20.315%. You may report the interest under separate taxation, or elect non-declaration when the conditions for that option are met.
- Non-specified bond: 20.315% withholding is generally final, so there is ordinarily no filing option. Check for family-controlled-company and related-party exceptions.
- Other reason to file: even when a coupon can be left unreported, you may have a separate obligation or a reason to file because of other income, loss-offset claims, or a transaction that is not covered by the non-declaration election.
Do not treat “withheld” and “reported” as synonyms. Withholding describes tax collected at payment; reporting describes whether the income appears on your return. A broker statement should show the gross interest, national tax, and local-tax treatment used for the account.
Non-residents and foreign investors
Domestic-corporation bond interest is Japanese-source income
For a non-resident with no Japanese permanent establishment, NTA guidance generally applies 15.315% withholding to interest on bonds issued by domestic corporations. The rate is the national withholding rate for this category and includes the reconstruction surtax component.
NTA’s broader non-resident framework contains categories taxed at 20.42%, but the cited bond-interest category is one of the categories assigned 15.315%. The distinction matters: do not apply the 20.42% figure automatically to every Japanese-source payment.

A tax treaty can reduce the Japanese rate or allocate taxing rights differently. Domestic-law exemptions can also apply. Relief commonly depends on proving treaty residence and satisfying the required filing or certificate procedure before the interest is paid. A withholding agent may need a residence certificate or other prescribed form; supplying documents after payment may not automatically recover the excess tax.

Confirm all of the following before the coupon date:
- Your tax residence for the relevant payment period.
- Whether you have a Japanese PE connected with the investment.
- Whether the treaty applies to the particular bond interest and beneficial owner.
- Which residence certificate, exemption form, or broker procedure is required and when it must be delivered.
Domestic corporations that receive bond coupons
A Japanese domestic corporation generally records coupon-bearing bond interest as revenue and includes it in taxable profits. Corporate tax and local corporate taxes then apply under the company’s ordinary tax computation. Withholding is normally taken when the interest is paid and is treated within the corporation’s tax accounting rather than as the final tax on the company’s profit.
The Ministry of Finance notes withholding exemptions for qualifying banks, financial-instrument firms, and certain domestic corporations that meet the stated-capital requirement and other conditions. The exemption is not automatic for every company and should be confirmed with the payer before the payment date. If withholding was taken despite an available exemption, the corporation may need to claim the amount through its corporate tax procedures.
How to identify the correct treatment
- Classify the recipient. Record whether the holder is a Japan-resident individual, non-resident individual, foreign corporation, or Japanese domestic corporation. For a non-resident, establish whether a Japanese PE exists.
- Read the bond terms. Check whether the issue is publicly offered, listed, governmental, municipal, foreign-government, private, or subject to transfer restrictions. Note the issue date, including whether it predates 31 December 2015.
- Check relationships. Determine whether the issuer is family-controlled or related to the investor. Related-party facts can override the ordinary final-withholding result.
- Inspect the withholding statement. Verify gross interest, the 15.315% national component, the 5% local component where applicable, and the payer’s description of the income.
- Choose the resident filing route. If you are a resident individual with specified-bond interest, decide whether separate-taxation reporting is useful or whether the permitted non-declaration election is preferable. Do not make the choice from the coupon rate alone.
- Prepare non-resident relief in advance. Obtain treaty-residence certificates and submit exemption or reduced-rate forms before payment if the broker or payer requires them.
- Separate interest from redemption. Periodic coupons and gains or losses on redemption are not the same item. NTA provides separate rules for redemption proceeds, so calculate and report them independently.
Common mistakes and how to avoid them
Assuming every corporate bond has the same rate
The 20.315% resident-individual result is common, not universal. A publicly offered or listed issue may be a specified bond, while a private or specially structured issue may not be. Obtain the classification rather than inferring it from the issuer’s name.

Confusing the 15.315% and 20.315% figures
For resident specified-bond interest, 15.315% is the national withholding component and 5% is local tax. The usual combined amount deducted is 20.315%. For a qualifying non-resident with no PE receiving domestic-corporation bond interest, the Japanese withholding rate stated in NTA guidance is 15.315%.
Ignoring the payment date
Tax rules and treaty procedures can change. The resident framework described here applies to payments after 1 January 2016, while current NTA guidance should be checked for the actual payment date in 2026 and later.
Using a residence-country answer as a Japanese answer
Japan may withhold tax even if the investor also owes tax in another country. This article does not determine the investor’s residence-country tax, foreign tax credit, broker reporting, or treaty claim in that country. Those questions require the other jurisdiction’s rules and the investor’s facts.
Documents to keep
- Bond prospectus or offering memorandum showing offering and listing details.
- Trade confirmation and account statement identifying the issuer and coupon payment.
- Annual withholding statement showing gross interest and tax withheld.
- Treaty residence certificate and any reduced-rate or exemption form for a non-resident.
- Records of redemption proceeds kept separately from periodic interest.
- Evidence of related-party or family-controlled-company status when relevant.
When professional advice is warranted
Use current NTA guidance or a licensed Japanese tax professional when the bond is privately placed, issued by a family-controlled company, held through a Japanese PE, owned by a corporation seeking a withholding exemption, or covered by a treaty. A general tax-filing service can help prepare a return, but it cannot determine bond classification from the coupon amount alone.
