AI is not a prerequisite for modernizing a legacy system. You can retire or retain the workload, replace it with SaaS or another product, rehost it, relocate it, replatform it, refactor its code, rearchitect its design, or rebuild it. The sound choice is the least disruptive path that can deliver the approved business outcome at an acceptable cost and risk.
Microsoft’s Cloud Adoption Framework expresses the governing rule this way: “Modernization should make the least amount of change needed to achieve the approved outcome within acceptable cost and risk.” AWS reaches the same practical conclusion from a different angle: “The migration strategy to choose depends on the business and IT goals of your organization.”
Modernization is a portfolio of choices, not a synonym for AI
A legacy application is not automatically a failed application. It may still perform a valuable business function, contain hard-won domain knowledge, or support integrations that would be expensive to recreate. Modernization means changing the application, its platform, its location, or its role so that it remains suitable for the business. Sometimes the correct change is no change at all: continue operating the system and reassess it later.

- Rehost changes where the application runs.
- Relocate moves the workload to a different cloud or hosting environment with minimal application change.
- Replatform changes the underlying platform with limited code changes.
- Refactor changes the code while generally preserving the system’s basic structure.
- Rearchitect changes the system’s fundamental structure.
- Rebuild replaces the implementation with a new one.
- Replace or repurchase substitutes a SaaS or commercial product for the application.
- Retire or retain removes the workload or deliberately keeps it when a move is not justified.
These paths can be combined. An organization might rehost a stable application to meet a data-center deadline, then refactor selected components after operations have settled. Another might replace a peripheral module with SaaS while retaining the core system. The target outcome, not a preferred technology, should determine the sequence.

Define the approved outcome before choosing a path
“Modern” is not an outcome by itself. Write down the result the program must produce and how it will be recognized. Typical outcomes include reducing infrastructure constraints, meeting a security requirement, improving reliability, integrating with a new channel, lowering operating effort, supporting a new scale of usage, or ending a costly license.
1. Separate mandatory outcomes from desirable improvements
Mark each requirement as mandatory, desirable, or optional. A mandatory regulatory deadline may favor a low-change relocation or rehost. A requirement for radically greater elasticity may rule out an as-is move and point toward replatforming or rearchitecting. Without this distinction, teams tend to select the most ambitious design rather than the smallest change that satisfies the need.
2. Establish constraints that cannot be negotiated
Record data-residency rules, contractual commitments, maintenance windows, supported operating systems, integration protocols, recovery objectives, and available skills. A technically attractive target is not viable if it violates a contractual hosting condition or requires skills the organization cannot staff during the transition.

3. Measure the current workload honestly
Inventory users, interfaces, batch jobs, databases, reports, scheduled tasks, authentication flows, and operational procedures. Identify which behaviors are essential and which are historical workarounds. Include the people who operate and use the system; undocumented procedures often determine whether a replacement or rewrite succeeds.
The alternatives, explained
Retire, retain, or continue and reassess
Retire means removing an application that no longer provides enough value to justify its cost or risk. Confirm that no business process, audit obligation, data-retention rule, or downstream integration still depends on it. Archive information according to the organization’s retention policy, communicate the shutdown date, and monitor for unexpected calls after decommissioning.
Retain means deliberately keeping the workload where it is because there is no business justification to migrate it now. “Continue and reassess” is useful when a dependency is changing, a contract is near expiration, or a broader portfolio decision is pending. Retention should be an explicit decision with an owner, review date, and operating plan; it should not be an accidental result of postponement.
This path is appropriate when expected modernization benefit is lower than the cost, disruption, and risk of change. It does not claim that the system is ideal. It records that change is not justified under the approved conditions.
Replace or repurchase
Replacement moves the capability to a SaaS or commercial product rather than continuing to modify the old code. AWS describes repurchase as switching to a different product, typically from a traditional license to a software-as-a-service model. Microsoft includes replacing an application with SaaS or another application in its documented option set.

Choose replacement when a product already meets the business requirement more economically or reliably than changing the legacy implementation. Evaluate functional fit, data export and import, identity integration, audit controls, service-level commitments, geographic availability, exit terms, and the effort required to change business procedures.
The principal work does not disappear; it moves. Teams must map legacy fields and workflows to the product, cleanse and migrate data, test integrations, train users, and plan what happens to historical records. A product that covers 90 percent of the old features may still be the right choice if the remaining 10 percent is low-value customization. Conversely, a superficially similar product can be a poor choice if a missing control is mandatory.
Rehost
Rehosting moves the application as-is to newer infrastructure. It is the fastest structural change among the infrastructure-oriented options because the application itself is largely left alone. Rehosting can provide a staging point for later work and may help meet a facility, hardware, or operating-cost deadline.

Validate licensing, operating-system support, network latency, storage performance, backup behavior, and observability on the destination. Test rollback before cutover and keep the original environment available until the acceptance criteria are met.
Rehost when the immediate outcome is location or infrastructure change and the existing behavior is acceptable. Do not present it as a cure for maintainability or scalability problems that originate in the application design.
Relocate
Relocation moves a workload to another cloud or hosting environment with minimal application change. It is useful when the destination better fits operating requirements, contractual terms, geography, procurement, or an organization’s existing platform estate.
Although code changes may be small, relocation can expose assumptions about network addresses, identity providers, time zones, storage semantics, monitoring, and support ownership. Document those dependencies and verify them in a destination environment before the production move. A relocation is successful when the target environment solves the stated operating or contractual problem without creating a larger one.
Replatform
Replatforming moves components to a managed platform, such as a platform-as-a-service offering, while making limited code changes. Microsoft describes it as useful when the application’s functionality is adequate but the current platform creates unnecessary cost, effort, or constraints.

Examples include moving a self-managed database to a managed database service or adopting a managed runtime while preserving application behavior. The platform can reduce routine infrastructure work, but it introduces platform-specific configuration, service limits, deployment rules, and possibly new skills requirements.
Define which behavior must remain identical and which platform characteristics are intentionally changing. Test connection pooling, transactions, scheduled work, file handling, backup and restore, performance under peak load, and failure recovery. Replatforming is not a license to redesign every component; uncontrolled scope turns a limited platform move into an unplanned rewrite.
Refactor
Refactoring modifies the code to improve maintainability, performance, reliability, security, or alignment with the target operating model. The application’s principal structure can remain intact, making this a useful response when technical debt or code limitations block a specific outcome.
Start with the constraint that matters. If releases are risky, improve automated tests and deployment seams. If a database query limits performance, measure and change that path rather than rewriting unrelated modules. If unsupported libraries create a security exposure, replace them and verify behavior. Every change should have a measurable acceptance test and a rollback approach.
Refactoring is often incremental, but it still carries regression risk. Preserve observable behavior where it is required, make dependencies explicit, and release in small slices. A refactor should reduce a named obstacle; cosmetic code cleanup alone is not a modernization outcome.
Rearchitect
Rearchitecting changes the application’s fundamental structure. It is appropriate when the existing architecture prevents the required scalability, agility, integration, or reliability. A monolith might be decomposed, or the system might adopt an event-driven structure, when those changes directly address an approved constraint.
This path affects interfaces, data ownership, deployment, monitoring, security boundaries, and failure handling. Define service boundaries from business capabilities and dependency evidence rather than from organizational charts. Decide how data consistency, retries, ordering, authentication, and observability will work before splitting production traffic.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesRearchitecture can deliver capabilities that an as-is move cannot, but it creates more coordination and operational overhead. It should be selected only when a less disruptive path cannot meet the outcome.

Rebuild
Rebuilding is a rewrite from scratch. It is justified when the existing implementation cannot meet the requirements economically and the organization can fund the higher delivery and transition risk.
A rewrite is not a blank slate in practice. The new system must reproduce essential rules, data meaning, integrations, reports, security controls, and operational knowledge. Capture those requirements before discarding the old implementation. Run the existing system as a behavioral reference, migrate in controlled stages where possible, and define an explicit point at which the old system can be decommissioned.
The most dangerous assumption is that a new codebase automatically contains the old system’s undocumented knowledge. Include domain experts, operators, support staff, and users in acceptance testing. If the organization cannot maintain both transition streams or cannot tolerate a failed cutover, a smaller change path is usually safer.
Compare paths against the dimensions that matter
Use the following comparison to frame a decision. It describes the kind of change each path makes; it is not a promise of a particular schedule or cost.
| Path | Application change | Architecture change | Best fit | Primary trade-off |
|---|---|---|---|---|
| Retire or retain | None | None | The capability is no longer needed, or modernization benefit does not justify change | Retirement can expose hidden dependencies; retention leaves existing constraints in place |
| Replace or repurchase | Legacy code is replaced by a SaaS or commercial product | The internal implementation is replaced | A product meets the requirement better than changing the old code | Data migration, process change, integration fit, and product dependency |
| Rehost | As-is or nearly as-is | None | A fast infrastructure move or staging point for later work | Design limitations and technical debt remain |
| Relocate | Minimal | Usually none | The destination better fits operating or contractual needs | Environment assumptions and support responsibilities must be revalidated |
| Replatform | Limited code changes | Platform changes; fundamental structure can remain | Functionality is adequate but the current platform creates cost, effort, or constraints | Managed-service limits, platform-specific work, and migration testing |
| Refactor | Code is modified | Generally preserved | Technical debt or code limitations block a required improvement | Regression risk and ongoing engineering effort |
| Rearchitect | Substantial changes | Fundamental structure changes | Existing architecture prevents required scale, agility, or integration | Greater delivery, coordination, and operational complexity |
| Rebuild | New implementation | Can be redesigned completely | The existing implementation cannot meet requirements economically | Highest delivery and transition risk among the listed paths |
For every candidate, assess business outcome, amount of code change, architecture change, time to value, migration and cutover risk, operational overhead, scalability, technical-debt reduction, dependency and skills risk, total cost, and disruption to users. The official guidance does not establish universal success rates, prices, or durations for these paths; those values depend on the specific portfolio and constraints.
A practical selection process
- State the outcome and deadline. Write the business result, measurable acceptance criteria, and any date that cannot move.
- Classify the workload. Decide whether it is strategic, commodity, transitional, or a candidate for retirement. A commodity capability deserves an early replacement assessment; a differentiating capability may justify code investment.
- Map dependencies. Include interfaces, data stores, identity, batch schedules, reports, manual procedures, and external consumers. Mark dependencies that are undocumented or owned by another team.
- Set a minimum-change candidate. Start with retain, retire, replace, rehost, or relocate when one of those can satisfy the outcome. Add code or architecture change only when the evidence requires it.
- Test feasibility in a representative slice. Exercise the riskiest integration, data path, or operational procedure rather than a simple demonstration. Define success and rollback before the test begins.
- Estimate the whole transition. Include dual running, data conversion, user training, security review, support, monitoring, licensing, and decommissioning. A low-code-change option can still be expensive if the transition is complex.
- Choose a staged combination when necessary. For example, relocate first to meet a hosting requirement, then replatform a database; or replace a peripheral capability while refactoring the retained core.
- Approve explicit exit criteria. Specify when the old environment is read-only, when traffic is cut over, how rollback works, and who can authorize retirement.
When is a rewrite worth the risk?
A rewrite deserves consideration when several conditions are true at the same time:
- The current implementation cannot meet a mandatory requirement through reasonable refactoring or platform change.
- The business value of the new capability is large enough to justify a long transition and parallel operating period.
- The organization can fund product ownership, engineering, testing, migration, operations, and support for the duration of the program.
- Domain rules and data meaning can be discovered well enough to define acceptance tests.
- Users and dependent systems can move in controlled stages, or the organization can tolerate a planned cutover window.
Do not choose a rewrite merely because the code is old, unpopular, or difficult to understand. Age is evidence to investigate, not a business case. If the required outcome is only a new hosting location, a rehost or relocation addresses it with less disruption. If the requirement is lower infrastructure effort, replatforming may be sufficient. If only a few modules block progress, targeted refactoring can avoid replacing the rest.

How to combine strategies without losing control
Rehost first, then refactor
Use this sequence when an infrastructure deadline is immediate but technical debt still needs attention. Treat the first move as a stabilization stage with its own acceptance criteria. After operations are predictable, refactor only the components tied to a defined outcome. Do not assume the second stage is automatic; assign its scope, funding, and owner.
Replace the edges, retain the core
A SaaS or commercial product may cover peripheral functions while the core system remains valuable. Isolate the integration boundary, define the system of record for each data element, and prevent duplicate manual entry. This approach can reduce custom code without forcing a high-risk core migration.
Relocate and replatform selectively
A move to a new hosting environment can be paired with replatforming for components that cause disproportionate operating effort. Keep the application behavior stable where possible and limit platform changes to components with a clear benefit. This preserves a manageable blast radius.

Refactor before rearchitecting
Make dependencies, tests, interfaces, and ownership visible before changing the system structure. If the architecture still blocks the approved outcome after those improvements, the organization has better evidence for a rearchitecture decision and a safer base from which to proceed.
Common decision errors and how to correct them
Treating AI as the default destination
AI may be useful for a particular business capability, but it is not a modernization requirement. Start with the outcome and evaluate non-AI paths first. A conventional replacement, managed platform, or controlled code change may solve the problem with less operational and governance risk.
Confusing a location change with modernization of the design
Rehosting and relocating change infrastructure or environment. They do not, by themselves, remove architectural constraints or technical debt. State that limitation in the business case so stakeholders do not expect a later outcome from an initial move.
Choosing the most ambitious architecture
A more elaborate design can increase services, interfaces, monitoring, skills requirements, and failure modes. Select rearchitecture or rebuild only when a lower-change option cannot meet a documented requirement.
Ignoring the transition
Teams often compare target technologies while omitting data conversion, parallel operation, user training, support, and decommissioning. Add those activities to every option’s cost, risk, and disruption assessment.
Leaving retain decisions unmanaged
Keeping an application is legitimate when migration is not justified, but an unmanaged exception accumulates risk. Give retained systems an owner, patching and backup responsibilities, dependency documentation, and a date to reassess the decision.
Declaring success at cutover
Cutover is an event, not proof of value. Confirm that the approved business outcome has been met, that users can complete their work, that operational teams can support the result, and that the old environment can be retired or placed under its documented retention plan.
Checklist for an approval-ready modernization decision
- The business outcome is written in measurable terms.
- Mandatory constraints, deadlines, and geographic or contractual conditions are documented.
- Users, interfaces, data, batch work, reports, and operational procedures are inventoried.
- Retire, retain, replace, rehost, relocate, replatform, refactor, rearchitect, and rebuild were considered where relevant.
- The selected path is the least disruptive option capable of meeting the outcome.
- Transition cost includes migration, testing, training, dual operation, support, and decommissioning.
- Skills, ownership, security controls, monitoring, recovery, and vendor or platform dependencies are assigned.
- A representative feasibility test has explicit success and rollback criteria.
- Cutover, rollback, data reconciliation, and old-system retirement criteria are approved.
- Retained or deferred workloads have an owner and a reassessment date.
Bottom line
Modernizing a legacy IT system does not require AI or a full rewrite. Retire or retain when change is not justified; replace when a product fits better; rehost or relocate when the main problem is infrastructure or environment; replatform when managed services remove platform friction; refactor when code is the constraint; rearchitect when the structure blocks the required outcome; and rebuild only when the existing implementation cannot meet that outcome economically. The best program uses the smallest change that works, stages larger changes, and measures success against the business result rather than the novelty of the technology.
