Amazon is a Delaware corporation whose annual report consolidates its subsidiaries and reports three segments. Alibaba is a Cayman Islands holding company that uses subsidiaries and, for certain restricted businesses in China, contractual variable interest entity (VIE) arrangements. Investors buy securities in the parent companies; that does not mean they directly own every operating asset.
Who owns Amazon and Alibaba?
Both companies have publicly traded parent issuers. A shareholder or securities holder has an interest in the relevant issuer, not necessarily direct legal title to each subsidiary, business, or underlying asset. The available filings do not provide a complete, current beneficial-ownership comparison, so they do not support naming a controlling owner or assigning current ownership percentages to particular investors.
Amazon: a Delaware public-company parent
Amazon.com, Inc. is incorporated in Delaware. Its 2025 Form 10-K discusses Amazon.com, Inc. and its subsidiaries as the consolidated company. It reported 10,734,920,870 common shares outstanding as of January 28, 2026; that is a point-in-time share count, not a breakdown of who owned those shares. The filing incorporates certain director, governance, and beneficial-ownership information from Amazon’s 2026 proxy statement rather than reproducing it in the 10-K. Amazon 2025 Form 10-K.
Alibaba: a Cayman Islands holding company
Alibaba Group Holding Limited is incorporated in the Cayman Islands. In its Form 20-F for the year ended March 31, 2025, Alibaba describes itself as a holding company that does not directly conduct operations itself. It says it owns a significant majority of assets and operations in subsidiaries, with a significant majority of revenue captured directly by subsidiaries; some businesses are conducted through VIE arrangements. Alibaba securities include ordinary shares listed on the Hong Kong Stock Exchange under 9988 (HKD counter) and 89988 (RMB counter), and American depositary shares (ADSs) listed on the NYSE under BABA. Alibaba’s FY2025 filing says each ADS represents eight ordinary shares. An ADS is a security tied to the issuer’s ordinary shares; it should not be confused with direct ownership of the company’s operating assets.
What does Alibaba’s VIE structure mean?
Alibaba says it uses VIEs for certain internet and other businesses where Chinese law restricts or prohibits foreign investment. The VIEs are incorporated in China and owned by PRC citizens or entities owned or controlled by PRC citizens—not by Alibaba Group Holding Limited. Alibaba describes contractual arrangements connecting the relevant parties. That is different from the parent directly owning the VIE shares.

The distinction is specific to certain businesses: it would be inaccurate to say that every Alibaba asset or revenue stream is held through a VIE. The company says the significant majority of its assets and operations are in subsidiaries, and the significant majority of revenue is captured directly by subsidiaries.
Why cash movement matters
Alibaba says it relies on dividends and other distributions from operating subsidiaries to meet holding-company financing needs, including expenses, debt service, intercompany loans, share repurchases, and dividends. The company warns that subsidiary debt instruments or restrictions on fund transfers could limit distributions or remittances. This is a structural risk disclosed by Alibaba, not a prediction that transfers will necessarily be blocked.

The filings establish Alibaba’s Cayman parent, its disclosed VIE arrangements, and the stated reliance on subsidiary distributions. They do not, on their own, establish a categorical claim that Alibaba is owned by the Chinese government.
How are Amazon and Alibaba’s business models different?
Amazon’s filing presents a portfolio spanning commerce and cloud computing, while Alibaba’s current company description emphasizes AI, cloud, and consumption alongside technology infrastructure and marketing reach for businesses. These are the companies’ own descriptions, not independent judgments about performance or profitability.

Alibaba’s May 20, 2026 announcement confirms that it filed its FY2026 Form 20-F and states its current strategic positioning. Amazon also states, “We seek to be Earth’s most customer-centric company.” Its 10-K lists principles including customer obsession, invention, operational excellence, and long-term thinking. These are Amazon’s stated aspirations and principles, not an independent assessment of results.

A numerical comparison of business scale or segment performance would require matched reporting periods and definitions. Amazon’s cited 10-K covers the year ended December 31, 2025; Alibaba’s cited FY2025 Form 20-F covers the year ended March 31, 2025. Those periods do not align, so figures drawn from them should not be presented as a like-for-like comparison.

The filings support a high-level distinction in legal framework and structure, but not a simple ranking of governance quality or shareholder influence. Amazon is a Delaware-incorporated U.S. public company reporting under SEC rules. Alibaba is a Cayman Islands holding company with U.S. and Hong Kong listings and a disclosed VIE structure for certain regulated PRC businesses.
Amazon’s 2025 10-K points to its 2026 proxy for specified director, governance, and beneficial-ownership details. Alibaba’s FY2025 20-F contains governance disclosures for its reporting period. Without examining the relevant proxy and specific governance mechanisms side by side, the available evidence does not establish a quantified comparison of board independence, voting control, or shareholder influence.
