Ghostty became a nonprofit initiative in December 2025 through fiscal sponsorship by Hack Club, a registered 501(c)(3)—not by creating a separate nonprofit organization. Hack Club handles charitable administration and compliance, while Ghostty says creator Mitchell Hashimoto remains project lead and final authority. The project also says its MIT license and existing permissions have not changed.
What Ghostty’s nonprofit status means
Ghostty is a terminal emulator whose project website describes it as “a fast, feature-rich, and cross-platform terminal emulator that uses platform-native UI and GPU acceleration.” The project says its nonprofit structure began in December 2025, with Hack Club serving as its fiscal sponsor.
In a fiscal sponsorship arrangement, a charitable organization provides administrative and compliance support for an initiative operating under its sponsorship. For Ghostty, Hack Club administers donations, accounting, compliance, and oversight. That lets the project conduct charitable operations without first forming and maintaining a standalone nonprofit.
Ghostty says it chose sponsorship to reduce setup and ongoing overhead, begin charitable operations faster, and gain compliance support and accountability. Those are the project’s reasons for its own arrangement, not a claim that fiscal sponsorship is best for every open-source project. Ghostty’s funding page says, “Being a non-profit provides important legal protections to the people and communities that adopt and contribute to Ghostty”; that is the project’s stated rationale, not an independent legal assessment. Ghostty’s explanation of its nonprofit structure and financial support information provide its account of the arrangement.

Who administers Ghostty and who makes project decisions?
Hack Club’s role is administrative and supervisory: it provides fiscal, accounting, compliance, and mission-alignment oversight. Ghostty says Hashimoto remains project lead and final authority under a “BDFL” governance model. That authority includes decisions about the direction of project funds, subject to the mission and legal requirements.
The arrangement therefore separates charitable administration from day-to-day project authority. Ghostty is not saying Hack Club has taken over technical leadership, nor that the project has adopted a new independent governing board.

Before the transition, Hashimoto wrote in a GitHub project discussion, “Do not fear: I have no plans to make Ghostty a for-profit corporate entity,” and described Ghostty as “first and foremost a personal, passion project.” These were historical statements, not new comments issued with the nonprofit transition. Ghostty’s governance and license information describes the current structure.
Where donations go
Ghostty says donations fund contributor compensation, project services, and upstream open-source work. Its current Financial Support page states that 7% of donations go to Hack Club for fiscal-sponsorship administration and support for Hack Club’s wider mission. The same page lists a current global contributor contract rate of $60 USD per hour. Both are current-page figures and may change over time.

- Operating services: Costs such as hosting, bots, continuous integration, and code signing.
- Upstream open-source projects: Contributions to projects Ghostty relies on or benefits from.
- Sponsorship administration: The stated 7% share of donations supports Hack Club’s administration and wider mission.
Ghostty says project funds do not go to the personal benefit of Hashimoto, whom the project also describes as its largest donor. See the project’s financial support page and Ghostty 1.3.0 release notes for the stated spending purposes and dated contract count.
Did Ghostty’s license change?
No. Ghostty says it remains MIT-licensed and that the license’s existing permissions are unchanged. The nonprofit transition concerns how the project is fiscally administered and supported; it does not, according to the project, replace or narrow the MIT license. Readers can review Ghostty’s statement on governance and licensing.

How fiscal sponsorship differs from a standalone nonprofit
Ghostty’s choice makes sense in light of the trade-offs it identifies. Fiscal sponsorship uses an existing charitable organization’s infrastructure; a standalone nonprofit would require a separate entity and its own ongoing administration. The project emphasizes cost, speed, compliance support, and oversight as the relevant factors in its decision.
| Consideration | Ghostty’s fiscal sponsorship | Standalone nonprofit |
|---|---|---|
| Setup and ongoing cost | Ghostty says sponsorship reduces setup and ongoing overhead compared with establishing a separate nonprofit. | Ghostty says creating a separate nonprofit would involve greater cost and overhead; it does not publish a specific amount. |
| Speed to charitable operations | Ghostty says the arrangement provided faster access to charitable operations. | Ghostty says a standalone entity would take longer to establish; it does not give a timeline. |
| Compliance and accounting | Hack Club administers compliance and accounting for the sponsored project. | Would require the separate organization to establish and manage its own administration; Ghostty does not detail a specific process or cost. |
| Oversight and accountability | Hack Club provides oversight for alignment with the mission and legal obligations. | Ghostty does not describe a proposed standalone governance or oversight structure. |
Hack Club founder Zach Latta called Ghostty’s choice “a good-for-good trade,” as quoted on the project’s financial support page. That phrase captures the project’s view of the sponsor relationship, rather than a general assessment of which structure works best for other projects. Ghostty’s financial support page explains its stated comparison.
