Its FY2022 Form 10-K gives the more precise aggregate purchase price: $330.1 million. WhiteHat added SaaS-delivered application-security testing, particularly dynamic application security testing (DAST), to Synopsys’s portfolio. Synopsys later divested its Software Integrity Group in August 2024, so the acquisition is historical rather than a current expansion of Synopsys’s security business.
How much did Synopsys pay for WhiteHat Security?
The transaction’s reported price depends on the level of precision. Synopsys announced an approximately $330 million all-cash deal on April 27, 2022, and its June 22 completion announcement also rounded the payment to $330 million. In its FY2022 Form 10-K, Synopsys recorded an aggregate purchase price of $330.1 million in cash for all outstanding shares of NTT Security AppSec Solutions Inc., which operated as WhiteHat Security.
The deal was an acquisition from NTT Security Corporation. At the time of the April announcement, Synopsys said the agreement remained subject to regulatory review and customary closing conditions and forecast a close in its fiscal third quarter of 2022. That was a forecast; the company subsequently announced completion on June 22.
What did WhiteHat add to Synopsys?
Synopsys described WhiteHat as a provider of application-security software as a service and DAST technology. It said the acquisition would strengthen its application-security testing portfolio by adding SaaS capability and complementing existing testing approaches. That was Synopsys’s stated strategic rationale, not a separately demonstrated outcome of the acquisition.

DAST tests an application while it is running, whereas static analysis examines software without running it. Synopsys’s June 2022 completion announcement described the combination as bringing WhiteHat’s SaaS-delivered testing and expertise into its application-security portfolio. Jason Schmitt, then general manager of the Synopsys Software Integrity Group, said: “WhiteHat Security helped pioneer SaaS delivery of application security testing and brings powerful technology and expertise into our application security portfolio.”

Synopsys’s acquisition-history page lists WhiteHat among its 2022 software-security acquisitions and states that it divested the Software Integrity Group in August 2024. Earlier, in May 2024, Synopsys announced an agreement to sell the business to Clearlake Capital and Francisco Partners, valuing the transaction at up to $2.1 billion and forecasting a close in the second half of that year, subject to customary conditions. That May announcement described an expected sale; the later acquisition-history page supplies the divestiture status.
The established fact is the divestiture of the Software Integrity Group. The cited company information does not verify the current product name, branding, availability, or ownership arrangement for every WhiteHat-related asset, so the 2022 acquisition should not be read as evidence that WhiteHat is currently part of Synopsys’s product portfolio.
