A Chinese EV brand’s shares or U.S.-listed ADSs may represent equity in an offshore holding company—not direct ownership of the Chinese operating business. This is a due-diligence checklist, not a recommendation to buy any particular stock.
1. What security are you actually buying?
Start with the instrument in your brokerage account, not the vehicle brand. A U.S.-listed American depositary share (ADS), an offshore ordinary share, and a share traded in Hong Kong may have different legal terms even when they relate to the same company.
- Find the issuer’s legal name and place of incorporation. Do not assume the listed company is the same legal entity as the Chinese company that makes or sells the vehicles.
- Read the deposit agreement for an ADS. Confirm the ADS-to-ordinary-share ratio, the class of underlying shares, depositary fees, voting mechanics, and how dividends or corporate actions are handled.
- Identify the listed parent and operating entities. Use the latest annual filing’s organization chart and descriptions of subsidiaries and variable interest entities (VIEs), rather than relying on a brand name or investor summary.
- Check for other listings. Record the share class and trading venue for each line, then verify that the security available to you is the one you intend to own.
Li Auto’s 2025 Form 20-F describes its issuer as a Cayman Islands holding company with no equity ownership in its VIEs. It says holders of its ordinary shares or ADSs own equity in that offshore company, not direct equity in the VIEs. That is Li Auto’s disclosed structure, not a template for every Chinese EV company; inspect the target issuer’s own filing.
2. How dependent is the company on VIE contracts, regulation, and cash transfers?
Trace the chain from the listed parent to its PRC subsidiaries, operating companies, and any VIEs. A VIE structure can give an offshore company contractual rights connected to an operating business without transferring ownership of that business to the offshore company. The U.S.-China Economic and Security Review Commission (USCC) explains this general structural concern and notes that VIE contract enforceability has not been tested in Chinese courts. Its discussion provides policy context; it does not establish the structure or risk level of every EV issuer.

- Map the contractual links. Identify which entity holds operating licences, assets, employees, or customer relationships, and which entities have contractual arrangements with it. Read the filing’s discussion of what happens if those arrangements are challenged or cannot be enforced.
- Check regulatory dependencies. Look for disclosures on foreign investment restrictions, China Securities Regulatory Commission (CSRC) overseas-offering filing requirements, cybersecurity reviews, data rules, permits, and other approvals relevant to the company’s business or financing.
- Separate completed steps from future risks. A filing may report that a particular offering or operation completed a required filing or received an approval, while warning that a future transaction or change in rules could require additional steps. Do not treat a general risk warning as proof that an approval is missing—or a completed filing as blanket approval for future activity.
- Follow the cash path. Determine which entities earn and hold cash, whether funds are restricted, and what approvals, taxes, or other constraints may affect transfers to the offshore parent or shareholders.
Li Auto’s 2025 Form 20-F warns that future capital-market activity could face CSRC or cybersecurity review requirements and that procedures could be delayed or unavailable. XPeng’s 2024 filing describes the parent’s dependence on dividends from PRC subsidiaries and service fees from VIEs for parent-level obligations. XPeng’s example is from an older filing; check its latest disclosures before relying on it.
3. Can the auditor be inspected, and is there an HFCAA risk?
Find the auditor named in the company’s latest annual filing, then check the Public Company Accounting Oversight Board (PCAOB) for inspection access and the U.S. Securities and Exchange Commission (SEC) for its current Commission-Identified Issuer lists. Record the date of your check: access and issuer status can change.

The Holding Foreign Companies Accountable Act (HFCAA) does not mean that every Chinese issuer is automatically facing an immediate U.S. trading ban. Li Auto’s 2025 Form 20-F says the PCAOB’s December 2022 determination restored inspection access for mainland China and Hong Kong. The filing also warns that if full access is lost again, issuer identification could follow and a U.S. trading prohibition could result after two consecutive years of non-inspectable audits under the described rules. The USCC likewise describes a two-year mechanism and the possibility that the issue could return if access is obstructed. Treat those as dated disclosures, not a substitute for checking current PCAOB and SEC records.
4. Is the company financially resilient, and where is its cash?
Use several periods of audited financial statements plus the latest interim report. A single quarter, delivery milestone, or cash balance cannot show whether the business can fund operations through a downturn or product transition.

- Read growth with margins. Compare revenue with gross margin and operating margin. Check whether higher sales are accompanied by better economics or whether pricing, product mix, or costs are eroding margins.
- Compare cash generation with liquidity needs. Review operating cash flow, capital expenditure, cash and short-term investments, debt, lease obligations, and near-term maturities. Compare cash burn with available liquidity rather than using an unsupported universal cash threshold.
- Check working capital. Track inventory and receivables alongside sales. Changes can affect cash conversion and may warrant closer reading of the filing’s explanations.
- Inspect the quality and location of liquidity. Determine which legal entities hold cash, whether any is restricted, and what approvals, taxes, or transfer constraints could affect access at the listed parent.
- Account for dilution. Review share-based compensation, outstanding awards, convertible securities, and changes in the share count. A growing business can still dilute existing holders.
Issuer filings are the primary evidence for these questions. The available filings do not establish a current, comparable cash or profitability ranking across Chinese EV makers, so assess each company against its own statements and financing needs.
5. Do vehicle sales translate into durable economics?
Deliveries matter, but they are only one part of the investment case. Test whether the company can sell vehicles at attractive economics, execute product launches, and convert activity into recurring cash generation in a competitive market.

- Break down deliveries. Track volume by model and geography where disclosed. Look for changes in mix, average selling price, and the balance between new launches and established models.
- Connect volume to profitability. Compare delivery growth with gross margin, warranty costs, inventory, factory utilization, and operating cash flow. Growth that depends on heavy discounting or does not improve cash generation may be less valuable than the headline volume suggests.
- Evaluate the product and execution cycle. Check launch cadence, refresh timing, production ramp disclosures, distribution, service revenue, and the company’s ability to deliver on technology claims. Distinguish company-reported deliveries from independently validated retail demand.
- Compare competitors on like-for-like terms. Consider price positioning, product refreshes, manufacturing scale, distribution, and vehicle segments. Include Chinese and foreign competitors relevant to the same customer and market; avoid treating unlike business models as direct peers.
Li Auto’s 2025 and NIO’s 2025 filings both describe intense competition in China’s automotive market, including pressure from established automakers, new entrants, and product or pricing competition. Those are issuer-disclosed risks, not independent peer analysis.

Value the security you can actually buy, using current market data—not an old quote, a different share class, or a headline valuation for the brand. Current share prices, valuation multiples, exchange rates, and trading access require a fresh check close to the decision date.

- Use a current diluted share count. Pair the current price with a fully diluted share count to estimate equity value, then account for cash, debt, leases, and other relevant claims when comparing enterprise value.
- Choose meaningful comparisons. Revenue multiples may help when earnings are negative or volatile, but do not replace analysis of margins and cash needs. Use earnings multiples only when earnings are sufficiently meaningful, and compare peers with different business models cautiously.
- Check the trading mechanics. Confirm ADS ratio, underlying ordinary share class, U.S. or Hong Kong listing line, trading hours, currency conversion, liquidity, and whether your broker and custodian support the security.
- Investigate price differences rather than assuming equivalence. Two lines tied to one issuer can trade in different currencies and sessions and may not be interchangeable for every investor. Verify their terms and the practical costs of access before comparing prices.
How to compare two Chinese EV issuers
Use the same questions and reporting periods for both companies. A concise comparison should cover these axes:
- Corporate structure, operating ownership, and VIE dependence
- Regulatory exposure, auditor inspection access, and current SEC HFCAA status
- Financial resilience, dilution, and where cash is held
- Delivery mix, margins, cash generation, and product execution
- Competitive positioning and the business models behind reported growth
- Valuation, share class, listing venue, currency, liquidity, and security terms
Keep broad market context separate from company-specific evidence. In its report last updated March 7, 2025, the USCC counted 159 Chinese companies using VIEs among those listed on the three major U.S. exchanges; it said those issuers represented US$1 trillion, or 91 percent, of the total market capitalization of Chinese firms on those exchanges. These are report figures for a broad group, not counts or current market measurements for Chinese EV companies.
