The aim, AMD said, was to add expertise in designing and deploying large-scale AI infrastructure. AMD had also said from the outset that it planned to sell ZT’s U.S.-based manufacturing business. That sale closed with Sanmina on October 27, 2025, leaving AMD with selected design-related intellectual property and employees rather than the entire ZT operation.
Why AMD bought ZT Systems
ZT Systems provided AI and general-purpose compute infrastructure for large hyperscale providers. AMD’s stated strategy was to combine ZT’s systems design, rack-scale engineering and customer-enablement expertise with AMD CPUs, GPUs, networking and ROCm software. The intended result was to help cloud and enterprise customers deploy AMD-based AI infrastructure more quickly and at scale. AMD described that rationale when it announced the deal.
At the announcement, AMD CEO Lisa Su called the acquisition “the next major step” in AMD’s AI strategy, saying the company aimed to deliver training and inference solutions that could be rapidly deployed across cloud and enterprise customers. That statement describes AMD’s goal, not evidence that the acquisition achieved particular customer or financial results.
AMD cited a data-center AI accelerator opportunity of $400 billion by 2027 in its 2024 announcement. In its March 2025 acquisition-closing release, AMD cited a $500 billion opportunity by 2028. Both are AMD forecasts, made at different times for different target years, not measured market outcomes. The later figure appeared in AMD’s closing announcement.

What AMD acquired, and what it planned to sell
The transaction involved two distinct parts of ZT Systems: design and customer enablement, and U.S.-based infrastructure manufacturing. AMD announced in August 2024 that it would seek a strategic buyer for the manufacturing business. The planned sale was part of its public deal plan from the beginning, not a change announced after the acquisition.
When the acquisition closed, AMD said the design teams would join its Data Center Solutions organization. Its 2025 Form 10-K later described retaining selected intellectual property and employees associated with ZT’s design operations; it did not say AMD retained the entire ZT business.

AMD agreed in May 2025 to sell the U.S.-headquartered manufacturing business to Sanmina. The sale closed on October 27, 2025. Sanmina became AMD’s preferred new-product-introduction (NPI) manufacturing partner for cloud rack and cluster-scale AI solutions, while AMD retained the design and customer-enablement teams. AMD announced the sale’s completion.

How much did AMD pay?
The $4.9 billion figure was the announced 2024 cash-and-stock transaction value, including up to $400 million in contingent payments tied to post-closing milestones. It was the deal headline at announcement, not the final purchase consideration AMD later reported.

AMD’s 2025 Form 10-K reported total purchase consideration of $4.409 billion. The components were $3.188 billion in cash paid at closing, 8,335,849 AMD shares valued at $860 million, and contingent consideration initially valued at $361 million. AMD later reported that the contingent consideration liability, after fair-value changes, was settled in October 2025 when the contingencies were fully met. The settlement comprised $300 million in cash and 740,961 AMD shares, and was reported at $482 million.
The manufacturing-business sale also had separate agreement-stage and closing figures. AMD’s May 2025 agreement described a cash-and-stock price of $3 billion, including up to $450 million in contingent payments and customary adjustments. In its 2025 Form 10-K, AMD reported closing consideration of $2.4 billion in cash plus 1,151,052 Sanmina shares, subject to purchase-price adjustments. After cash divested and those adjustments, AMD reported receiving $1.4 billion in net cash; it valued the Sanmina shares at $154 million.

AMD also reported eligibility for up to another $450 million in cash if specified conditions are met through 2028. That amount is contingent, not assured proceeds. AMD’s 2025 Form 10-K reports the final consideration and sale accounting.

The transaction shows how AMD structured the acquisition: bring selected design and customer-enablement capabilities into its data-center business, then transfer the manufacturing operation to Sanmina under a preferred NPI partnership. AMD executive Forrest Norrod described rack-scale innovation as the next chapter in AMD’s data-center strategy when the divestiture closed on October 27, 2025. That is the company’s strategic characterization; the transaction announcements and filings establish the deal structure and completion, not independently measured improvements in customer deployments or financial performance.
