China Huaxin acquired 85% of Alcatel-Lucent’s Enterprise business, completing the sale on September 30, 2014. Alcatel-Lucent retained the other 15%, so it did not sell the entire business. The €205 million reported at closing was cash proceeds for the 85% disposal—not the same figure as the business’s valuation when the deal was announced.
Who bought Alcatel-Lucent Enterprise?
The buyer was China Huaxin, a technology investment company. Alcatel-Lucent announced on February 6, 2014, that it had received a binding offer and entered exclusive discussions with China Huaxin. That announcement marked the start of the proposed transaction, not its completion. Nokia’s prospectus records that the transaction closed on September 30, 2014.
How much did China Huaxin pay?
The figures differ because they describe different stages and measures of the transaction. At announcement, the proposed deal valued the business at €268 million on a cash-free, debt-free enterprise-value basis, with an estimated equity value of €237 million for 100%. At closing, Alcatel-Lucent reported €205 million in cash proceeds for the 85% stake it disposed of.
| Figure | What it describes |
|---|---|
| €268 million | Enterprise value of the business contemplated at announcement, on a cash-free, debt-free basis. |
| €237 million | Estimated equity value for 100% of the business at announcement. |
| €205 million | Cash proceeds reported at closing for the disposal of 85%. |
These are not directly interchangeable amounts: the first two were announcement-stage valuation measures, while the third was cash proceeds for the portion actually sold. The filings cited here do not establish a like-for-like reconciliation between them.

Did Alcatel-Lucent sell the entire Enterprise division?
No. Alcatel-Lucent sold 85% and retained a 15% stake in the newly created French holding company, according to a contemporaneous closing report. The sale was therefore a transfer of majority ownership, not a complete exit.
What happened to the business after the sale?
Alcatel-Lucent Enterprise continued to work with Alcatel-Lucent under a privileged business relationship, as reported at the time of closing. The ownership change did not mean the companies immediately stopped working together.

Separately, on July 3, 2017, Nokia and China Huaxin closed the creation of Nokia Shanghai Bell, combining Alcatel-Lucent Shanghai Bell with Nokia’s China business. That later China transaction is distinct from the 2014 sale of Alcatel-Lucent Enterprise; it should not be treated as the closing of the ALE deal. Nokia’s announcement describes the 2017 combination.

Alcatel-Lucent presented the transferred Enterprise business as discontinued operations and re-presented comparative periods in its financial statements. That accounting treatment distinguishes the disposed business from the continuing operations shown in the company’s reporting.
