AMETEK announced that it had acquired Teseq Group on January 3, 2014, for CHF 83 million (reported at the time as $92 million). Teseq made electromagnetic compatibility (EMC) compliance-testing systems and radio-frequency (RF) amplifiers. The transaction placed the privately held Swiss company in AMETEK’s Electronic Instruments Group.

When did AMETEK acquire Teseq, and for how much?

AMETEK announced the acquisition on January 3, 2014. Its announcement put the purchase price at CHF 83 million ($92 million). At the time, Teseq was privately held, headquartered in Luterbach, Switzerland, and generating approximately CHF 48 million ($53 million) in annual sales. These are figures reported by AMETEK in 2014, not current financial data. AMETEK’s January 3, 2014 announcement filed with the SEC is the primary source for the transaction details.

What did Teseq make?

Teseq made systems for conducted and radiated EMC compliance testing, along with RF amplifiers. EMC testing evaluates whether electronic equipment emits or withstands electromagnetic interference within applicable requirements. Teseq’s stated customer markets included aerospace, automotive, consumer electronics, medical equipment, telecommunications, and transportation.

AMETEK described Teseq as having a comprehensive product offering, but the announcement does not identify individual models or establish which products remain available today.

Why did AMETEK say the acquisition fit?

AMETEK said Teseq complemented its electrical test and measurement business and its EM Test business, which it had acquired in 2011. The companies’ stated connection was their work in EMC testing; AMETEK also pointed to Teseq’s product range and geographic coverage.

AMETEK Chairman and CEO Frank S. Hermance called Teseq “an excellent addition to our electrical test and measurement business” and described it as a global leader in conducted and radiated EMC test equipment. He said the addition offered opportunities to accelerate product innovation and expand markets worldwide. Those statements express the acquirer’s rationale and expectations at the time; they are not independent evidence of later results.

Where did Teseq operate?

At the time of the announcement, Teseq reported manufacturing and development operations in Switzerland, Germany, the United Kingdom, and the United States. It also reported direct sales offices in China, France, Germany, Japan, Singapore, Switzerland, Taiwan, the United Kingdom, and the United States. AMETEK cited this reach as part of the business fit and its opportunity for worldwide market expansion.

How large was the deal in AMETEK’s 2014 context?

AMETEK’s announcement said Teseq would join its Electronic Instruments Group, which had reported 2012 sales of $1.9 billion. AMETEK also described its own annualized sales as $3.6 billion. Both figures are historical context as reported in 2014; they should not be read as current sales figures.

Does Teseq still operate as a separate brand?

The 2014 announcement does not establish Teseq’s present-day brand status, how its products are marketed now, or which specific product lines continue. It supports a historical account of the company and acquisition, not a current product catalog or claim that Teseq remains a separate brand.
