But the token alone does not tell you what you legally own: it may record a share, represent an indirect interest in shares held by a custodian, or be a separate instrument that merely tracks a stock’s price.
What does “tokenized stock” mean?
Tokenization describes how a security is represented and how ownership records are maintained; it does not guarantee a particular ownership right. SEC staff’s Statement on Tokenized Securities of January 28, 2026, describes tokenized securities as financial instruments covered by securities laws and represented by crypto assets, with ownership records maintained in whole or in part on crypto networks.
Traditional shares are recorded through conventional issuer or intermediary systems. A tokenized arrangement may bring a distributed ledger into those records, or put a token in a separate chain of custody or contractual relationship. As SEC staff put it, “The format in which a security is issued or the methods by which holders are recorded (e.g., onchain vs. offchain) does not affect application of the federal securities laws.” That staff statement is not itself a Commission rule.
What are the three main tokenized-stock structures?
The key distinction is who issues or records the token, what claim the holder has, and whether the token connects to the company’s shares at all.

These structures are not interchangeable. SEC staff’s January 2026 statement says tokenized securities vary in structure and in the rights afforded to holders. A blockchain transaction, listing, or price correlation alone cannot establish ownership of the referenced company’s shares.
Are tokenized stocks real shares?
Sometimes a tokenized product may represent an issuer-recorded share or an indirect entitlement to shares held in custody. In other cases, the token is a separate third-party obligation and does not give the holder rights against the referenced company. The product’s legal documents—not the word “tokenized”—determine which arrangement applies.

For an issuer-sponsored token, verify whether it is the same class of stock as the conventional share and whether its governing documents give holders the same rights. For a custodial token, determine what security entitlement is created and how it is recorded. For a synthetic token, assess the issuer’s promise and ability to perform; do not assume the company itself owes the holder anything.
Do tokenized stocks have voting and dividend rights?
They may, but the answer depends on the structure and class. An issuer-sponsored token may carry rights associated with its share class, while a custodial arrangement may pass rights through an intermediary. A synthetic product may provide no voting or dividend rights against the referenced company. Even an issuer-sponsored token should be checked against the relevant class terms rather than assumed to match another form of the company’s stock.

How do tokenized stocks differ from traditional shares?

What could tokenization change—and what is not guaranteed?
The SEC Investor Advisory Committee’s 2026 recommendation describes conventional settlement as T+1—a one-day delay between a broker trade and settlement—and discusses the possibility of token delivery and payment occurring as one atomic transaction. It also describes the possibility of more direct and timely information about a company’s shareholder base.

Those are potential effects, not proof that every tokenized stock settles instantly, costs less, or improves investor outcomes. The actual settlement process and operational controls depend on the product and its market arrangements.
What is the U.S. regulatory position in 2026?
SEC staff’s framework for tokenized securities
The SEC staff statement of January 28, 2026, describes issuer-sponsored tokens, custodial security entitlements, and synthetic products, emphasizing that structure and holder rights matter. It says tokenization does not remove securities-law treatment; the statement expresses staff views and should not be mistaken for a Commission rule.
Conditional relief for certain venues
In a September 17, 2026 statement, SEC Chairman Paul S. Atkins described temporary, conditional exemptive relief for certain Tokenized Securities Venues and liquidity providers. The stated conditions include U.S.-person status and sanctions compliance, permissioned access, an issuer opportunity to object, and eligible tokenized NMS stocks providing the same rights and privileges as traditional stock, including dividends and voting. The statement also says securities anti-fraud and anti-manipulation provisions continue to apply. This is a limited pathway for covered participants and securities, not general approval of every tokenized stock product.

Federal Reserve capital-treatment FAQ
The Federal Reserve Board’s FAQ, last updated March 5, 2026, addresses eligible tokenized securities that confer legal rights identical to their non-tokenized forms. It says the technology used to issue and transact in a security generally does not change its capital treatment, while banking organizations must still apply risk-management practices and meet applicable requirements. The FAQ expressly does not cover tokens that lack identical legal rights.

- Identify the issuer and legal obligation. Check whether the company, its agent, a custodian, or another third party issues the token, and determine who is legally responsible to the holder.
- Read the instrument and class terms. Confirm whether it represents a share, a security entitlement, or a separate linked product; for a share, verify its class.
- Check rights and how they are exercised. Look for voting, dividend, and information rights, and determine whether an intermediary must pass them through or act on the holder’s behalf.
- Trace custody and records. If shares are held by a custodian, establish who holds them and how the token holder’s entitlement is recorded.
- Understand failure and counterparty scenarios. Find the documents explaining the holder’s claim if an issuer, custodian, or other intermediary becomes unable to perform.
- Review market and exit rules. Check who may transfer or trade the token, whether conversion or redemption is available, and the conditions that apply.
The Investor.gov/SEC Office of Investor Education and Assistance page Tokenized Securities, which includes the SEC interpretive release dated March 17, 2026, and the SEC staff’s January 2026 statement are useful starting points for understanding the distinctions. The actual offering documents establish the terms of a particular product.
