Before buying an offshore drilling stock, check whether the company’s rigs fit current customer demand, whether reported backlog is firm and likely to turn into operating cash, and whether that cash can cover debt and the spending needed to keep rigs working. A large fleet or backlog alone does not establish that shareholders will benefit.

Use the latest annual and quarterly filings together with the company’s fleet-status report. Offshore contractors are differentiated businesses: rig type, technical capability, location, contract terms, operating performance and financing can matter as much as the broad outlook for oil prices.

How does an offshore drilling contractor make money?

Contractors generally own and operate drillships, semi-submersible rigs and/or jack-up rigs, then provide the equipment and crews to oil and gas producers under contracts commonly priced by the day. Seadrill describes its business as worldwide offshore drilling, serving major oil companies, state-owned national oil companies and independent producers in its 2025 annual filing.

A contractor’s revenue depends on more than the number of rigs it owns. It needs rigs that match customer requirements, contracts that cover operating days, and the ability to perform the work at rates that exceed operating and financing costs. Revenue can also be affected by customer budgets, actual realized rates, downtime, mobilization and maintenance.

Does the fleet fit the work customers are hiring for?

Compare rigs by class and capability

Start with the fleet, rig by rig. Note whether each unit is a drillship, semi-submersible or jack-up, then record its age, technical specification, water-depth capability and suitability for harsh environments. These attributes determine which tenders it can compete for; fleet size alone does not.

Noble’s 2025 annual filing says demand varies by geography and water depth and notes customer focus on high-specification floaters. Compare floaters with floaters and jack-ups with jack-ups before comparing companies. A jack-up utilization statistic does not describe demand for deepwater drillships.

Check each rig’s actual status

Classify units as working, available, warm-stacked, cold-stacked, under repair or in a shipyard, and identify any future contract start. An idle or stacked rig may need repair, reactivation or other investment before it can earn revenue. Check the filing and fleet-status report for expected timing and spending rather than assuming that every listed rig is commercially ready.

How firm is the backlog, and when could it become revenue?

Read the latest fleet-status report alongside the latest filing. For each rig, record the customer, contract start and end dates, firm term, options, disclosed dayrate, mobilization or shipyard intervals, termination provisions and whether the fixture is signed or conditional.

Definitions matter. Transocean’s June 2026 Form 10-Q states: “Our contract backlog includes only firm commitments, which are represented by signed drilling contracts or, in some cases, by other definitive agreements awaiting contract execution.” The company defines backlog using the maximum contractual operating rate multiplied by days remaining in firm contract periods; its definition excludes options and conditional commitments. Those are Transocean’s definitions, not a universal measure that makes peer backlog totals automatically comparable.

Transocean reported approximately $6.7 billion of backlog as of August 5, 2026. In the same release, it separately identified $1.0 billion of Equinor work subject to license-partner approval. The figures describe Transocean only; the pending approval illustrates why a headline total should be checked against the status and terms of the underlying work.

Assess backlog quality by asking when the contracted days occur, what rates apply, how much work depends on a few customers, and whether extensions are options rather than firm days. Compare expected contract revenue with operating and maintenance costs, mobilization, taxes, interest and capital spending. Backlog is an indicator of contracted work, not a promise of full revenue, free cash flow or shareholder returns.

Are contracted days turning into earned revenue?

Separate utilization from revenue efficiency

Utilization measures operating days against available calendar days; revenue efficiency compares recognized revenue with the maximum revenue possible under the relevant measure. They answer different questions. A rig can be counted as operating while earning less than its headline rate, and a contracted rig may lose time to repair, waiting or mobilization.

Transocean defines rig utilization as operating days divided by rig calendar days and reports revenue efficiency separately. For the quarter ended June 30, 2026, it reported:

These are Transocean’s company-reported figures for the quarter ended June 30, 2026, not sector averages. The difference between the two rig classes is a reminder to inspect fleet mix rather than rely on one fleet-wide figure.

Investigate downtime and realized rates

Review operating days, utilization, revenue efficiency, average realized dayrate and explanations of downtime. Contractual dayrate is not necessarily earned for every day: waiting-on-weather, repair, standby, force majeure or zero-rate periods may apply. Repair and mobilization can also reduce earning time. Compare the reported results with the company’s explanation of maintenance, shipyard work and rig-specific interruptions.

Can cash flow support the debt and the fleet?

Use the latest audited annual report and subsequent quarterly filings. Look beyond a headline earnings figure to the cash available after essential spending. A company may report activity or accounting profit while still needing substantial funds for interest, rig upkeep, reactivation or refinancing.

  • Liquidity and debt: Review unrestricted cash, available liquidity, gross and net debt, interest expense, maturities, secured obligations and covenant terms.
  • Cash generation: Examine operating cash flow and reconcile non-GAAP measures. Separate recurring operations from asset sales or other one-off sources.
  • Fleet spending: Check capital expenditure, maintenance, reactivation, shipyard and lease obligations, including the timing and funding source for planned work.
  • Equity dilution: Look for planned share issuance and the company’s recent use of equity financing. Borr Drilling reported that its 2025 financing cash flow included $177.2 million in net proceeds from common share issuances and $159.3 million in net debt proceeds, partly offset by $141.5 million of debt repayments. These are Borr’s reported 2025 figures, not an industry norm.

Ask whether cash flow after necessary rig spending could reduce debt or support shareholders through a weaker part of the cycle. A company that needs refinancing or repeated share issuance may deliver a different equity outcome from one with similar rigs and backlog but more financial flexibility.

How should you compare the market and peer companies?

Offshore drilling is cyclical. Demand can shift with commodity-price expectations, producer budgets, rig supply, customer suspensions, operating-cost inflation and energy policy. Assess current filings and market conditions rather than treating a favorable outlook as a certain forecast.

Borr Drilling’s 2025 annual filing reported that global competitive jack-up utilization was approximately 88% in March 2026, based on industry reports including S&P Global. It also reported that average global modern jack-up dayrates for contracts executed in calendar 2025 declined approximately 19% versus 2024, citing S&P Global. These are jack-up market figures as reported by Borr, not measures of the entire offshore fleet.

Noble’s 2025 annual filing described near-term utilization headwinds for floaters and jack-ups compared with 2023–2024, alongside uncertainty around economic conditions, trade policy and commodity prices. Noble also noted that a multiyear contract may leave an interim utilization gap if the rig cannot be placed before the next contract begins. These are management disclosures and assessments, not guaranteed outcomes.

For a useful peer comparison, line up companies on the same basis:

  • Rig class, technical specification and geography.
  • Working, idle, stacked, under-repair and future-contract status.
  • Firm backlog, options, pending approvals, contract timing and customer concentration.
  • Utilization, revenue efficiency, realized rates and downtime.
  • Maintenance, reactivation and capital-spending requirements.
  • Net debt, interest burden, liquidity, refinancing schedule and potential dilution.
  • Geographic, tax, political, environmental, regulatory and litigation exposures.

Which company-specific risks should you check?

Review risk factors and subsequent-event disclosures in the latest filings, then look for details in fleet reports and contract disclosures. Pay particular attention to:

  • Customer concentration, suspension rights, termination terms and contract disputes.
  • Safety performance, environmental incidents, permitting and local-content requirements.
  • Sanctions, trade restrictions, tax uncertainty, foreign exchange and liability-insurance limits.
  • Debt or liquidity events, material repairs, delayed starts and changes to previously reported contract status.

These risks vary by issuer and contract. Transocean, Noble, Seadrill and Borr disclosures establish that downtime, repairs, customer suspensions, financing needs and market changes can matter; they do not establish every company’s current legal, safety, environmental or regulatory position. Make company-specific judgments only from that issuer’s current documents.

What is a practical pre-purchase decision process?

  1. Choose the comparison set: Compare the company with contractors that have similar rig classes, specifications and regions.
  2. Map the fleet: For each rig, record operating status, contract dates, firm days, options, rate disclosures and expected maintenance or mobilization.
  3. Test backlog quality: Distinguish firm work from options and conditional commitments, and check customer, timing and termination terms.
  4. Test operating delivery: Compare utilization, revenue efficiency, realized dayrates and downtime explanations by rig class.
  5. Stress the finances: Set expected cash generation against interest, maturities, maintenance, reactivation and other committed spending; identify reliance on refinancing, asset sales or new equity.
  6. Recheck current disclosures: Confirm that fleet status, backlog, debt and contract terms remain current before making a decision. These can change after a reporting date.

Do not rely on a single valuation multiple. Compare enterprise value with normalized earnings or cash flow across a cycle, while treating rig replacement cost cautiously: an idle asset may need substantial spending and may never return to work. A low price-to-book or EV/EBITDA multiple does not resolve refinancing, dilution or contract risk. The company’s share price, enterprise value, balance sheet and latest disclosures must be checked at the time of any investment decision.
