A stock warrant gives its holder the right, but not the obligation, to buy a specified number of a company’s shares at a stated exercise price before a deadline. Issuing or distributing warrants does not necessarily create new shares immediately. If warrants are later exercised for newly issued shares, shareholders who do not acquire shares proportionally may own a smaller percentage of the company.
What a stock warrant gives its holder
A warrant is a security with terms set by its issuer. Those terms specify how many shares the holder may buy, the exercise price, and when the right expires. FINRA recommends reviewing the warrant prospectus and related disclosures for these details, including whether the shares issuable on exercise have been registered: FINRA’s guide to warrants.
The right to buy is not an obligation. A holder can choose not to exercise, but a warrant that expires unused may become worthless. The warrant’s own documents—not a general rule for all warrants—determine the actual price, share entitlement, deadline, and other conditions.
How warrants can affect existing shareholders
Distribution does not necessarily mean immediate dilution
It helps to separate three events: a company issues or distributes warrants; a holder exercises a warrant; and, if the terms call for it, the company issues shares. The first event alone does not necessarily increase the number of shares outstanding. For example, Paramount Skydance’s SEC-filed FAQ about a proposed warrant distribution says that distribution would not immediately dilute Class B shareholders, while explaining that ownership could be diluted if warrants were exercised. The proposal was contingent on an acquisition, and its terms should not be treated as universal warrant rules: Paramount Skydance’s SEC-filed FAQ.

New shares can reduce an unexercised shareholder’s ownership percentage
If a warrant is exercised for newly issued shares, the total number of shares outstanding can rise. An existing shareholder who does not acquire a proportional number of shares may then own a smaller percentage of the company. HM Revenue & Customs describes the dilution effect of exercising a warrant to subscribe for company shares, while noting that covered warrants backed by existing shares are an exception: HMRC’s corporate-finance manual.
A lower ownership percentage does not, by itself, establish that the company’s total value or share price will fall. SEC filing language distinguishes ownership or control dilution from possible value dilution and earnings-per-share dilution; these are different effects, not automatic predictions for every warrant exercise: the issuer FAQ’s discussion of dilution.

Which warrant terms to check
Warrant features vary by issue. Use the prospectus, warrant agreement, issuer notices, and broker instructions to check the terms that apply to the specific security. FINRA’s warrant guidance recommends reviewing the prospectus and disclosures; the following checklist helps focus that review.
- Exercise price and share ratio: How much must you pay, and how many shares can you buy for each warrant?
- Expiration and early termination: What is the scheduled expiration date? Can the issuer redeem the warrants or cause them to expire earlier, and how is notice delivered?
- Settlement method: Does exercise require cash for shares, or do the terms allow net-share or cashless settlement under specified conditions?
- Share source and availability: Would exercise result in newly issued shares or shares already held by another party? Are registration or other conditions required before exercise?
- Adjustments and corporate events: How do stock splits, distributions, tender offers, or a change of control affect the exercise price or share entitlement?
- Trading and exercise process: Is the warrant listed or liquid? What instructions does your broker require, and is its cutoff earlier than the contractual deadline?
How to exercise a warrant without missing a deadline
- Read the governing documents. Find the prospectus, warrant agreement, and any issuer notices. Confirm the exercise price, share ratio, expiration, settlement method, and any redemption or adjustment provisions. FINRA points investors to issuer disclosures and SEC EDGAR for information and updates: FINRA’s warrant guidance.
- Check the issuer’s exercise instructions. Determine whether the shares are registered and whether any other stated conditions must be met. Do not assume a cashless or net-share option is available unless the warrant’s terms provide for it.
- Contact your broker or warrant agent promptly. Ask for the required forms, payment method, processing time, and instruction cutoff. A broker’s cutoff may precede the contractual expiration, so waiting until the final day can leave too little time to complete the process.
- Confirm completion. Follow up to verify that the exercise was accepted and learn when shares or any other settlement will appear in your account.
How a warrant differs from a listed stock option
A warrant and a stock option can both give someone the right to buy shares at a specified price, but their governing terms are not interchangeable. An issuer sets a warrant’s provisions, and exercise may result in the issuer creating new shares. For a warrant, rely on its own agreement and prospectus.

What the Paramount Skydance example shows—and what it does not
Paramount Skydance’s SEC-filed FAQ illustrates how much detail a particular warrant proposal can contain. It describes one share per warrant, an exercise-price formula with stated limits, a scheduled ten-year term from the anticipated issue date, possible earlier expiration tied to a stock-price trigger, and physical or net-share settlement under specified conditions. The proposed distribution was contingent on an acquisition, and its anticipated timing could change.
