Human approval in automated vendor document review means a qualified person examines the relevant document and evidence, considers the system’s recommendation in context, and has the authority to accept, change, reject, or escalate the result. A reviewer who simply clicks “approve” or routinely adopts the system’s answer is not providing meaningful oversight.

What makes human approval meaningful?

The key test is whether a person exercises real judgment over the decision, rather than merely appearing in the workflow. The UK Information Commissioner’s Office (ICO) says meaningful review requires active involvement and the authority and competence to go against an automated recommendation. Its guidance calls for reviewers with appropriate knowledge, experience, authority, and independence.

In practice, the reviewer should examine the underlying document and relevant evidence, assess the system’s recommendation, and consider circumstances the system may not capture. The ICO describes meaningful involvement as reviewing the underlying data and other relevant information before deciding. It cautions against routinely applying a recommendation without weighing and interpreting it or considering available input and additional factors. ICO guidance on solely automated monitoring decisions explains this in the context of decisions concerning workers; applying the principle to vendor-document decisions is a practical governance approach, not a ruling on every procurement workflow.

Approval, acknowledgment, and decision-making are different

A person may check whether a document arrived or verify an objective extraction without deciding whether the vendor meets a requirement. Those are limited process checks. By contrast, determining that a vendor satisfies a condition, a contract clause is acceptable, or a procurement should proceed involves a substantive judgment. The organisation should identify who is responsible for that judgment, what evidence they use, and which criteria apply.

The ICO describes people using systems as decision-support tools as needing to be “actively involved and not just a token gesture.” That wording comes from its guidance about automated decisions concerning workers, so it should not be presented as a legal ruling about vendor review. Read the ICO’s explanation of meaningful involvement.

How to design a review workflow

  1. Define what needs a person’s attention. Specify which fields, clauses, evidence, and exceptions require review, and which lower-risk tasks can be automated with monitoring. Reassess periodically where human review is most appropriate and useful.
  2. Give reviewers the information needed to decide. Present the source document, extracted fields, recommendation, available explanation, and known uncertainty or limitations. A reviewer cannot meaningfully evaluate a result if important underlying evidence is hidden.
  3. Set written decision criteria. Define the conditions for approve, correct, reject, request more information, or escalate. Avoid interface choices or performance targets that encourage automatic approval.
  4. Assign competent reviewers with real authority. Provide suitable training, experience, time, and manageable caseloads. Where appropriate, ensure independence from pressures that could compromise judgment. Make clear that reviewers can override the system and how ambiguous or high-risk cases reach a more senior decision-maker.
  5. Record the decision and its basis. Log the reviewer’s identity or role, the material evidence considered, rationale, corrections, overrides and reasons, and any escalation and its outcome. Keep records that let the organisation explain how the system’s output and the reviewer’s judgment produced the result.
  6. Check both the system and the review process. Document the sampling approach, accuracy or error measures, and acceptable tolerances. Review samples periodically for system mistakes and failures in human review; arrange re-review or manual operation when controls fall outside tolerance or reviewer competence is in doubt.

What to assess when comparing vendors or workflows

Do not treat a “human in the loop” claim as sufficient evidence of oversight. Ask how the process works in practice and whether the organisation can verify it.

Assessment area What to establish
Reviewer authority Can the reviewer change, reject, or escalate an outcome, or can they only acknowledge it?
Evidence visibility Can reviewers inspect the source documents and relevant input, output, and explanation information?
Criteria and quality controls Are review thresholds, exceptions, sampling methods, error measures, and tolerances documented and checked?
Audit trail Are the decision rationale, corrections, overrides, and reviewer considerations recorded?
Recovery Can the organisation trigger re-review, escalation, or manual operation if quality or competence is in doubt?
Vendor evidence Can the provider document the system’s data, testing, limitations, reasoning, and relevant compliance information?

The ICO advises organisations procuring AI to seek vendor evidence that supports their own assessment, including information that helps explain decisions through justification, evidence, and documentation. A vendor’s explanation does not transfer responsibility for setting review criteria or deciding whether the process is suitable to the organisation using it. Keep legal conclusions specific to the decision

Human oversight is good workflow governance, but the phrase “automated vendor document review” does not by itself establish that a particular legal rule applies. The ICO’s UK GDPR guidance addresses solely automated decisions about people that have legal or similarly significant effects, with examples involving legal rights, financial circumstances, and employment opportunities. Whether a decision in a vendor-document workflow falls within that scope depends on the data involved, the decision’s consequences, and the applicable jurisdiction.

The ICO says its automated-decision guidance is under review following the Data (Use and Access) Act 2025. Check the current law and live guidance for the relevant jurisdiction before stating a legal requirement. Are there standard accuracy figures for human-approved document review?

The ICO guidance cited here does not establish a universal accuracy rate for automated vendor document review or a standard number of reviews that makes oversight effective. Organisations should set and monitor measures, sampling methods, error rates, and tolerances suited to their own system and risks. A single claimed accuracy figure does not show whether reviewers see the necessary evidence or can correct a consequential mistake.
