HIPAA does not require the same arrangement for every hospital–fintech relationship. The key questions are what the vendor does for the hospital, whether it creates, receives, maintains, or transmits protected health information (PHI) on the hospital’s behalf, and what uses the vendor makes of that data. Payment can be a permitted purpose for sharing PHI, but it does not remove the Privacy Rule’s other limits. When the vendor is a business associate, the hospital needs a written agreement that restricts PHI use and disclosure and addresses safeguards, incident reporting, and subcontractors.
Does a fintech vendor need a HIPAA business associate agreement?
Not because it is a fintech company, and not simply because it sells software to a hospital. HIPAA status depends on the vendor’s function and access—not its marketing label. HHS defines a business associate as an outside person or organization performing certain functions or services for a covered entity that involve PHI. A subcontractor may also be a business associate if it creates, receives, maintains, or transmits PHI on behalf of another business associate.
HHS says merely selling or providing software does not create a business associate relationship when the vendor has no access to the covered entity’s PHI. See the HHS sample business associate agreement provisions and its FAQ on software vendors.
For a particular vendor, assess whether it acts on the hospital’s behalf and whether its service gives it access to PHI in production, support systems, storage, or transmission. A contract label alone does not settle the classification.

Can a hospital share patient data with a payment company?
HIPAA recognizes payment as a permitted purpose. HHS says payment includes debt collection and permits a covered entity or its business associate to disclose PHI as necessary to obtain payment for health care. HHS also states that the Privacy Rule permits covered entities to continue using debt-collection agencies. That permission is not unlimited: applicable Privacy Rule requirements, including business associate and minimum-necessary rules, continue to apply.
See HHS guidance on disclosures to debt collectors and its debt-collection FAQ. The hospital should define the payment purpose and the PHI needed for that service; a payment relationship does not authorize unrelated reuse.

How to assess a hospital–fintech data flow
Map the service as it operates, including technical access and downstream providers. HHS and NIST recommend identifying vendors and systems with electronic PHI (ePHI) access, clarifying responsibilities, and specifying transmission and security controls. Their guidance includes financial services among outsourced functions to consider.
- Describe the service. Record what the fintech does for the hospital and whether it performs a function involving PHI on the hospital’s behalf.
- Trace the data. Identify the PHI fields involved, the systems they pass through, whether the vendor stores or only transmits them, and whether staff or support tools can access production data.
- Identify downstream access. List subcontractors that create, receive, maintain, or transmit PHI for the vendor, and determine what each can access.
- Separate payment from other purposes. Document the payment activity and any proposed use beyond that activity; assess those uses under the applicable Privacy Rule requirements rather than treating them as covered by the payment purpose.
- Record security responsibilities. Specify the systems in scope, transmission methods, access controls and other safeguards selected for the risk, incident contacts and escalation timelines, and how the hospital will assess the vendor’s performance.

What should the agreement require?
If the fintech is a business associate, HHS’s sample provisions provide a practical checklist for the written agreement. The sample is an aid, not mandatory wording; tailor the terms to the actual service and applicable requirements.
- Permitted and required uses: Define what the vendor may do with PHI for the hospital and prohibit uses or disclosures outside the agreement or otherwise permitted by law.
- Safeguards: Require appropriate protections for PHI, including ePHI handled by the service.
- Incident and breach reporting: Set out reporting duties and operational escalation details. HHS/NIST guidance says the agreement must include incident-reporting terms for security incidents known to the business associate.
- Subcontractors: Require subcontractors that handle PHI to accept equivalent restrictions and protections through written terms.
- Cooperation: Address assistance with the hospital’s obligations under the Privacy Rule and access by HHS to relevant records.
- End of service: Provide for return or destruction of PHI at termination when feasible, and specify what happens if return or destruction is not feasible.
HHS’s sample business associate agreement provisions describe these elements. The agreement should match the real service rather than rely on a generic vendor description.

What the MedEvolve enforcement matter illustrates
HHS Office for Civil Rights’ 2022 MedEvolve resolution materials reported that 230,572 individuals were affected. HHS described MedEvolve as a revenue-cycle and practice-analytics business associate and said PHI was stored on an FTP server accessible over the internet. Its findings included a missing subcontractor business associate agreement and a risk analysis it considered insufficiently accurate or thorough. This matter makes downstream access, internet exposure, and risk analysis concrete review points. It does not establish that every payment or fintech vendor is a business associate, nor does one enforcement case measure sector-wide risk.

Where the federal HIPAA analysis ends
Federal HIPAA guidance establishes the principles, but it cannot classify an unnamed vendor without the service description, system architecture, access model, contract, and downstream-provider details. State privacy and consumer-protection laws, financial-sector requirements, and debt-collection rules may also apply; which ones matter depends on the jurisdiction and transaction.
A signed BAA, vendor certificate, or self-attestation is not a substitute for evaluating the actual function, data path, and safeguards. The hospital should make sure the agreement and its operational review reflect the same real-world arrangement.
