Before choosing an ownership structure or starting incorporation, check the current foreign-investment negative list, sector licensing rules, and any project or security-review requirements. Once established, a foreign-funded enterprise must also meet China’s operating, employment, tax, accounting, and foreign-exchange requirements.
Can a foreign company own a business in China?
Often, yes. China’s Foreign Investment Law applies a system of pre-establishment national treatment subject to a negative list: activities outside the list are generally treated on the same basis as domestic investment, while listed activities may have conditions or be prohibited. The precise activity matters; broad labels such as “technology” or “manufacturing” may not be enough to determine access.
The law, in force since 1 January 2020, defines foreign investment broadly. It includes establishing a foreign-funded enterprise independently or with other investors, acquiring interests in a Chinese enterprise, initiating a project, and other forms specified by law. A foreign-funded enterprise is an enterprise incorporated under Chinese law with all or part of its investment from a foreign investor.
That framework does not establish one best structure for every company. A wholly foreign-invested enterprise, a joint venture, or another presence should be evaluated against the planned activity and its restrictions, licensing, governance, staffing, and operating obligations. The Ministry of Commerce’s Foreign Investment Guide (2025 Edition) is an official starting point for navigating those subjects, not a substitute for checking current requirements with the responsible authority.

What should you check before setting up?
Market access, company formation, licensing, and regulatory review are separate questions. Work through them in sequence, using the exact activities the China operation will perform rather than only its proposed company name or broad industry.
- Define the activities. List the products, services, customers, locations, and any project work the business plans to undertake.
- Check the current negative list. Determine whether each activity is outside the list, restricted by ownership or other conditions, or prohibited. The list and related rules can change, so confirm the version applicable when making the investment decision.
- Identify permits and project procedures. The Foreign Investment Law recognizes applicable sector licensing and project verification or filing. Incorporation alone does not establish that the company has every permission needed to operate.
- Assess whether security review could apply. China has a security-review system for foreign investment that affects or may affect national security. This is a distinct mechanism from market-access screening and ordinary licensing; the law does not mean that every foreign investor automatically undergoes review.
- Plan formation and post-establishment steps. Work through incorporation or modification, tax, foreign exchange, customs where relevant, and foreign-investment information reporting. The Ministry of Commerce’s 2025 guide covers these procedure areas; verify forms and local implementation with the current responsible authority.
What compliance continues after incorporation?
A foreign-funded enterprise is subject to Chinese law in its organization and conduct, including the Company Law, Partnership Law, and other applicable rules. The Foreign Investment Law also states that foreign investors and foreign-funded enterprises must observe Chinese laws and regulations and must not impair China’s security or damage a public interest.

Article 32 specifically requires foreign-funded enterprises to follow applicable labor-protection and social-insurance provisions and to handle tax, accounting, foreign-exchange, and other matters under the relevant laws and rules. Competent authorities may supervise and inspect businesses. The precise obligations depend on the business and its location, so build compliance into operating plans rather than treating it as a one-time formation task.
Data-related obligations may also be relevant to the proposed operation. The cited investment materials do not set out the detailed requirements for a particular company’s data activities; assess those separately under the rules applicable to its services, systems, and information flows.

What protections does the Foreign Investment Law provide?
The statute provides protections for legitimate investment interests and intellectual-property rights. It also provides that specified investment-related funds and income may be transferred inward and outward in renminbi or foreign currency in accordance with law. These are statutory protections, not guarantees against every commercial, enforcement, or dispute risk.
On technology cooperation, Article 22 says cooperation is based on free will and business rules and provides: “No administrative department or its staff member shall force any transfer of technology by administrative means.” This protection should be understood as a rule in the statute, not as a substitute for careful contract, intellectual-property, and compliance planning.

How do you hire foreign employees in China?
Employing an expatriate involves a separate procedure track from setting up the company. The official Guide to Working and Living in China for Business Expatriates (2025) covers work permits, employment documentation, entry and stay or residence procedures, and tax-related procedures. The applicable steps vary with the employee, employer, and location.
Hiring foreign nationals does not replace the employer’s broader duties. The enterprise must still follow applicable labor-protection and social-insurance rules, along with its tax and other operating obligations. Confirm the process with the relevant local authorities before setting a start date.

How should you compare China entry options?
Compare options against the actual business plan rather than a general ranking of entity types or cities. For each proposed structure and location, assess:
- whether the activities are permitted, restricted, or prohibited, and any ownership conditions;
- which sector permits, project procedures, information reports, or possible security review may apply;
- the structure’s governance and ongoing operating obligations;
- the workforce needed, including any expatriate work-permit and residence procedures; and
- tax, accounting, foreign-exchange, customs where relevant, data, and local implementation needs.
The Ministry of Commerce’s 2025 guide organizes its coverage around market access, promotion, protection, administration, investment procedures, and business expatriates. Use it to locate the relevant process, then confirm current requirements with the authority responsible for the activity and locality.
