Tryfacta, Inc. filed a draft offer document for a proposed listing in GIFT City’s International Financial Services Centre (IFSC), but the available official record does not establish that IFSCA has approved or rejected the issue. Tryfacta’s June 2026 filing discloses a securities-fraud guilty plea by its chief executive and several other legal proceedings; a separate October 2026 report says the proposal faces heightened scrutiny, citing unnamed sources.

What is Tryfacta’s proposed GIFT City listing?

Tryfacta, Inc. is a U.S.-headquartered workforce-solutions and technology-consulting company. Its draft offer document, dated June 12, 2026, proposes a public issue and listing through GIFT City’s IFSC. IFSCA’s official filing index lists a Tryfacta DRHP (Draft Red Herring Prospectus) with that date. A draft filing is not itself an approval to proceed with an issue.

GIFT IFSC is part of India’s financial-services regulatory framework, even though Tryfacta is headquartered in the United States. IFSCA says it was established on April 27, 2020, under the International Financial Services Centres Authority Act, 2019, as the unified authority for developing and regulating financial products, services and institutions in India’s IFSCs. It identifies GIFT IFSC as India’s maiden IFSC.

What did Tryfacta disclose about its CEO’s U.S. legal history?

Tryfacta’s draft offer document describes separate criminal and civil proceedings involving Adesh Tyagi, the company’s president and CEO. The filing says Tyagi pleaded guilty on November 9, 2016, in a parallel criminal proceeding to one count of securities fraud. It says he received three years’ probation and was discharged early after two years of compliance.

The draft also recounts a related SEC civil case. It says a final judgment entered on August 17, 2017, ordered disgorgement of $244,208 and prejudgment interest of $49,387.19, for a combined $293,595.19. That total is the figure reported in Tryfacta’s 2026 draft; it is not a new calculation independently verified here against the court docket.

What changed in the 2025 modification?

According to the draft, a court modified the SEC judgment on September 18, 2025. The modification removed the permanent bar on Tyagi serving as an officer or director and certain restrictions on transactions in securities of entities with which he was associated. Tryfacta says restrictions on participating in penny-stock offerings and the financial penalties remained. The filing describes the modified judgment as final, with no further proceedings pending as of the draft.

What other proceedings appear in the filing?

The company’s draft also recounts matters connected with Tryfacta and its controlling shareholder and chairperson, Ratika Tyagi. These proceedings had different outcomes and should not be treated as one finding of wrongdoing:

These descriptions are Tryfacta’s account in its draft offer document. A guilty plea, a civil judgment, a settlement, a dismissal and an expungement have different legal meanings; the filing’s account does not justify collapsing them into a blanket label such as “convicted in multiple cases.”

Why is IFSCA scrutiny being reported?

Business Standard reported on October 6, 2026, that the proposed public issue—described in that report as potentially worth $100–150 million—was facing heightened scrutiny over governance and the promoter’s track record. The report attributed the scrutiny claim to unnamed sources, including a person familiar with developments.

That is a media report about the review, not an IFSCA announcement or formal finding. The official filing index confirms that the DRHP was listed; the reviewed official material does not confirm that IFSCA required changes, rejected the proposal or approved it. The $100–150 million range is the amount reported by Business Standard, not a confirmed final issue size.
