The widely cited announcement estimate of about $695 million was not the final purchase-accounting figure.
Why Symantec bought MessageLabs
Symantec presented the acquisition as a way to complement and expand its software-as-a-service (SaaS) business. The strategic idea was to offer customers more security and information-management capabilities through hosted services, alongside Symantec’s existing on-premises offerings.

In the acquisition call, CEO John Thompson described customers as wanting more choice between on-premises and off-premises solutions for information-management challenges. Management said the companies’ capabilities could fit together: Symantec brought expertise in data-loss prevention, compliance, archiving, and endpoint security, while MessageLabs specialized in online email, web security, and instant messaging. Symantec described MessageLabs as a UK-based, privately held managed-services provider that protected, controlled, encrypted, and archived electronic communications. Its filings identify hosted email, web, and instant-messaging security among MessageLabs’ offerings. That portfolio made the acquisition specifically relevant to hosted delivery: MessageLabs provided managed online services, while Symantec’s broader security portfolio included capabilities that could complement those services. It was a strategic fit described by the companies at the time, not proof that every product was integrated or that the MessageLabs brand or services remain available today.
Announcement estimate versus reported purchase price
The two headline amounts refer to different stages and accounting bases, rather than conflicting reports of one final cash payment.

So, use about $695 million when describing the announcement-stage expectation, and $640 million plus the subsequent $10 million payment when describing the later filing’s purchase accounting. These figures should not be collapsed into a single amount without explaining their different bases.

Management also described a simplified hosted-services portal for billing, support, and application management as an intended benefit. That was a plan presented around the announcement, not evidence by itself that the portal was delivered or that integration achieved particular results. The available filings establish the transaction and reporting treatment; they do not establish current availability of MessageLabs-branded services.
