The analog system-on-chip vendor in Skyworks’ 2018 acquisition announcement was Avnera Corp. Skyworks planned to buy the company for $405 million in cash, with up to $20 million more tied to sales targets, according to contemporaneous trade-press reports. The proposed deal was intended to pair Avnera’s audio and voice-processing technology with Skyworks’ wireless connectivity portfolio.

What Skyworks announced

On August 9, 2018, EE Times reported that Skyworks Solutions planned to acquire Avnera for $405 million in cash. The report also described up to $20 million in additional consideration if Avnera products exceeded specified sales targets. EE Times Asia reported the same headline terms the following day.

These are the reported terms of the announced plan, not confirmation of the final amount paid. The contemporaneous reports are trade-press coverage rather than a purchase agreement or closing notice. The available sources do not establish the closing date, final consideration, or whether the sales-based payment was earned.

What Avnera made

Avnera supplied analog system-on-chips (SoCs) designed for audio and voice applications. The technology described in the 2018 reports combined audio and voice analog circuits, efficient power management, and custom hardware accelerators for smart acoustic signal processing and AI features.

EE Times reported that Avnera had more than 100 issued and pending patents in 2018; it did not separate the issued patents from applications still pending. The publication had earlier reported in 2010 that Avnera had more than 10 analog SoCs in mass production. That older figure is historical context, not a count for the time of the acquisition announcement or today.

The strategic fit was complementary: Avnera focused on audio, voice, and acoustic processing, while Skyworks’ existing business centered on wireless connectivity. The plan was to bring those capabilities together in devices where listening, voice input, and wireless connections intersect.

Why Skyworks said it wanted Avnera

Skyworks framed the acquisition as a way to expand its role in audio-enabled connected devices. President and CEO Liam K. Griffin said in the contemporaneous EE Times report: “Voice is increasingly becoming the primary interface for artificial intelligence and Internet of Things applications. Skyworks’ acquisition of Avnera will enable us to capitalize on the rapid proliferation of audio functionality and its convergence with our advanced connectivity solutions.”

Skyworks also estimated that the deal would expand its addressable market by more than $5 billion, as reported by EE Times in 2018. That was the acquirer’s estimate of an opportunity, not an independently verified market-size figure or evidence that the projected expansion was realized.

How to read “Skyworks buys” in the headline

The headline shorthand can suggest a completed purchase, but EE Times’ article described a plan to acquire Avnera. The reported terms and strategic rationale therefore belong to the 2018 announcement. The sources cited here do not verify the transaction’s completion or its ultimate financial outcome.

This Avnera announcement is separate from the later proposed combination involving Skyworks and Qorvo. Qorvo is a different company and a different transaction; it does not change Avnera’s identity as the target named in Skyworks’ 2018 acquisition plan.
