On June 20, 2025, NTT said it had received enough bids to acquire the NTT Data Group shares it did not already own. Bloomberg reported an offer of ¥4,000 per share, valuing the transaction at ¥2.37 trillion (about $16.3 billion), with settlement scheduled to begin June 26, 2025. That was an announced milestone and schedule; the sources cited here do not independently confirm that the deal ultimately settled.

What NTT said it would buy

NTT’s offer targeted the shares of NTT Data Group that NTT did not already own. At the time of the June 2025 report, NTT held approximately 58% of NTT Data. Bloomberg reported a price of ¥4,000 for each remaining share and a total transaction value of ¥2.37 trillion, or about $16.3 billion at the report’s stated conversion. Bloomberg’s June 20, 2025 report said settlement was scheduled to start June 26.

The distinction between the bid milestone and closing matters: having received enough bids meant the offer had secured the support needed to proceed under its terms. It does not, by itself, establish that settlement was completed or that NTT’s resulting ownership was finalized.

Why NTT wanted full ownership

The reported rationale was to advance NTT’s AI ambitions and simplify its corporate structure. Bringing NTT Data more fully inside the group could align its enterprise technology work with NTT’s telecommunications, network and data-center capabilities. That is a strategic explanation for the proposed deal, not evidence that the transaction alone produced later AI growth.

The proposal also came amid scrutiny in Japan of parent companies’ control over listed affiliates. That broader governance context helps explain why group structure was part of the story, but it should not be treated as the sole reason for this particular offer. How the announced deal fits NTT’s later AI investment

NTT’s subsequent AI infrastructure activity shows that the company continued investing in the area, but it is separate from the 2025 NTT Data offer and does not verify that offer’s completion.

IOWN AI Fund

In June 2026, NTT announced the IOWN AI Fund, with a remit spanning photonics, semiconductors, advanced packaging, infrastructure management, software, AI models and applications. NTT said the fund was expected to reach approximately US$500 million (approximately ¥80 billion at the exchange rate stated in its release). The company also said participation was preliminary and subject to definitive agreements. NTT’s June 10, 2026 announcement quotes President and CEO Akira Shimada: “As the use of AI expands into companies’ core business operations, Agentic AI, and Physical AI, infrastructure centered on inference-driven AI is becoming increasingly important.”

Investment in iPronics

On September 9, 2026, NTT said the fund made its first investment by participating in iPronics’ $125 million Series B financing. NTT describes iPronics’ programmable optical circuit switching as technology for AI data-center networking. This is a specific later investment under the fund, not a term of the NTT Data offer. Did the NTT Data takeover go through?

The available sources establish that NTT announced it had secured enough bids on June 20, 2025, and that settlement was scheduled to begin June 26. They do not independently establish the final settlement or resulting ownership. Accordingly, the $16.3 billion figure is best described as the value reported for the offer, rather than as proof of a completed acquisition.
