Nokia announced its plan to acquire Alcatel-Lucent on April 15, 2015, through an all-share public exchange offer. Nokia valued the proposed transaction at EUR 15.6 billion on a fully diluted basis—the euro figure in its announcement behind the headline’s $16.6 billion rendering. The deal was not a cash purchase, and its announcement was not the same as completion: Nokia reported gaining control in January 2016 and reaching full ownership in November 2016.
What Nokia announced in 2015
Nokia and Alcatel-Lucent announced a memorandum of understanding for Nokia to make a public exchange offer for all of Alcatel-Lucent’s equity securities. Under the proposed terms, Alcatel-Lucent shareholders would receive 0.55 new Nokia share for each Alcatel-Lucent share. Nokia’s April 15, 2015 announcement stated a fully diluted transaction value of EUR 15.6 billion.
Because the consideration was shares, describing the transaction as a $16.6 billion cash purchase would be inaccurate. The headline’s dollar figure is a rendering of the reported deal value; Nokia’s announcement states the amount in euros.
How Nokia calculated the offer value and premiums
Nokia said the offer represented a 34% fully diluted premium, or EUR 4.48 per Alcatel-Lucent share. It also reported a 28% premium, or EUR 4.27 per share, against Alcatel-Lucent’s unaffected weighted average share price over the preceding three months. The company’s calculation used Nokia’s unaffected April 13, 2015 closing share price of EUR 7.77. These were announcement-date comparisons, not current share prices or a guarantee of what investors would receive later.

Why Nokia said it wanted to combine the companies
Nokia described the combination as a way “to combine to create an innovation leader in next generation technology and services for an IP connected world.” The joint statement framed the strategy around connectivity, the Internet of Things, and the shift to cloud services. It also highlighted Alcatel-Lucent’s Bell Labs and Nokia’s FutureWorks and Nokia Technologies as innovation assets.
Nokia said Nokia Technologies would remain a separate entity focused on licensing and incubating new technologies. These points describe the companies’ announced rationale and planned structure; they do not by themselves establish whether the anticipated strategic benefits were achieved.

What approvals and reviews were involved
The April 2015 proposal was conditional. Nokia said it needed shareholder approval, completion of relevant works-council consultations, regulatory approvals, and other customary conditions. At the time, Nokia expected the offer to launch and complete in the first half of 2016; that was a forecast, not the eventual timeline.

When Nokia gained control and reached full ownership
The deal’s announcement, the transfer of control, the start of combined operations, and full ownership occurred at different points. Nokia’s later filed account and joint announcement distinguish those milestones:
