What Nexperia acquired
Nexperia says it acquired 100% of Nowi Energy B.V., the parent company of Nowi B.V., in November 2022. The companies were later merged into Nexperia B.V., effective 8 September 2023, according to Nexperia’s reports. Nexperia’s 2022 and 2023 sustainability reports
Nexperia describes Nowi’s specialty as energy-harvesting power management for low-power applications. In its account of the company’s products, the Dutch government said Nowi chips could obtain energy from their immediate surroundings, such as light. Why the Dutch minister did not open a retrospective investigation
In 2023, the minister assessed whether the completed acquisition could be examined retroactively under the Dutch Investment Screening Act, or Wet Vifo. The government’s explanation was that retrospective examinations of technology companies were limited to businesses working with dual-use technology and/or military goods.

The minister concluded that Nowi’s products did not fit those categories. The parliamentary answer put it plainly: “The products of Nowi are not classified as dual-use products or military goods.” On that basis, the acquisition was outside the relevant scope for a retrospective examination, and the minister said there were no statutory objections. Did the Dutch government approve the acquisition?
Not before it happened. Nexperia’s acquisition closed in November 2022; the minister’s assessment came afterward. “Cleared” is therefore shorthand for the retrospective conclusion that the deal fell outside the stated review category and that there were no statutory objections—not a pre-transaction permit or advance approval.

The decision was specific to whether Nowi’s products qualified for that retroactive-review scope. It should not be read as a general finding that semiconductor acquisitions raise no national-security questions.

Separate Dutch actions involving Nexperia in 2025 and 2026 concerned later governance and production-continuity issues, not the 2022 Nowi acquisition screening. The dates, legal mechanisms and questions addressed are distinct:

The Enterprise Chamber said Yuching Holding remained the owner of Nexperia’s shares while voting control was temporarily held by a court-appointed administrator. Its February 2026 order began an investigation; it was not a final finding of mismanagement.
