Notes generally have a stronger claim than preferred shares at the issuing company, but “senior” does not put a note ahead of every creditor, and neither security is insulated from the REIT’s financial and portfolio risks. To compare them, look at the specific issue documents, the issuer’s parent-and-subsidiary structure, and the price and terms of each security—not just its coupon or dividend rate.
How senior notes and preferred stock differ

Which gets paid first?
“Senior” is relative, not absolute
Priority depends on the particular security and the company structure. Angel Oak Mortgage REIT describes its 2029 notes as senior direct unsecured obligations, equal in payment rank with its unsecured, unsubordinated debt. The same filing says they are effectively subordinated to secured debt to the extent of the value of the assets securing that debt, and structurally subordinated to specified liabilities, indebtedness, and preferred stock at subsidiaries. In other words, “senior” does not mean first claim on every mortgage asset the REIT owns. See Angel Oak’s description of the notes in its 2025 Form 10-K.
Preferred stock is an equity claim
Preferred shares ordinarily sit behind debt claims at the issuer and ahead of common equity according to their series terms. That general ordering is not enough to establish what a holder would recover in a particular default or liquidation: subsidiary obligations, collateral arrangements, guarantees, and the preferred designation all matter. Read the issue documents rather than assuming a single, sector-wide waterfall.
Are preferred dividends guaranteed?
No. A preferred dividend is not the same kind of claim as note interest. Even when dividends are cumulative, that feature addresses how unpaid dividends accrue under the issue terms; it does not make payment unconditional or turn the shares into debt. For Granite Point Mortgage Trust’s Series A, the 2025 Form 10-K says cash dividends are payable “when, as and if authorized and declared” by the board. The filing describes that series as cumulative, but the board-declaration condition remains part of the stated terms. See Granite Point’s 2025 Form 10-K.

REIT distributions do not guarantee either security’s payments
PennyMac Mortgage Investment Trust’s 2025 filing says it intends to distribute at least 90% of taxable income annually, subject to adjustments, as part of its REIT qualification requirements. That tax-related distribution policy is not a promise of any particular preferred dividend, note interest payment, or principal repayment. See PennyMac’s 2025 Form 10-K.
Issue examples: rates are not comparable yields
The filings illustrate why figures must be tied to their specific issues. Angel Oak’s 2029 senior notes carry a 9.500% annual coupon, pay quarterly in arrears, and mature July 30, 2029, subject to optional redemption. Granite Point Series A pays cumulative cash dividends at 7.00% per annum through January 14, 2027, then at three-month Term SOFR plus 5.83%, with a 7.00% floor, subject to the board-declaration terms described above. These are terms of two different securities and issuers, not current market yields or evidence that one class offers a better return.

One issuer may also have both types outstanding: PennyMac’s 2025 filing lists 6.75% Series C cumulative redeemable preferred shares and 8.50% senior notes due September 2028. Those stated rates alone do not establish which security is more attractive. Market price, payment timing, call terms, duration, and issuer-specific risks affect the comparison. PennyMac’s filing lists both issues.
How mortgage REIT risks affect both securities
Senior status or a cumulative dividend does not remove exposure to the issuer’s business. A mortgage REIT’s cash flows and security values can be affected by changes in interest rates, the cost and availability of financing, leverage, mortgage credit, and prepayments. Angel Oak’s filing describes several mechanisms: rate changes affect both interest-earning assets and interest-bearing liabilities; warehouse financing can include variable-rate components; leverage can expose the company to margin calls and covenant breaches that may require immediate repayment; and mortgage prepayments can change asset cash flows and investment value, with the effect depending in part on whether assets were purchased at a premium or discount. What to check before comparing two issues
- Identify the exact issuer and security. Confirm whether the obligation belongs to the parent or a subsidiary, and whether guarantees or collateral apply.
- Read the governing documents. For notes, review the indenture, ranking language, guarantees, covenants, defaults, remedies, maturity, and redemption terms. For preferred shares, review the series designation, cumulative status, dividend conditions, liquidation preference, voting provisions, and redemption terms.
- Map the capital structure. Check secured borrowing and subsidiary liabilities as well as the issuer’s debt and equity. A parent-company note can be structurally behind claims against subsidiaries even when it is senior unsecured debt at the parent.
- Compare market terms on the same date. A coupon or dividend rate is not an expected return. Consider the traded price, yield, payment schedule, time to maturity or potential redemption, and the risks specific to each issuer and issue.
The cited 2025 annual filings, filed in 2026, show why issue-level terms matter; they do not establish a current market-yield or risk-adjusted-return winner. Prices, yields, ratings, redemption status, outstanding balances, and issuer condition can change, so a live comparison requires dated information for the securities being considered.
