KKR agreed to acquire BMC Software from an investor group led by Bain Capital Private Equity and Golden Gate Capital on May 29, 2018. BMC announced that the deal closed on October 2, 2018. BMC did not disclose the sale price in its closing announcement; Preqin later reported an $8.3 billion exit value.
What happened in the BMC Software sale?
BMC Software and KKR announced a definitive acquisition agreement on May 29, 2018. KKR was buying BMC from a private investor group led by Bain Capital Private Equity and Golden Gate Capital. The investor group also included GIC, Insight Venture Partners and Elliott Management. BMC’s announcement described the transaction as a sale to KKR, not a merger with another software company.

BMC’s October 2018 closing announcement did not state a purchase price. Preqin later listed the May 2018 sale to KKR at an $8.3 billion exit value in its 2018 transaction reporting. That figure is Preqin’s reported value, not a price disclosed by BMC in its closing release. Preqin’s report page

Who owned BMC before the acquisition?
Before KKR acquired it, BMC was owned by a private investor group led by Bain Capital Private Equity and Golden Gate Capital, alongside GIC, Insight Venture Partners and Elliott Management. KKR was the buyer; the other named firms were part of the seller group.
What did BMC Software do?
At the time of the 2018 announcement, BMC described itself as a systems-software provider for enterprise IT management and optimization across cloud, hybrid, on-premise and mainframe environments. The company said it was founded in 1980, served more than 10,000 customers worldwide and counted 92% of the Forbes Global 100 among its customers. These are figures reported by BMC in its 2018 announcement, not independent customer counts.

In a June 17, 2026 release, BMC said KKR-managed funds continued to own BMC after acquiring it in 2018. The release also described a separate carve-out transaction: Montagu agreed to acquire a majority stake in BMC Helix, while BMC would retain a minority stake in Helix.
