Before depositing, check two different things: whether an exchange has reported assets against a clearly defined set of customer liabilities, and what legal and operational rights you have over assets held in its custody. Proof of reserves (PoR) can provide limited, dated evidence about the first question; it does not, by itself, certify that an exchange is solvent or that you can withdraw whenever you want. Read the actual report and the agreement for the specific service and legal entity you plan to use. If they leave important questions unanswered, treat that uncertainty as unresolved—not as evidence of safety.
What reserves and custody evidence can—and cannot—tell you
Reserves are assets reported by an exchange, often including cryptocurrency held at specified wallet addresses. To assess whether those assets cover customer claims, you also need the liability side: what the exchange owes, how that total was assembled, and which obligations it includes. A wallet balance or reserve ratio alone cannot establish that all customer liabilities are counted, account for off-chain obligations or legal claims, or tell you who has priority if the firm fails.
A proof-of-reserves report is a snapshot with a defined scope and date. It does not necessarily show whether assets were borrowed for the snapshot, moved or used between snapshots, or transferred soon after publication. Nor does it establish that assets will be available for future withdrawals. A ratio is meaningful only if you understand how both its assets and liabilities were defined.

How to evaluate a proof-of-reserves report
1. Find the dated report, not just a description of the method
Start from the exchange’s official website and locate the actual report, snapshot, or account-verification portal. Record both its “as of” date and its publication date. A page explaining how a system works is not evidence of a current snapshot. Check which legal entities, assets, wallets, and customer balances are in scope, and read the exclusions. Some reports may focus on on-chain assets without addressing off-chain obligations.

2. Examine how liabilities were counted
Look for an explanation of how the customer-balance population was assembled and whether it includes all relevant customer balances and other liabilities. Ask whether balances held across different products or legal entities are included. If the exchange offers an account inclusion check, determine what data and method it verifies and what a customer should do if a balance appears missing or incorrect. A proof can support inclusion of submitted data; it cannot independently show that the exchange submitted every liability it owes.
3. Identify the provider, procedures, and assurance level
Note who performed the work, whether that provider is independent of the exchange, what procedures and standards were used, what assurance level was expressed, and what limitations the report states. Do not assume that “audit,” “attestation,” “verified,” and “proof” mean the same thing. The SEC’s Investor.gov guidance says PoR reports are not equivalent to financial-statement audits. The PCAOB Office of the Investor Advocate’s staff advisory likewise says PoR engagements are not PCAOB audits and are not subject to PCAOB inspection. That advisory presents the views of the office’s staff, not necessarily the Board or other PCAOB staff, and is not a Board rule or policy.
4. Interpret cryptographic proofs narrowly
A Merkle proof can help a customer check that a balance represented by a leaf appears in a particular tree or calculation, assuming the verification inputs and method are sound. A zero-knowledge proof may demonstrate a stated property of submitted balances without disclosing every detail. Neither method, by itself, proves that every customer liability was included, that the assets are controlled by the relevant entity and free of claims, or that the position remained unchanged after the snapshot.

Binance describes its own approach as using a zk-SNARK circuit to ensure user balance leaf nodes contribute to its claimed total user-asset balance. That is Binance’s description of its implementation, not an independent audit of the exchange. When reading any provider’s cryptographic explanation, separate what the proof verifies from the broader questions it leaves open.
Read the custody agreement for the service you will use
Find the customer agreement and custody disclosures that apply to your account, not just a general page about the exchange brand. Record the exact contracting legal entity, service, and governing law. Then look for the terms that determine what happens to your assets and your claim against the provider.
- Ownership and identification: How does the agreement describe your interest in assets? Are customer positions recorded separately from the firm’s own holdings, and can individual customer interests be identified?
- Segregation and commingling: Are customer assets separated in records and on-chain? Can the provider commingle them with its own assets or with assets belonging to other customers?
- Reuse or lending: May the provider lend, pledge, rehypothecate, or use customer assets as collateral? Check for permissions and exceptions in the contract, not only summary statements.
- Withdrawal and insolvency: What right does the agreement give you to withdraw? Does it permit suspensions or impose limits? What does it say about treatment of assets if the firm becomes insolvent, and what limits on liability apply?
- Outsourcing: If another custodian holds assets or controls keys, identify that provider and the responsibilities the exchange and custodian each accept.
A contract describes stated rights and responsibilities; it is not, by itself, proof that the provider’s records or day-to-day operations comply with them. The SEC’s Investor.gov custody bulletin notes that crypto wallets store the private keys or passcodes used to access crypto assets, rather than the assets themselves. Accordingly, a wallet address alone does not tell you who can authorize transactions or what legal rights you have.

Check operational security and recovery arrangements
The SEC’s retail custody bulletin suggests asking where assets and keys are stored, who can access them, whether storage is subcontracted, how hot and cold wallets are used, what physical and cybersecurity procedures apply, and whether assets are used as collateral. Also review account authentication, withdrawal controls, incident communications, and what insurance covers and excludes. A claim that assets are kept in cold storage does not settle questions about legal ownership, segregation, liability, or who controls access.
Include the practical cost and process of moving assets in your decision. Check which withdrawal methods are available for the asset and network you intend to use, any stated withdrawal restrictions or fees, and what support or incident process applies if a transfer is delayed. These details matter to access, but they do not make a reserve snapshot a promise of future withdrawals.

Verify the legal entity and the rules that apply to it
Exchange brands may serve customers through multiple legal entities and offer different services in different places. Use the entity named in your agreement to search the relevant regulator’s official register, then confirm that any authorization covers the specific service you intend to use. A license or registration associated with a brand does not automatically cover every affiliate, product, or customer jurisdiction.

Regulatory protections are jurisdiction- and service-specific. SEC guidance addresses U.S. investor protections and securities-law categories; it should not be read as saying every crypto account has the protections of an insured bank deposit or a securities account at a registered broker-dealer. In the EU framework, ESMA’s Single Rulebook page for MiCA Article 75 describes duties for covered crypto-asset service providers. Applicability depends on the provider, service, and legal context; it is not a global rule for every exchange or user.
What MiCA Article 75 says in its applicable framework
For covered custody providers, Article 75 describes requirements including a custody agreement covering the service, custody policy, security systems, fees, and applicable law; client-position records; position statements at least quarterly and on request; and procedures to return assets or access means. It also provides for legal and operational segregation of client holdings from the provider’s holdings, subject to applicable law, and addresses provider liability for losses attributable to the provider, with a cap tied to market value at the time of loss. These provisions apply only where the relevant EU framework and service requirements are met; they do not establish protections for every crypto customer.

If you are comparing providers, use the same dated snapshot and scope for each. Record unknowns as unknowns rather than filling gaps with a ratio or brand reputation.

- Report date, publication date, entities, assets, wallets, and exclusions.
- How customer liabilities were assembled, what they include, and whether your account can be checked for inclusion.
- Provider independence, procedures, standards, assurance level, and stated limitations.
- Who controls keys and assets; whether assets are encumbered, segregated, commingled, or eligible for lending or collateral use.
- Custody subcontractors, withdrawal and insolvency terms, applicable legal entity and jurisdiction, and any stated insurance limits or transfer costs.
There is no universal reserve threshold or exchange-safety statistic that turns these findings into a guarantee. A larger reported ratio is not a substitute for knowing what was counted, who controls the assets, and what the contract says.
If you choose self-custody instead
A hardware wallet may be an option if you decide not to leave assets with an exchange, but it does not verify an exchange’s reserves or custody practices. In self-custody, you are responsible for protecting the private keys and recovery phrase. Loss, theft, or disclosure can mean permanent loss of access, so consider whether you can manage those responsibilities before transferring assets.
