Before giving a provider payroll, tax, bank, card, or contributor data, verify the legal entity that will receive it, the exact actions it can take, how money will move, and how you can independently check the result. For U.S. federal payroll taxes, outsourcing generally does not transfer the employer’s responsibility to make sure deposits and payments are completed. Contribution collection can mean donations, dues, retirement-plan contributions, or other recurring payments; the rules depend on the payment type and jurisdiction, so there is no single provider label or certification that proves a provider is safe.
What should you verify before granting access?
Use a staged review: establish who is involved, limit the requested permissions to the service, verify who is responsible for each transaction, and test how you will monitor activity. Do not treat a sales presentation, security badge, or promise to “handle everything” as a substitute for the contract, authorizations, and records that show what actually happens.
- Identify every entity. Obtain the provider’s full legal name, address, business contact, and the names of any subcontractors, processors, or agents that will handle your data or funds.
- List every requested action. Separate viewing or editing records from filing returns, initiating tax deposits, debiting accounts, collecting contributions, issuing refunds, or changing payment details.
- Match authority to the task. For U.S. federal payroll, identify the provider’s formal role and the applicable IRS authorization or arrangement; do not assume the roles are interchangeable.
- Trace the money. Establish which entity receives, holds, transfers, or returns funds and which account receives payments or payouts.
- Set up independent checks. Keep access to your own tax and bank records, agree on a reconciliation, and identify how to respond to exceptions.
- Review controls and exit terms. Confirm security practices, written responsibilities, escalation contacts, and how permissions and authorizations are removed when the relationship ends.
Who is actually asking for access?
Compare the legal name shown on the proposal, contract, account setup screens, bank authorization, and tax forms. If the names differ, ask why and which entity is responsible for each part of the service. For a contribution processor, ask whether it resells another company’s service or uses nested processors. The FDIC’s payment-processor guidance, amended February 3, 2026, identifies intermediary and nested arrangements as making oversight more difficult for supervised financial institutions. That guidance is a due-diligence framework for those institutions, not a blanket legal duty for every organization hiring a processor.
Request a written flow diagram or description that identifies each organization receiving payroll, tax, bank, card, or contributor data; each organization touching funds; and the destination account for tax deposits or payouts. If the provider will not identify its relevant subcontractors or explain a different name on a debit authorization, pause before granting access.

What authority does the provider need?
Grant only permissions needed for the contracted work. A provider that prepares payroll calculations may need different access from one that files returns or initiates bank debits. For federal employment taxes in the United States, the IRS distinguishes several arrangements:

The forms and arrangements are not interchangeable. Ask the provider to name its role, identify the form or status that supports it, and explain how the arrangement applies to your account. The IRS describes these distinctions in its guidance on third-party arrangements for employment taxes and in the relevant forms.
Who remains responsible if something goes wrong?
For U.S. federal payroll taxes
In a typical PSP or reporting-agent relationship, the employer remains responsible for ensuring federal employment tax payments and filings are completed. If a third party receives tax funds but fails to deposit them, the employer may still face the tax, penalties, and interest. Do not infer protection from a contract phrase such as “we handle payroll taxes”; read what the agreement actually assigns and what the applicable IRS arrangement changes.

Section 3504 agents have joint liability for specified withholding responsibilities, while CPEOs operate under a separate statutory framework. Those distinctions are limited to the relevant arrangement and duties. State and local payroll obligations may add requirements beyond the federal rules described here.

There is no universal liability rule established here for donations, membership dues, retirement-plan contributions, and other recurring payments. Ask the provider to put the operational responsibilities in writing: who is the merchant of record or account holder, who holds the funds, who handles refunds and chargebacks, who reports activity, and who safeguards the associated data. Have the agreement reviewed against the rules that apply to your particular payment type and jurisdiction.
How can you independently verify tax deposits and payouts?
Check federal payroll deposits through a channel you control
For U.S. federal employment taxes, enroll in the Electronic Federal Tax Payment System (EFTPS) independently and check payment history under your employer identification number (EIN). Keep the employer’s IRS address of record current so notices reach the organization. IRS guidance says registered employers can access 16 months of payment history. The IRS identifies a missed or late provider payment as a red flag; follow up promptly rather than assuming a later payroll run will correct it.

IRS Tax Tip 2023-65, dated May 10, 2023, encourages employers to enroll in EFTPS and make sure their third-party payroll service provider uses it to make tax deposits. If an IRS bill or notice may relate to a provider, contact the IRS promptly using the number on the notice or the IRS business tax line. Suspected improper payroll tax deposits or filings may be reported using IRS Form 14157.
Reconcile what was collected with what arrived
Before relying on assurances, request a sample reconciliation for a payroll cycle or contribution payout. As a practical control, it should show the starting gross amount, deductions or fees, taxes or payout totals, destination account, expected timing, and how exceptions are recorded and resolved. The IRS and FDIC materials support independent monitoring and review; this exact sample format is a recommended diligence step, not a format those sources prescribe.

What security and offboarding evidence should you request?
Ask for written answers, not just a general claim that data is “secure.” IRS Publication 4557, Safeguarding Taxpayer Data, recommends practices that can help frame this review:
- Access limits: Who can view or change tax, payroll, banking, card, or contributor records? Is access limited to people who need it?
- Multifactor authentication: Is MFA required for access to customer information and administrative functions?
- Audit trails: Do logs show who acted, when an action occurred, and what changed?
- Permission removal: What happens to user access and outstanding authorizations when an employee leaves or the provider relationship ends?
- Incident and escalation contacts: Who will notify you and who can investigate an unexplained account change, failed payment, or suspected exposure?
Set up named user accounts and the narrowest permissions that allow the service to work. Avoid sharing a single administrator login if individual accounts and activity logs are available. At termination, revoke the provider’s access and withdraw outstanding IRS authorizations for former clients, as IRS safeguarding guidance recommends. Agree in advance on how the provider will return or securely dispose of data, and retain records your organization needs for its own obligations.

If the provider handles cardholder data or affects the cardholder-data environment, clarify which services are in PCI DSS scope and who is responsible for each control. The PCI Security Standards Council’s June 2025 guidance says outsourcing card processing does not eliminate a merchant’s responsibility to ensure the provider’s compliance for the services it performs, maintain written agreements, and monitor the provider’s compliance status at least annually. Confirm the applicable scope and validation method with the organization that administers your merchant compliance program; a provider’s claim or certificate alone does not establish that your own obligations are met.

For non-card contributions, PCI DSS may not be the applicable framework. Do not assume that a card-processing standard addresses payroll tax, bank-account access, retirement-plan requirements, or every other type of contribution data.
What protection and escalation options are in place?
The IRS advises employers to check whether a payroll service provider has a fiduciary bond. Request the bond documentation and establish which entity and losses it covers, its limits and exclusions, and how a claim would be made. A bond is not a guarantee that a loss will be recovered, and the IRS guidance does not say otherwise.
Before onboarding, obtain a named escalation route for payroll failures, unauthorized changes, missing deposits, delayed payouts, and suspected data incidents. Record who at your organization is authorized to contact the provider and the relevant authority. For a possible IRS bill or notice, use the notice’s contact number or the IRS business tax line rather than relying on the provider to respond on your behalf.
When should you pause before granting access?
- The legal entity on the contract or debit authorization does not match the entity described in the proposal, and the provider cannot explain the difference.
- The provider cannot say which subcontractors receive sensitive data or which entities touch funds.
- The provider requests permissions broader than the tasks you agreed to, such as account administration when only payroll processing is needed.
- The provider will not identify its federal payroll role or explain the matching authorization or IRS status.
- You cannot independently verify payroll tax deposits under your EIN or reconcile collections and payouts against your own records.
- Security answers omit basic access limits, MFA, audit logging, or how permissions and authorizations are removed.
- The provider has missed or made a late federal tax payment and offers reassurance without a clear explanation, documented correction, and a way for you to verify the result.
Resolve discrepancies before granting access that can expose records, move funds, or alter payment instructions. If a provider cannot document its role, responsibilities, controls, and monitoring process, narrow the access or delay onboarding until it can.
