To evaluate a preferred stock, read the base prospectus and the latest supplement for the exact series you are considering. The base document explains general terms; the supplement sets out that series’ dividend, priority, redemption, conversion, and voting provisions. Then read the issuer’s risk factors. A quoted dividend rate alone does not tell you whether payments can be skipped, what you might recover, or how long you can hold the shares.

Find the prospectus and the supplement for the exact series

Confirm the issuer and the security’s full series name or designation. Make sure the filing applies to the shares you are considering, rather than another preferred issue from the same company. Record the shares offered, offering price, stated value, and liquidation preference where those terms are given.

Read both the base prospectus and the applicable series supplement. The base prospectus describes general features; the supplement supplies the offered series’ specific terms and may modify the general description. A Prudential prospectus instructs readers to consult the supplement for the particular series for its specific terms: SEC-filed Prudential prospectus.

Check what the dividend rate actually means

Record the dividend rate or variable-rate formula, the payment dates or frequency, and the conditions for payment. In particular, find out whether the dividends are cumulative or noncumulative, whether payment depends on declaration, and whether the issuer may defer or omit distributions.

  • Cumulative: Check the document for what happens to unpaid dividends and when they may become payable. Do not assume the terms guarantee a payment date or that the issuer can pay regardless of its circumstances.
  • Noncumulative: Under the cited prospectus language, a payment not declared for a period may not be owed later. The exact series terms determine the result.
  • Variable rate: Note the formula and reset terms rather than treating a current rate as fixed for the life of the security.

A stated rate is a term of the security, not proof that every scheduled distribution will be paid. The series supplement and issuer disclosures establish the applicable conditions.

Understand liquidation preference and ranking

Find the liquidation preference and read how the prospectus treats accrued or unpaid dividends. Then check the series’ rank relative to the issuer’s debt, other preferred classes, and common stock. Preferred shares generally have priority over common stock for specified distributions, but preferred securities are typically subordinate to debt. “Preference” therefore describes relative priority; it does not promise full recovery if the issuer cannot meet its obligations or has insufficient assets.

The SEC’s preferred-stock overview describes common features, including priority over common stock and the possibility of limited voting rights. Treat it as general background, not as a substitute for the terms of a particular issue.

Look for calls, redemptions, and conversion terms

Redemption or call rights

Check whether the issuer can redeem the shares, when that right begins, whether a trigger or other condition applies, the redemption price, required notice, and how accrued dividends are treated. An issuer’s call can end your expected holding period and leave you needing to reinvest the proceeds, potentially at a lower rate.

Conversion or exchange rights

For a convertible or exchangeable issue, identify who can exercise the right, when it can be exercised, what security the holder would receive, and the applicable price or formula. Check whether conversion is optional or mandatory and look for any timing conditions. Do not infer these rights from another series: the specific supplement controls.

Read voting provisions and rights triggered by missed payments

Do not assume preferred stock has the same voting rights as common stock. Read the series’ voting provisions, including any limited rights that arise only after missed dividends or under other specified conditions. The SEC glossary treats limited voting rights as a possible preferred-stock feature, not a universal term.

Assess issuer and market risks

Read the issuer-specific risk factors alongside the security terms. Consider whether the filing addresses:

  • Credit and subordination: The issuer may be unable to meet obligations, and preferred securities may rank behind debt.
  • Dividend deferral: Distributions may be omitted or deferred under the terms and circumstances described in the filing.
  • Interest-rate sensitivity: Market value may respond to interest-rate changes.
  • Call and reinvestment risk: Redemption may require you to reinvest sooner than expected and on different terms.
  • Liquidity: The filing may describe risks associated with buying or selling the security.
  • Special redemption or voting provisions: Note any conditions that alter the holder’s rights.

A 2026 fund prospectus discusses these categories for preferred securities; because it is a fund filing, it is useful as a risk taxonomy, not evidence that every individual preferred issue has identical risks or provisions: SEC-filed fund prospectus. Use the issuer’s own filing to determine which risks apply to the security you are considering.

Compare two issues on the same terms

Build a side-by-side comparison from each issue’s current prospectus and supplement. A higher stated rate does not, by itself, establish that one issue offers better value or a more dependable return.

What to compare What to record
Issuer and seniority Issuer-specific credit risks and rank against debt, other preferred classes, and common stock.
Dividend Rate or formula, payment frequency or dates, cumulative status, declaration conditions, and deferral rights.
Liquidation terms Preference, accrued-dividend treatment, and ranking.
Call or redemption First call date, triggers, redemption price, notice provisions, and accrued-dividend treatment.
Conversion Who may convert, whether conversion is optional or mandatory, timing, and formula.
Voting Ordinary and conditional voting rights, including rights tied to missed payments.
Market risks Disclosed liquidity and interest-rate risks, along with call and reinvestment exposure.

Use current market prices and your own valuation work separately from the prospectus comparison: the filing terms alone do not establish a current valuation or recommendation.
