Protecting software trade secrets takes more than a confidentiality clause or a “secret” label. Under U.S. law, information must have economic value because it is not generally known or readily ascertainable, and its owner must take reasonable steps to keep it secret. Limit access to people who need it, document the rules and how they are applied, and make access changes part of transfers and offboarding.
What can qualify as a software trade secret?
The USPTO describes a trade secret as information that has actual or potential independent economic value because it is not generally known and is not readily ascertainable by proper means, and that is subject to reasonable efforts to maintain secrecy. All three elements matter; protection lasts only while they remain true. See the USPTO’s trade secret policy.
Depending on the facts, a software business might seek to protect source code, algorithms, technical designs, build or deployment procedures, credentials, or nonpublic product plans. A category label alone does not establish protection: whether particular code or information qualifies depends on its circumstances and applicable law.
How should access controls work?
Limit access by role and need
Apply least privilege to repositories and connected systems: give each person only the access needed for assigned work. Avoid broad repository, cloud, or administrator access simply because it is convenient. Review permissions periodically and when responsibilities change, remove privileges that are no longer needed, and restrict sensitive security-relevant information.

NIST SP 800-171 Rev. 3 describes access enforcement, least privilege, review of role privileges, and reassignment or removal of privileges as controls for protecting Controlled Unclassified Information in nonfederal systems. It is a useful reference for software teams, not a rule that every private company must follow. See NIST SP 800-171 Rev. 3.
Protect systems and external access
Network logs, passwords, firewalls, VPNs, and restrictions on unapproved portable storage are examples of computer-security measures discussed by the U.S. Department of Justice. Choose controls according to the information’s value and the risk of theft, rather than treating any one measure as a universal requirement. The Justice Department puts the principle plainly: “Each trade secret owner must assess the value of the protected material and the risk of its theft in devising reasonable security measures.” See the Justice Manual, § 1127 and Prosecuting Intellectual Property Crimes.

When a vendor, contractor, outside developer, or customer needs access, limit disclosure to the agreed purpose. Confidentiality agreements and controlled digital access are examples of safeguards in USPTO and DOJ guidance. An identity provider-compatible hardware security key can be one optional authenticator; it does not replace access limits, and these sources do not endorse a particular product.
What should a trade secret policy document?
Give employees practical instructions: identify restricted information, explain how to handle it, and state who may authorize access or exceptions. Useful supporting practices include marking sensitive records where practical, regular training, confidentiality acknowledgments or agreements, and records of authorization and access reviews. The USPTO’s Trade Secret Intellectual Property Toolkit and DOJ materials describe these as examples of reasonable protective efforts; the right combination depends on the organization and the information.

Make the written policy match actual practice. If a policy says repository access is restricted, role assignments, permission reviews, and documented exceptions help show how that restriction is implemented. A policy on paper without corresponding controls may not demonstrate the same effort as a policy carried out in the systems employees use.
How should transfers and departures be handled?
When an employee changes roles
Reassess logical and physical permissions when someone transfers. Keep access that remains necessary for the new role and change or remove the rest. NIST SP 800-171 Rev. 3 describes reassessing privileges after personnel transfers.

When employment ends
Use a defined workflow involving the relevant manager, HR, IT, security, and legal staff. At the appropriate time under organizational policy, disable system access, revoke associated credentials and authenticators, and recover security-related property. For a software team, check the systems that may hold code, credentials, build materials, or company records, such as repositories, cloud services, issue trackers, secrets stores, build systems, communication channels, and organization-managed devices. Preserve business records and document completed actions.
The USPTO toolkit recommends ensuring departing employees return or destroy trade secrets in their possession and reaffirming continuing obligations. DOJ materials also discuss exit interviews and confirming confidentiality duties. Apply the organization’s policies and relevant law to personal devices and employee-held material; do not assume an employer can inspect or erase all personal data.

How to judge whether controls are proportionate
There is no single checklist that automatically creates trade secret protection. Assess the information’s business value, how readily it could be accessed or disclosed, who needs it, and how quickly permissions can be changed or revoked. The DOJ’s guidance calls for measures calibrated to value and theft risk; USPTO and NIST examples can help translate that judgment into policies and operational controls. These are U.S.-oriented practical considerations, not individualized legal advice, and employment and trade secret rules vary by jurisdiction.
