Launching a crypto token takes more than deploying a smart contract. A project team must define what the token does, assess the legal implications of its offer and related services, choose a suitable network and standard, implement and review the contract, then deploy, verify, disclose, and operate it responsibly. Use the steps below as a project framework—not as a universal legal checklist.

1. Define the token’s purpose, rights, and distribution

Start by writing down what the token is for and how it will work in practice. Avoid choosing a token standard or drafting promotional language before the underlying product and rights are clear.

  • Purpose and users: What does holding or using the token enable, and who is expected to use it?
  • Rights: Does it provide access, governance participation, a claim, or another benefit? State what holders can and cannot expect.
  • Supply: Is supply fixed, or can authorized accounts mint or burn tokens? Document any caps and the conditions for changes.
  • Controls: Can an administrator pause transfers, freeze accounts, change fees, or upgrade the contract? Who can exercise each power, and under what process?
  • Distribution: How will tokens reach users—such as through a sale, an allocation, or use of a product—and are there transfer restrictions?

These design choices affect both the contract and the project’s legal and operational responsibilities. Labels such as “utility” or “community” do not determine how regulators or courts will treat a token. For covered EU activities, MiCA’s white-paper provisions illustrate why project details, token rights, technology, and risks need clear treatment.

2. Assess jurisdictions and the offer model before code freeze

Before committing to a public offer, distribution, or trading plan, have qualified counsel assess the project’s specific facts. The analysis may depend on the token’s features, the entities and people involved, the intended users and markets, and what the project does beyond issuing a token.

  • Identify the jurisdictions the project will target and where its issuer, operators, and other involved entities are established.
  • Describe the distribution or fundraising mechanics, including who receives tokens, on what terms, and whether transfers are restricted.
  • List related activities such as custody, exchange, brokerage, or other services, rather than assessing the token contract in isolation.
  • Ask counsel to assess applicable regulatory requirements and any relevant exemptions before public launch or trading.

A 2025 SEC staff statement flags securities-offering and other regulatory considerations in the United States; it does not classify every token or settle every project’s obligations. In the EU, Regulation (EU) 2023/1114 (MiCA) has distinct provisions for different crypto-asset categories and activities. For covered offers to the public or admissions to trading involving crypto-assets other than asset-referenced tokens and e-money tokens, Article 4 sets conditions that include the offeror being a legal person and drawing up, notifying, and publishing a crypto-asset white paper, subject to the regulation’s scope and exemptions. Article 6 lists disclosure subjects including the offeror or issuer, project, token and rights, technology, risks, and consensus-mechanism environmental impacts. Check the current consolidated regulation and competent-authority guidance with counsel; these examples are not a universal compliance checklist.

3. Choose a network and token standard

Choose a network based on the people and applications the token must work with, the development tools the team can support, and the network’s security and operational requirements. Fees are also relevant, but they change; the available source material does not establish a current numerical cost ranking across networks.

ERC standards are Ethereum-oriented examples, not universal standards for every blockchain or product. Select the standard supported by the chosen network and intended integrations.

Ethereum.org’s token standards documentation describes ERC-20, ERC-721, and ERC-1155. Check the selected standard’s compatibility with the wallets, applications, and services your users will actually rely on.

4. Specify and implement token behavior

Turn the design into a written specification before implementation. This gives developers, reviewers, and operators a shared account of what the contract is meant to do.

  • Token accounting: Record the initial and maximum supply, decimal precision, and any minting or burning rules.
  • Permissions: Define each privileged role, what it can do, who controls it, and how control can be transferred or removed.
  • Transfers: Specify any transfer restrictions and the conditions under which they apply.
  • Upgrades and pauses: State whether the contract can be upgraded or paused, who can authorize those actions, and how users will be informed.
  • Events and integrations: Identify the events and interfaces that wallets, applications, and other contracts are expected to use.

Where appropriate, teams can reuse established components rather than implement common primitives from scratch. OpenZeppelin describes its Contracts library as reusable Solidity contracts, including token standards and access-control components. A library does not validate the project’s design or remove the need to test and review how the chosen components are configured and combined.

Guard against unsafe ERC-20 reception

An ERC-20 transfer to a contract that is not built to recognize or handle ERC-20 tokens can leave the tokens permanently inaccessible. Ethereum.org reported that, as of June 20, 2024, at least $83,656,418 worth of ERC-20 tokens had been lost due to this specific reception issue. That is a dated figure about this failure mode, not a current total of all token losses. Test how intended receiving contracts handle tokens, and make the integration behavior clear to users.

5. Test, review, and prepare operations

Before production, test the contract against its specification, including ordinary use, edge cases, privileged actions, supply rules, and planned integrations. Keep tests focused on what must remain true as well as on expected user flows.

  • Test that supply changes follow the stated rules and that unauthorized accounts cannot use privileged functions.
  • Exercise pauses, upgrades, role changes, and other administrative paths if the design includes them.
  • Test integrations with the wallets, applications, and contracts the project intends to support, including how they handle incoming tokens.
  • Arrange an independent review of the code and address findings before deployment.
  • Decide who controls privileged keys, how access is secured, and what happens if a key is lost or compromised.
  • Set an incident-response process and document governance and approval procedures for changes.

Ethereum.org recommends access controls and independent review, while OpenZeppelin’s mainnet guidance covers security, audits, source verification, key management, and governance. As OpenZeppelin documentation puts it: “Audits do not ensure the absence of bugs, but having several experienced security researchers go through your code certainly helps.” Testing and audits add scrutiny; neither proves that a contract is free of bugs.

6. Deploy and verify the contract

Deployment steps depend on the selected network and development framework. For Ethereum, the official deployment guide lists compiled bytecode, ETH for gas, a deployment script or plugin, and access to an Ethereum node as requirements. Use the corresponding official guidance for another network rather than assuming Ethereum instructions apply.

  1. Rehearse the release: Run the deployment process in the chosen test environment and confirm that the deployed behavior matches the specification.
  2. Confirm release authority: Check the deployer account, the network, initial parameters, and the accounts that will receive privileged roles.
  3. Prepare deployment inputs: Compile the intended source and retain the compiler settings and release artifacts. Make sure the deployer has the network’s required gas token.
  4. Deploy using the selected framework: Use the team’s deployment script or plugin and the selected network’s node access. Framework-specific instructions vary.
  5. Record the result: Retain the contract address, transaction details, compiler settings, source version, and role assignments.
  6. Verify the source where supported: Publish or verify the source against the deployed contract using the network’s supported process, and confirm that the verified source and compiler settings match the release.

7. Publish accurate information and operate the token

Public descriptions should match the contract’s actual rights, supply rules, controls, and behavior. Do not describe a feature as guaranteed if it depends on an administrator, an upgrade, or an external service. For activities covered by MiCA, the regulation requires applicable white-paper information to be fair, clear, and not misleading and sets out subject areas for disclosure. Which disclosures and continuing obligations apply depends on the token, the offer, the jurisdiction, and related activities.

After launch, maintain the operational records and controls the project needs to manage the token: monitor privileged access, follow the documented governance process for changes, and communicate material changes or incidents accurately. If the contract can be upgraded or administered, holders should be able to find a clear explanation of those powers and who controls them.
