Then test the valuation against the rights you would actually receive. Treat an IPO as uncertain: the U.S. Securities and Exchange Commission (SEC) warns, “The fact remains that the company may never go public.”
Start with the offering—not the promised IPO
“Pre-IPO” is not, by itself, a legal category or proof that an investment is legitimate. In the United States, an offering must be registered with the SEC or qualify for an exemption. Ask the issuer or seller to identify the route being used and provide the documents that explain it. The SEC’s pre-IPO investing guidance and exempt-offering overview explain why the details of the specific offering matter.
- Identify the legal issuer and the person or entity selling the investment.
- Determine exactly what you would own: common or preferred shares, an interest in a fund or special-purpose vehicle, or another contractual interest.
- Request the full offering documents, including the security’s terms, amount and price offered, fees, and the claimed registration or exemption route.
- Check relevant SEC records and contact your state securities regulator about the company, offering, and people promoting it.
A public advertisement can affect whether a claimed exemption is available. SEC guidance says general solicitation is incompatible with Rule 506(b), which also has specific conditions if non-accredited investors participate. An advertised offer is not automatically unlawful; establish which exemption the issuer claims and whether the applicable requirements are met. See the SEC’s exempt-offering guidance.
Check whether you qualify to invest
Eligibility depends on the exemption and the offering, not on the label “pre-IPO.” The SEC describes multiple ways someone may qualify as an accredited investor, including financial and professional criteria. Its page lists examples such as net worth over $1 million, excluding a primary residence, or individual income over $200,000—or $300,000 jointly with a spouse or partner—in each of the prior two years, with a reasonable expectation of reaching the same income level in the current year. It also lists specified professional credentials and roles.

These examples are not a determination that you qualify. The SEC page was last reviewed or updated April 24, 2026; verify the current rule text and the specific exemption before relying on any threshold. Review the SEC’s accredited-investor guidance alongside the offering documents.
Verify the company’s business and evidence
Separate claims in a pitch or promotional page from evidence you can independently check. Ask what the company sells, who pays for it, how customer numbers are substantiated, and what contracts and assets exist. Request audited financial statements if available. Compare material claims across primary documents and seek legitimate ways to validate them.

For a specific issuer, useful primary evidence may include offering documents, audited statements, regulatory filings, customer or contract evidence you can legitimately obtain, and management disclosures. The SEC cautions that reliable, current information about unregistered securities can be difficult to obtain and advises investors to verify company claims. A promotional statement is not a substitute for supporting evidence.
Check management, intermediaries, and promoters
Identify the executives and directors, review their backgrounds and prior business outcomes, and look for disclosed disciplinary or legal history in relevant regulator records. Independently verify the underwriter or intermediary named in the offer. Find out who introduced the opportunity, how that person is compensated, and whether they have conflicts of interest.

Take extra care with unsolicited approaches and online promotions, including impressive-looking websites or materials. The SEC’s pre-IPO guidance identifies management, underwriter, and promoter checks as important due diligence and warns about promotional tactics.
Test the valuation and the rights attached to your investment
A headline company valuation, a price from a prior financing, or an expected IPO price does not tell you what you could realize as a shareholder. First establish what share class or investment interest the quoted price represents and what rights come with it. Then ask how later financing could dilute your ownership and whether liquidation preferences, conversion terms, or other provisions could affect your proceeds.

Compare the valuation narrative with verified revenues, customers, financial results, and other relevant business evidence. The SEC’s IPO education material describes valuation analysis using company metrics and notes that an offering price is a negotiated estimate. No such estimate guarantees what an investor could later sell shares for. The relevant deal documents—not an assumed IPO outcome—are necessary to assess the economics of a particular offer.

Private-company securities may be difficult to resell. Read the transfer provisions in the documents and check for company or board consent requirements, rights of first refusal, lock-ups, or other resale conditions. Ask whether a secondary transfer is permitted, what process it requires, and what realistic exit routes exist if the company remains private. SEC guidance explains that privately held securities generally can be resold only if they are registered or an exemption applies; see its private-securities resale guidance.

Possible liquidity events include an IPO, a SPAC merger, or a direct listing, but none is assured. The SEC’s warning is explicit: “The fact remains that the company may never go public.” The same investor publication cautions that you may never recoup your investment. Make your decision on the assumption that your money could remain locked up and could be lost, rather than relying on a promised listing or a particular exit date. Compare offers using the same questions
If you are considering more than one route into a private company, compare the documents on consistent terms. A low quoted price may come with different rights or restrictions from a higher-priced security, and a company’s headline valuation alone does not make two offers comparable.

Decide whether the risks fit your circumstances
There is no company-specific valuation or suitability conclusion without the issuer, security, offering price, documents, and investor circumstances. SEC materials provide general investor education, not legal advice or an endorsement of a company or platform. For an actual offer, consider having a qualified securities attorney, tax professional, or independent financial adviser review the documents and their consequences for you.
