For a U.S. public company, start with its SEC EDGAR filings: the latest proxy statement gives a company-prepared ownership table, while Schedules 13D and 13G and their amendments are the direct filings to check for reportable large beneficial owners. Use 13F-HR for an institutional portfolio snapshot and Forms 3 and 4 for insiders. These records cover different holders and dates, so they do not combine into one live, complete shareholder ranking.

1. Find and confirm the issuer on EDGAR

Search the SEC EDGAR search by company name or ticker, then confirm that the result is the correct legal issuer. A ticker alone can be ambiguous, and a company’s filings may be associated with its legal name rather than its familiar brand. Use the issuer’s EDGAR company page as the starting point instead of relying on a search-engine snippet.

The filing list shows form type, description, filing date, and reporting date, with filters and document text search. Keep the filing date distinct from the reporting or “as of” date: a filing may describe ownership at an earlier point in time.

2. Start with the latest proxy statement

On EDGAR, open the issuer’s latest DEF 14A, its definitive proxy statement, and find the beneficial-ownership table. This is a practical company-prepared starting point for directors, named executive officers, and holders included under the proxy’s disclosure thresholds. It is not necessarily a list of every large holder, and its figures are tied to the proxy’s own scope and date.

For each entry you use, note the table’s “as of” date, the share class, and the denominator used to calculate the reported percentage. A percentage based on one class or share count is not automatically comparable with a percentage calculated on another basis. EDGAR’s company filing search includes proxy and information statements as a distinct filing category.

3. Check large beneficial-ownership reports and amendments

Search the issuer’s filings for Schedule 13D and Schedule 13G, then check for later amendments, filed as 13D/A or 13G/A. These filings address beneficial ownership reports for holders above five percent; that is a reporting threshold, not a general statistic about how much of public companies is held by large investors. Read each filing for the reporting person, security class, reported shares, percentage, filing date, and the date or circumstances described in the filing. Check subsequent amendments before using an initial report’s figures: a later amendment may update or supersede the earlier information. Where the filing describes voting or dispositive power, preserve that basis in your notes rather than silently treating every reported share as an identical kind of ownership.

4. Use 13F-HR as a separate institutional snapshot

Form 13F-HR is useful for examining certain institutional managers’ reported portfolio holdings, but it is a different lens from a beneficial-ownership filing. Compare the report’s quarter-end holdings date with the filing date shown by EDGAR. The filing describes an earlier reporting snapshot, not live ownership. Do not combine a 13F number with a proxy or 13D/G number as if the records measured the same thing. Their reporting populations, ownership bases, dates, and possibly security classes differ.

5. Check Forms 3 and 4 for insiders

Form 3 is an insider’s initial ownership statement; Form 4 reports changes in beneficial ownership. These filings help you examine insider positions and reported transactions, but they are not a comprehensive ranking of all shareholders. EDGAR separates insider transaction filings from 13D/G beneficial-ownership reports. See the SEC’s Form 3, 4, and 5 information.

6. Compare filings without creating a false ranking

Before describing a holder as one of the company’s “largest shareholders,” define what you mean: the relevant filing type, holder population, security class, and date. A proxy table, 13D/G filing, 13F-HR, and insider report are not interchangeable lists. A defensible comparison carries the basis alongside every figure.

For every figure you retain, record the holder name, filing type, reported shares and percentage, security class, reporting or “as of” date, filing date, and whether the filing is initial or amended. If figures seem to conflict, first check whether they refer to different classes, dates, denominators, or concepts such as beneficial ownership versus investment discretion. Only call it a discrepancy after reconciling those differences.

What this workflow can and cannot establish

EDGAR is the primary public filing source for ownership disclosures by U.S. issuers, but its filings do not provide one synchronized, real-time register of every shareholder. Each filing answers a different question and reflects its own reporting population and timing. This method is for organizing public disclosures, not making an investment recommendation.
