A company typically buys bitcoin for its treasury by approving a written investment and risk policy, completing legal and counterparty due diligence, funding an institutional broker, exchange, or OTC account, executing a purchase, and arranging custody. The purchase is only one part of the process: finance must preserve trade and wallet records, reconcile balances, apply the relevant accounting rules, and assess tax and disclosure obligations. Execution and custody are separate decisions, and the right setup depends on the company’s jurisdiction, structure, and risk controls.

This guide focuses on the U.S. rules and sources current through November 2026. A company outside the United States—or a U.S. entity subject to specialized industry or listing rules—needs advice tailored to its own circumstances.

What should a company decide before buying bitcoin?

Before choosing a trading venue or moving money, the company should determine whether bitcoin is permitted at all, how much risk it is willing to accept, who can authorize transactions, and how it will safeguard and account for the asset. These decisions belong in a documented treasury policy, approved by the board or the appropriate investment committee for that entity.

A useful policy addresses:

  • Purpose and permitted assets: Explain why the company is considering bitcoin and whether the policy permits only bitcoin or other digital assets too. Define what counts as an approved investment and what activities are prohibited.
  • Allocation and liquidity limits: Set an exposure limit and specify how the company will account for price volatility, cash needs, and the possibility that it may need to sell during an unfavorable market. A limit should be expressed in terms finance can monitor, not left as a general intention to “invest prudently.”
  • Authority and separation of duties: Name the people who can initiate, approve, execute, and reconcile a purchase. Avoid giving one person unchecked authority over both payment instructions and wallet access. Set approval thresholds and a process for unusual or urgent transactions.
  • Custody and recovery: Choose who controls the keys, how access is protected, who can authorize withdrawals, and how the company would recover access if an authorized employee becomes unavailable. Establish a process for changing signers and documenting key or access-control changes.
  • Valuation and reporting: Specify the source finance will use for valuation, how often balances and exposures will be reported, and who investigates differences between company records, broker statements, custodian statements, and on-chain balances where relevant.
  • Accounting, tax, and disclosure: Assign responsibility for applying the accounting standard, maintaining tax records, and assessing whether the holdings or associated risks require disclosure.

The policy should be reviewed by the company’s legal, tax, accounting, treasury, and security stakeholders before funds are committed. Its purpose is not to predict bitcoin’s price; it is to make responsibilities and limits clear before a transaction creates an asset the company must protect and report.

How does a company buy bitcoin step by step?

The transaction usually follows a sequence: approve the exposure, select execution and custody arrangements, complete account and payment checks, place and settle the order, then reconcile the asset and records. Keep an audit trail at each stage so the company can explain who authorized the purchase, what it paid, where the bitcoin went, and how it was recorded.

  1. Obtain entity-specific approval. Record the policy decision, the authorized allocation, the approving body or officers, and any conditions on the purchase. Confirm that the entity’s governing documents, financing arrangements, and applicable rules do not create a restriction that the planned transaction would violate.
  2. Perform legal and counterparty diligence. Confirm the provider’s legal entity, jurisdiction, regulatory status relevant to its services, account terms, settlement process, custody arrangement, fee schedule, and incident procedures. Ask how assets are held, what records are available, and what happens if the provider is unable to operate or the company disputes a transaction. The answer may differ between execution and custody providers.
  3. Select an execution route. An institutional broker, exchange, or OTC desk can execute a purchase. Decide whether the order will be placed on a venue or negotiated through an OTC desk based on the company’s needs, liquidity, execution process, and total fees. Do not assume that a provider which executes the purchase must also hold the bitcoin.
  4. Set up funding and permissions. Complete the provider’s corporate onboarding, establish approved account users and signers, and verify the process for funding the account. Independently confirm payment instructions through a trusted channel, especially if they change. Define who can submit an order and who must approve it.
  5. Place the order and retain the confirmation. Record the order details, execution time, quantity, price, fees, counterparty or venue, and settlement instructions. Save confirmations and communications that explain any negotiated terms. If an OTC transaction has different settlement steps from a venue order, document those steps before funds or assets move.
  6. Settle into the approved custody arrangement. Verify the destination address and required approvals under the company’s procedures before a transfer. Preserve evidence of authorization and settlement. A transfer to the wrong address, or an unapproved change to a destination, can become a serious recovery problem.
  7. Reconcile and report. Match the trade confirmation and funding records to the amount received, fees, custody records, and the general ledger. Where appropriate, compare custody statements with on-chain balances. Escalate discrepancies promptly, record the resolution, and include the holding in the company’s scheduled treasury reporting.

SEC staff guidance notes that an ATS broker-dealer operator may also perform broker, custodial, or clearing functions, but each activity remains subject to applicable federal securities laws. That is not a reason to assume that all providers or services have the same legal status. A company should evaluate the actual legal entity and service involved, with counsel where appropriate.

Should the company use an exchange, broker, or OTC desk?

These are execution choices, not custody decisions. A company can buy through one provider and transfer bitcoin to a separate custodian or controlled self-custody arrangement, subject to the provider’s terms and the company’s policy.

Route What to evaluate Questions for diligence
Institutional broker Execution process, fees, settlement, account permissions, and reporting Which legal entity executes the trade? What confirmation and tax data will the company receive? Can the company settle to its selected custodian?
Exchange Liquidity, spreads, fees, operational controls, settlement options, and available records How are orders executed and balances reported? What withdrawal approvals apply? Which services are provided by the exchange entity versus an affiliated or separate entity?
OTC desk Quoted price and fees, negotiated settlement terms, counterparty risk, and confirmation detail How is the price set? What are the exact payment and delivery steps? What evidence of execution and settlement will be provided?

No route is best for every company. Compare the total cost and operational consequences of the proposed transaction, not a headline fee alone. The diligence checklist should include liquidity and execution quality, spreads and fees, settlement timing and process, auditability, incident response, tax-data exports, and support for the company’s accounting workflow. Also ask whether the provider’s custody or insolvency terms affect assets left on its platform.

Execution technology and legal treatment should not be conflated. SEC staff guidance about ATS operators is relevant to services involving broker-dealer activity; it does not establish that every digital-asset venue is an ATS, that bitcoin itself is a security, or that a particular service is suitable for a company. The company’s legal advisers should assess the specific provider, activity, and jurisdiction.

How should a company choose bitcoin custody?

Custody determines who controls the bitcoin and how the company manages access, recovery, and counterparty exposure. A company should compare third-party qualified custody, custody through a trust company where available and appropriate, and self-custody without treating any one model as automatically safer.

Custody model Potential advantages to assess Risks and questions to resolve
Third-party qualified custodian External custody operations and records may support control and reconciliation processes Verify the provider’s legal status for the company’s situation, custody terms, asset segregation, insurance terms, access controls, recovery process, and treatment in an insolvency.
State-chartered trust company May offer another regulated custody option in jurisdictions where available Availability, legal qualification, services, and protections depend on the particular entity and applicable rules; do not infer qualification from the label alone.
Company-controlled self-custody Direct control of keys can reduce reliance on a custody provider for access to the asset The company assumes key-management, security, signer, backup, recovery, and continuity responsibilities. Loss of access or an unauthorized transfer may be difficult or impossible to reverse.

SEC Commissioner Mark T. Uyeda said at the Crypto Task Force Roundtable on Custody on April 25, 2025, that crypto registrants need “a number of custodial solutions,” and discussed state-chartered limited-purpose trust companies as possible qualified custodians for advisers. He also said “there is still work to do to ensure appropriate choice among custodial solutions.” These remarks describe an evolving discussion, not a blanket determination that every trust company qualifies for every entity or that one model meets every company’s needs.

For any third-party arrangement, review the contract and operational details rather than relying on marketing terms. Ask who holds the keys, whether company assets are segregated, which parties can move them, what approvals a withdrawal requires, what audit or reporting evidence is supplied, and how the provider handles incidents and recovery. Understand the stated insurance coverage and its limits instead of assuming that a balance is fully insured. For self-custody, document the key-control model, signer succession, backup protection, and independent verification of transfers before the first purchase.

How does a company account for bitcoin and keep tax records?

Accounting and tax recordkeeping are separate workstreams, but both depend on reliable transaction and custody records. Under U.S. GAAP, FASB ASU 2023-08 requires fair-value measurement for qualifying crypto assets. The company should work with its accountant or auditor to determine whether its holdings qualify and how the standard applies to its reporting circumstances.

FASB also has an active project on crypto-asset transfers and derecognition, added to its technical agenda on November 19, 2025. That project is a reminder that transfer-accounting questions should not be answered by assuming that every movement between wallets has the same accounting result. Finance should evaluate the facts and applicable guidance for the company’s transactions, and follow developments through its accounting advisers.

On the tax-reporting side, the IRS says Form 1099-DA reporting applies to covered broker transactions on or after January 1, 2025, and its final regulations address broker reporting for covered digital-asset dispositions. A company should not rely solely on a broker’s form or records. Preserve acquisition dates, quantities, basis data, trade confirmations, fees, transfers, and disposition records in a format finance can reconcile to the general ledger and custody statements.

The IRS has specifically warned that inconsistencies between broker records and customer records about digital-asset lots held with a broker can create reporting complexities and inaccuracies. That makes lot-level records important even when a broker provides tax information. Establish ownership of the recordkeeping task, a process for checking broker data, and a procedure for resolving missing or conflicting lot details before filing deadlines approach. Tax treatment and reporting obligations remain dependent on the company’s facts and applicable law.

What should a corporate bitcoin control checklist include?

A compact control checklist helps turn policy into repeatable operations. Review it before the first purchase and after changes to personnel, providers, custody arrangements, or applicable rules.

  • Approval: Is the investment authorized, within the approved exposure limit, and supported by documented sign-offs?
  • Provider diligence: Are the execution and custody legal entities, services, jurisdictions, terms, fees, and incident processes documented?
  • Role separation: Are order initiation, transaction approval, payment authorization, custody access, and reconciliation assigned appropriately?
  • Settlement: Are payment instructions and wallet destinations verified, and are confirmations retained with the approval trail?
  • Custody: Are key control, signer changes, backups, recovery, asset segregation, and relevant contractual protections understood?
  • Reconciliation: Are provider statements, trade records, company ledgers, and on-chain information compared where appropriate, with discrepancies investigated?
  • Accounting and tax: Are valuation, qualifying-asset analysis, acquisition and disposition lots, broker reporting, and supporting records assigned to named owners?
  • Governance and disclosure: Does the board or investment committee receive reporting at the cadence in the policy, and are material risks or holdings assessed under applicable disclosure requirements?

SEC Staff Accounting Bulletin No. 122, effective January 30, 2025, rescinded SAB 121 interpretive guidance concerning safeguarding crypto-assets held for platform users. This change should be understood narrowly: it does not remove the company’s need to assess its own accounting, custody contracts, controls, risks, or disclosure obligations. It also does not make a third-party custodian’s operational or counterparty risks disappear.

What can change the answer for a particular company?

The framework above is U.S.-focused, not a universal legal checklist. The permissibility of holding bitcoin, the qualification of a custodian, tax treatment, disclosure language, and accounting conclusions can depend on the company’s domicile, whether it is publicly listed, its industry, and federal, state, or national rules. A non-U.S. company should obtain local regulatory and tax advice rather than apply U.S. reporting rules by default.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Even among U.S. companies, an entity’s business, governing documents, investor or lender commitments, and reporting obligations can change what approvals or disclosures are necessary. The board-level decision to take exposure should therefore be distinguished from the operational decision about how a particular purchase is executed and held. A policy that addresses both is more useful than a one-time authorization to buy.

Frequently Asked Questions

Does a company receive Form 1099-DA when it buys bitcoin?

The IRS reporting described in its guidance concerns covered broker transactions, including covered dispositions, beginning with transactions on or after January 1, 2025. A company should confirm how its broker reports the specific activity and retain its own acquisition and disposition records rather than assume a form will capture every relevant lot detail.

Does SAB 122 eliminate accounting obligations for companies that hold bitcoin?

No. SAB 122 rescinded SAB 121 interpretive guidance about safeguarding crypto-assets held for platform users, effective January 30, 2025. It does not decide how a company accounts for its own bitcoin holdings or remove the need to assess relevant custody, control, and disclosure issues.

When did FASB add crypto-asset transfers to its agenda?

FASB added an active technical project on crypto-asset transfers and derecognition on November 19, 2025. The project is distinct from ASU 2023-08’s fair-value requirements, so companies should not assume transfer questions have already been resolved by the fair-value standard.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Can a company use its broker’s tax records as its only bitcoin lot records?

That is risky: IRS final-regulation materials warn that discrepancies between broker and customer records for digital-asset lots may lead to reporting inaccuracies. Keep company-side records of acquisition dates, quantities, basis data, confirmations, and transfers, then reconcile them to broker information.
