A spot bitcoin or ether exchange-traded product (ETP) holds the cryptocurrency itself and issues shares that trade on a securities exchange. Buying shares gives you exposure through a brokerage account without requiring you to use a crypto trading platform or manage wallet keys—but it does not remove the risks of the underlying asset. Before buying, check the product’s legal structure, fees, tracking, custody disclosures, and risk factors.
What a spot crypto ETP holds
A spot bitcoin or ether ETP holds bitcoin or ether in a trust and issues shares that trade on a national securities exchange. The product seeks to track the price of the underlying crypto asset. You buy and sell its shares through a securities account rather than personally buying cryptocurrency and managing private keys.
This differs from a futures ETP, which holds futures contracts rather than the crypto asset itself. The SEC’s September 9, 2024 Investor Bulletin on bitcoin and ether ETPs describes these as distinct forms of exposure.
Why “ETF” can be an imprecise label
Spot bitcoin and ether products are structured as exchange-traded commodity trusts, not as investment companies registered under the Investment Company Act of 1940. Futures crypto ETPs, by contrast, are primarily structured as ETFs. A product’s name or its common description as a “spot crypto ETF” does not mean it has the same legal structure or requirements as a registered ETF or mutual fund. Check the specific trust’s disclosures rather than relying on the label.

The SEC’s January 10, 2024 statement on spot bitcoin ETP listings also made clear that approval of listing orders was not an endorsement of bitcoin. Listing approval does not establish that a crypto asset is safe or suitable for a particular investor. See SEC Chair Gary Gensler’s statement.
What owning shares changes—and what it does not
Shares provide exchange-traded exposure without requiring each investor to transact on a crypto platform or handle wallet keys. But the trust remains exposed to the crypto asset and its market. Bitcoin and ether prices can be highly volatile, and the SEC’s investor bulletin says they are highly speculative investments.

An ETP’s share price can differ from the value of the crypto asset it represents. Share demand, issuer issues, or broader crypto-market events can contribute to that divergence. Sponsor fees and operating expenses can also reduce the amount of crypto represented by each share over time. The trust does not generate income; the SEC says sponsor fees generally cover operating expenses.
What changed with in-kind creations and redemptions
On July 29, 2025, the SEC approved orders permitting authorized participants to create and redeem shares of crypto ETPs in kind. The SEC said recently approved spot bitcoin and ether ETPs had previously been limited to cash creations and redemptions. Authorized participants are the institutions that create or redeem large blocks of shares; this mechanism is not the same as an individual investor exchanging a retail-sized share directly for cryptocurrency.

SEC Chair Paul S. Atkins said, “I am pleased the Commission approved these orders permitting in-kind creations and redemptions for a host of crypto asset ETPs.” The SEC described flexibility and potential cost savings as expected benefits. Those are the agency’s stated rationale, not a guarantee that every product or retail investor will experience lower costs. Read the SEC’s July 29, 2025 announcement for the details.
Before you buy: a practical checklist
- Decide whether the risk fits your finances. Consider whether a substantial loss could disrupt your financial plan. The SEC’s September 9, 2024 bulletin warns that bitcoin and ether are highly speculative and volatile.
- Read the product’s filings. Find the specific ETP’s prospectus and periodic reports through SEC EDGAR. Review its risk factors, operating terms, and disclosures about what could make the investment speculative or risky.
- Check current fees and expenses. Review the trust’s current fee terms and how expenses are paid. Fees can reduce the crypto assets represented by each share over time; do not assume two products have the same cost.
- Understand tracking and market price. Look at how the product seeks to track its underlying asset and whether its share price may diverge from that asset’s value. Share demand and market or issuer events can affect the relationship.
- Review custody and operating arrangements. Read the trust’s own disclosures about custody and operations. The “ETF” shorthand does not tell you which arrangements a particular trust uses.
- Account for the underlying crypto market. SEC staff warns that crypto trading platforms may not be registered with the SEC and may lack the oversight associated with registered intermediaries, increasing the potential for fraud and manipulation in the underlying market.

Compare products on the same basis, using their current filings and available market information. Relevant factors include:

- Legal form and asset: Confirm whether the product is a spot trust holding bitcoin or ether, or a futures ETP holding contracts.
- Fees and expenses: Compare each product’s current stated charges and how they affect the trust.
- Custody and operations: Read each trust’s disclosures instead of inferring arrangements from its name.
- Tracking: Examine the stated approach and the possibility that share prices may diverge from the underlying asset.
- Trading conditions: Consider liquidity and the possibility of buying or selling at a market price different from the underlying value.
- Product-specific risks: Review each prospectus and periodic report; risks and operating terms can differ.
Current fees, spreads, trading volumes, custody arrangements, and tax consequences are product- and investor-specific. The SEC bulletin is investor education, not a product recommendation, and does not rank ETPs.
