A share buyback can reduce the number of shares in circulation and raise earnings per share (EPS), but neither a higher stock price nor a gain for continuing shareholders is guaranteed. To judge a repurchase, separate three questions: what happened to the market price, what happened to earnings per share, and whether the company used its cash well. An announced authorization is only permission to buy; the effect depends on what the company actually purchases, what it pays, and what it gives up to fund the purchase.

What is a share buyback?

A share buyback, also called a share repurchase, is when a company uses cash—or, in some cases, borrowed money—to purchase its own outstanding shares. Shares actually repurchased may be retired or held out of circulation. If the company does not issue enough new shares to offset the purchases, the remaining shareholders own a larger percentage of the business.

The company also has less cash or more debt after the transaction. That trade-off matters: the same funds might otherwise have supported operations, new investment, debt repayment, or a dividend. The CFA Institute’s 2026 corporate-issuers material treats repurchases as one of several ways to distribute capital, not as an automatic source of value.

Keep three measures distinct. Market price is the price investors are currently willing to pay for a share. EPS is net income divided by weighted-average shares for a reporting period. Shareholder value concerns the economic value received by owners who remain and those who sell, considered against the cash and opportunities the company gives up. A change in EPS or book value alone does not establish that investors are wealthier.

Do buybacks raise stock prices?

They can be followed by a price increase, but there is no mechanical rule that a company’s stock must rise when it buys shares. An announcement can communicate management’s view that the stock is undervalued, while the actual purchases can add demand. Yet the announcement may never be fully carried out, the market may have anticipated it, and other company or market news can outweigh it.

The SEC’s 2023 rulemaking says, “Several empirical studies show that on average share prices increase after share repurchases.” The same document also acknowledges studies that do not find that result. Read the statement as a summary of mixed evidence about averages—not a forecast for a particular company or a guarantee that a planned buyback will lift its shares. The SEC’s Federal Register document discusses possible explanations, including signaling that management believes shares are undervalued and the liquidity provided by repurchases.

A 2023 study by Guest, Kothari, and Venkat found modest average appreciation after repurchases in a large U.S. sample, with no average reversal. The authors also argued that ordinary repurchases account for too little typical trading volume to explain large, systematic short-run price manipulation. These are sample-level findings, not evidence about what a specific stock will do. An authorization and an executed purchase are different events, and a company’s announcement does not reveal the price it will ultimately pay.

Price response is also not the same as value creation. If a buyback announcement prompts investors to revise their expectations, the market price may move even before the company completes a purchase. Conversely, a price increase can occur for reasons unrelated to the repurchase. For a continuing shareholder, the more useful question is whether the company bought at an attractive price and retained enough resources to pursue valuable alternatives.

Do buybacks always increase EPS?

No. Buying shares can reduce the denominator in the EPS calculation, but lower investment income or higher financing costs can reduce the numerator—net income. The result depends on the number and timing of shares repurchased, the source of funds, and what happens to earnings.

CFA Institute puts the point conditionally: “Share repurchases made with excess cash have the potential to increase earnings per share.” The word potential matters. EPS is calculated using weighted-average shares for the reporting period, not simply the number of shares mentioned in a future authorization. A repurchase late in a quarter or year affects fewer days in that period than an earlier purchase, so it generally has less impact on that period’s weighted average.

A simple EPS illustration

Suppose a company earns $100 million and has 100 million weighted-average shares. Its EPS is $1.00. If it purchases 10 million shares early enough to reduce the weighted-average share count for the entire illustrated period to 90 million—and net income remains $100 million—EPS rises to about $1.11.

Now suppose using the cash means the company gives up $10 million of income, or incurs an equivalent after-tax financing cost, so net income falls to $90 million. With 90 million weighted-average shares, EPS remains $1.00. This is arithmetic to show how numerator and denominator interact, not a company result or evidence that the shares’ market price will rise. Real outcomes also depend on the timing of purchases, taxes, dilution, and changes in earnings.

For a simplified cash-funded comparison, analysts can compare the stock’s earnings yield with the return the company would give up by using its cash. Borrowing adds a comparison with after-tax borrowing costs. These calculations help explain whether a repurchase may be EPS-accretive; they do not determine whether the purchase price is sensible, whether the shares are undervalued, or whether another investment would be better.

Does an EPS increase mean shareholders gain?

No. EPS can increase simply because the company has fewer shares, even if total net income is unchanged or falls. That can affect metrics and investor expectations, but it does not by itself prove that the company’s underlying business is more valuable or that continuing owners gained wealth.

The price paid is central. If management buys shares below a reasonable estimate of intrinsic value, the remaining shareholders can benefit at the expense of the holders who sell. If the company pays more than the shares are worth, value can move in the other direction. Intrinsic value is an estimate, not an observable fact, so this judgment is uncertain. Market price, estimated intrinsic value, and book value per share are different measures; a change in one does not establish a change in the others.

A study by Christina Mashruwala and Shamin Mashruwala, first published in 2024 and included in a 2025 journal issue, estimates that companies in its 1997–2022 sample spent $2.3 trillion—38% of the sample’s buyback dollars—on EPS-accretive repurchases. The authors estimate that $289 billion, or 13% of that accretive amount, involved purchases used to meet or beat analyst forecasts. These are historical estimates for the study’s sample, not figures for all U.S. buybacks or a claim about 2026.

The same authors estimate an average quarterly repurchase of $77 million and an average $22 million transfer from continuing to selling shareholders, equal to 0.39% of assets, in their sample. They caution that transfer estimates depend on an imprecise estimate of intrinsic value. Do not treat the average as a likely loss for an individual shareholder or a prediction about a particular repurchase.

Their results also help explain why research can seem to conflict. A broad study finds no systematic evidence that repurchases displace valuable investment. The Mashruwalas examine a different outcome and sample: they find EPS-accretive purchases—particularly those used to meet or beat forecasts—are associated with worse immediate wealth transfers for continuing holders than other repurchases. They also report a positive market response around earnings announcements and better subsequent operating performance among EPS-motivated repurchasers. A negative estimated transfer on purchased shares and a positive overall market response can coexist; neither result proves that all buybacks help or harm shareholders. See the authors’ study on repurchases and EPS accretion for its sample and methods.

How should a buyback be compared with a dividend or reinvestment?

A buyback is one possible use of corporate cash, not a default best choice. Compare it with a dividend, investment in the business, or debt reduction on six questions:

  1. Price: Is the repurchase price reasonable relative to management’s estimate of intrinsic value? A favorable EPS calculation cannot make an excessive purchase price attractive.
  2. Projects: Does the company have useful investments with expected returns that justify keeping the cash? If so, a repurchase may crowd out a better use; if not, returning capital may be appropriate.
  3. Who benefits: A repurchase lets shareholders decide whether to sell, while a dividend distributes cash to shareholders generally. The price paid determines how the transaction affects sellers compared with continuing owners.
  4. Funding and resilience: Is the company using surplus cash or borrowing? Less cash and more debt can reduce flexibility, especially if the business later needs funds.
  5. Flexibility: A company can vary the size and timing of repurchases. A dividend is a different payout commitment and should be evaluated in light of the company’s circumstances.
  6. Taxes: Shareholder-level and corporate-level tax consequences can differ by investor and jurisdiction. Tax treatment is one factor, not a substitute for assessing price, risk, and alternatives.

CFA Institute explains that equal-dollar repurchases and cash dividends are equivalent for total shareholder wealth all else equal. That qualification is important: actual taxes, valuation, funding, and investor circumstances mean the alternatives are not always equivalent in practice. Historical Federal Reserve research also links repurchases with free cash flow and finds evidence that management options can affect payout choice. Those observations describe incentives and patterns; they do not establish that any individual company’s decision was improper.

How can investors check what a company actually did?

Start with executed purchases, not the headline authorization. For a U.S. public company, review its filings and financial statements for the amounts purchased, average price paid, changes in shares outstanding, and the impact on cash, debt, and diluted EPS. Then consider whether management explains why it chose repurchases over the available alternatives.

  1. Find the authorization and distinguish it from purchases. A board authorization describes a permitted amount, not a promise to buy that amount. Check the company’s subsequent disclosures for shares actually purchased.
  2. Compare shares and average price. Look for the number of shares purchased and the average price paid in the relevant reporting period. Compare the purchases with the change in shares outstanding; employee-share issuance or other new issuance may offset some of the reduction.
  3. Check the cash-flow and equity statements. Determine how much cash went to repurchases and consider it alongside other financing activity. A repurchase is a cash use even when it reduces the share count.
  4. Read EPS with the share count and earnings together. Compare net income, basic and diluted EPS, and weighted-average shares. If EPS rises, ask whether earnings rose, shares fell, or both—and whether the funding changed income or interest expense.
  5. Assess the balance sheet. Review liquidity and debt before and after the repurchase. A cash-funded purchase reduces reserves; a debt-funded purchase increases obligations and financing costs.
  6. Look for the rationale and alternatives. Consider whether management explains the purchase price, investment opportunities, debt position, and other uses of cash. The explanation can help investors assess the decision, but it is not proof that management’s valuation is correct.

The SEC’s 2023 rulemaking describes the pre-amendment monthly purchase table under Item 703 in Forms 10-Q and 10-K, along with relevant cash-flow and equity-statement disclosures. The Fifth Circuit vacated the SEC’s 2023 enhanced daily-detail disclosure amendments on December 19, 2023. Do not rely on those vacated amendments as current filing requirements. Filing rules can change, so confirm the applicable SEC rule text and a company’s current filing before treating a particular disclosure format as required. The SEC document is useful for understanding the rulemaking history, not a substitute for checking current requirements.

What does the U.S. buyback excise tax mean for investors?

The U.S. tax material in this research concerns a tax on certain corporations, not a blanket 1% charge imposed on every investor when a company repurchases shares. IRS Notice 2023-2 describes a 1% excise tax on covered corporate repurchases after December 31, 2022, subject to statutory netting for eligible stock issuance and exceptions. The notice is an initial explanation, not definitive 2026 tax guidance; consult current IRS guidance for a particular company or transaction.

An investor’s own tax consequences depend on their circumstances and jurisdiction. The U.S. corporate excise tax and an individual shareholder’s tax treatment are separate questions. Investors outside the United States should check the rules that apply where they and the company are subject to tax.

What is the practical takeaway from a buyback announcement?

Treat an authorization as permission, not proof of a purchase or a forecast of a price increase. Then examine the actual shares bought, average price paid, net change in shares after issuance, funding source, earnings, and balance-sheet effect. A buyback can increase EPS and may support a share price, but the strongest assessment asks whether the company made a sound use of capital—not whether one headline metric improved.

Frequently Asked Questions

Can a company cancel or leave a buyback authorization unused?

An authorization permits purchases but does not itself mean the company has bought shares or must complete the full amount. Investors should distinguish the announced limit from the purchases later reported in filings.

Why might a company repurchase shares instead of paying a dividend?

A repurchase gives shareholders the choice to sell into the offer or market, while a dividend distributes cash to shareholders generally. Companies may also weigh payout flexibility, valuation, investment needs, funding, and differing tax consequences; no one reason applies to every company.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Does a buyback guarantee that my ownership percentage will increase?

Not necessarily. A repurchase can be offset by new share issuance, including shares issued to employees, so the net outstanding share count may fall by less than the number purchased—or not fall at all.

Is a buyback better for taxes than a dividend?

There is no universal answer: an investor’s tax outcome depends on their jurisdiction, account, and circumstances, while the company may also face corporate-level taxes. The U.S. corporate excise tax on certain repurchases is distinct from an individual shareholder’s tax bill.
