Before signing with an enterprise AI implementation partner, compare the firms against the same evidence: relevant delivery experience, data and intellectual-property controls, security and subcontractor dependencies, use-case testing, contract terms, and the cost of operating or leaving the solution. Ask for evidence tied to the system you plan to deploy—not just a certification or a general promise—and make ongoing evaluation, incident handling, and exit arrangements part of the deal.

What should I look for in an enterprise AI implementation partner?

Start with the proposed use case and the work the partner will actually deliver. A firm’s general AI credentials do not establish that it can integrate a particular system into your environment, manage its risks, or leave your team able to operate it.

Use a common scorecard for every candidate. Record the evidence each partner provides, what remains unverified, and who inside your organization must review it.

Relevant control evidence and assurance reports, supplier and dependency lists, incident and continuity procedures, and a clear account of which entities can access your data.
Testing and governance Use-case-specific evaluations, human oversight where needed, failure handling, monitoring, and change control. Test plans and results, documented limitations, monitoring reports, and records of material system changes.
Contract and delivery mechanics Scope and exclusions, milestones, acceptance, access to records, change requests, remedies, service levels where relevant, knowledge transfer, and exit support. A statement of work with measurable deliverables and acceptance criteria, plus proposed terms for evidence access, changes, and handover.
Economics and lock-in Implementation assumptions and fees, ongoing operating costs, consumption-based dependencies, portability, termination assistance, and provider-change costs. A cost model that identifies assumptions and recurring dependencies, and a transition plan describing what can be exported and what assistance costs extra.

Use these categories to compare options, not as a universal contract template. NIST’s Generative AI Profile recommends updating acquisition and procurement due diligence for generative AI to account for intellectual-property, privacy, security, and other risks; it also calls for use-case-based supplier assessment and ongoing attention to third-party risks. How do I evaluate an AI implementation vendor’s security and data practices?

Trace the data and dependencies through the full proposed system. The implementation partner may not be the only party that processes, stores, or can access information. Ask for a system and data-flow view that identifies the partner, model providers, cloud services, data providers, software components, and subcontractors. For each, establish what information it receives, what it can do with it, and what happens if it becomes unavailable or unsuitable.

Check data handling and intellectual property

  • Identify each category of data used for implementation, testing, and production, and whether it contains personal, confidential, regulated, or customer information.
  • Confirm where data is processed and stored, how long it is retained, who can access it, and how deletion is performed and evidenced.
  • Get a direct answer on whether customer data, prompts, outputs, or feedback can be used to train or improve models or services. Specify permitted uses in the contract.
  • Clarify ownership and licenses for customer inputs, partner materials, generated outputs, integration code, and third-party components. Ask how third-party content is handled.

Review security, suppliers, and resilience

Request evidence relevant to the proposed scope, such as access controls, personnel practices, vulnerability management, incident response, continuity arrangements, and independent assurance. A certificate, framework mapping, or assurance report is an input to your assessment; it does not by itself prove that the implementation satisfies your requirements.

Extend diligence beyond the prime contractor. NIST’s SP 1326, published in July 2026, organizes ICT supplier due diligence around foreign ownership, control, or influence; provenance; resilience; foundational cyber practices; and supply-chain tiers. These are useful prompts for examining an implementation partner and its dependencies, while recognizing that the guide is scoped to ICT suppliers.

For generative AI, NIST also recommends contract provisions that let an organization evaluate third-party processes and standards. Translate that principle into practical rights to obtain relevant evidence, review records, receive reports, and require remediation, with safeguards for legitimate confidentiality and security constraints. The exact arrangements should reflect your use case and be reviewed by your procurement, security, privacy, and legal teams.

Use frameworks as organizing tools, not proof of suitability

NIST describes its AI Risk Management Framework as voluntary guidance for incorporating trustworthiness considerations into AI design, development, use, and evaluation. It is not a certification or a legal requirement. NIST says AI RMF 1.0 is being revised, so check the current version before incorporating framework references into procurement language. The AI RMF overview and its voluntary Playbook can help organize discussion across Govern, Map, Measure, and Manage.

Supplier-assurance rules can also be organization-specific. For example, Microsoft’s Supplier Security and Privacy Assurance materials describe Microsoft’s own supplier program and how requirements vary with processing roles and assurance conditions. Treat that as an example, not a standard that automatically applies to your contract.

What questions should I ask an AI consulting firm before signing a contract?

Ask for specific, written answers and supporting evidence. Include the people who will own the business process, architecture, security, privacy, procurement, and ongoing operations in the discussion.

  1. Which exact business process and user group will the proposed system support? How will success, errors, and unacceptable outcomes be measured?
  2. Which models, data providers, cloud services, software components, and subcontractors are in scope? Which entities can access our data?
  3. What information leaves our environment, how long is it retained, can it be used for model training or service improvement, and how is deletion verified?
  4. What evidence can you provide for security controls, incident response, vulnerability management, data provenance, resilience, and continuity?
  5. Which tests will you run before acceptance and after material changes? Can our staff or an independent assessor inspect relevant records and results?
  6. What happens if a model, data source, or third-party service fails or becomes unsuitable? What is the fallback, and who operates it?
  7. Which deliverables, documentation, configurations, prompts, evaluations, and integration code will we own or be licensed to use after termination?
  8. How will our staff be trained, and what must be handed over so we can operate, monitor, and change the system without the implementation partner?

Answers should expose assumptions and dependencies, not simply assert that the vendor is secure or experienced. Follow up on gaps with a named evidence request, an accountable owner, and a deadline before the relevant commitment becomes binding.

What should an AI implementation contract include?

Use counsel and procurement to turn the agreed design and risk controls into enforceable terms. The items below are negotiation topics, not prewritten legal clauses; their details depend on jurisdiction, sector, data sensitivity, and system risk.

  • Use and scope: intended and prohibited uses, systems and data covered, parties’ roles, exclusions, and measurable deliverables.
  • Data and confidentiality: permitted processing, security controls, confidentiality, retention and deletion, and limits on training or reuse of customer information.
  • Subcontractors and dependencies: identified subprocessors and material dependencies, with disclosure and risk-appropriate approval or notice of changes.
  • Incidents: notice timelines, cooperation, investigation, remediation, and evidence obligations.
  • Evaluation and access: workable rights to evaluate relevant third-party AI processes and standards, and access to records or results, calibrated to confidentiality and security constraints.
  • Operational records: logs, material model or system changes, evaluation results, data-provenance information, and monitoring reports appropriate to the use case.
  • Acceptance and change control: pre-agreed tests and performance thresholds, documented limitations, procedures for approving changes, and remedies when requirements are missed.
  • Intellectual property: ownership and licenses covering customer data, partner materials, outputs, code, and third-party components.
  • Continuity and exit: fallback arrangements, portability, termination assistance, deletion, and knowledge transfer.
  • Ongoing review: a process for revisiting risks and suitability as the system, data, suppliers, or use case changes.

NIST’s Generative AI Profile recommends ongoing monitoring of third-party risks and documenting fallback plans for high-risk failures involving third-party data or AI systems. A one-time assessment before signature cannot establish that a changing system will remain suitable.

How should I compare finalists and make a decision?

  1. Define the use case and risk: document the process, users, data, expected benefits, failure consequences, and the evidence your organization needs.
  2. Give each finalist the same scope: request comparable architecture, delivery plans, supplier disclosures, cost assumptions, and acceptance proposals.
  3. Validate claims: check references, inspect use-case-specific evidence, and involve technical and control owners in reviewing gaps.
  4. Score evidence separately from promises: distinguish verified controls and demonstrated delivery from items the partner has merely proposed or asserted.
  5. Negotiate before commitment: resolve material gaps in data use, supplier visibility, acceptance, auditability, incident response, and exit support in the statement of work and contract.
  6. Plan for operation after launch: assign owners for monitoring, change approval, incident handling, periodic supplier review, and fallback decisions.

Bring legal, privacy, security, procurement, and technical teams into decisions where requirements depend on your sector, geography, data, or system risk. The strongest proposal is not necessarily the one with the broadest claims; it is the one whose evidence, contractual commitments, and handover plan fit the specific system you intend to run.
