Electrocomponents plc acquired IESA, a UK-based provider of outsourced MRO procurement and inventory services, for announced consideration of £88 million on a cash-free and debt-free basis. The agreement was announced on 24 May 2018 and completed on 31 May. IESA was not a manufacturer of one particular product: it helped corporate customers source and manage maintenance, repair and operations (MRO) supplies and other indirect purchases. The business later became part of RS Group’s integrated-supply structure.
What did Electrocomponents acquire when it bought IESA?
Electrocomponents acquired IESA, legally identified in the transaction announcement as AGHOCO 1079 Limited and its subsidiaries, from Gresham Private Equity and other sellers. IESA was based in Warrington, UK, and initially continued as a separate business unit within Electrocomponents after the acquisition.
The acquisition was of a service business and its capabilities, not a single product line or a manufacturer. IESA worked with larger industrial and corporate customers that wanted to outsource some of the work involved in buying, processing and holding supplies used in their operations. Those services covered maintenance, repair and operations (MRO), indirect procurement, and inventory management.
In practical terms, an industrial organization may need many kinds of supplies to keep facilities and equipment running, but those items are not necessarily part of the finished goods it sells. Buying and managing these goods can involve numerous suppliers, purchase transactions, stock locations and internal processes. IESA’s role was to provide services around that procurement and inventory work, rather than to make the equipment or materials being purchased.

When was the acquisition announced and completed?
Electrocomponents announced the agreement on 24 May 2018 and completed the acquisition on 31 May 2018. The short interval between those dates marks the transaction’s announcement and completion; the later financial reporting figures describe a different matter: how the acquisition was accounted for and how IESA contributed to the group after closing.
What the £88 million figure means
The announced consideration was £88 million on a cash-free and debt-free basis, subject to customary adjustments. That is the transaction figure cited in the 2018 announcement. It should not be read as identical to the amounts reported under acquisition accounting in Electrocomponents’ annual report for the year ended 31 March 2019.
Why the annual-report figures differ
The 2019 annual report recorded £30.9 million of cash consideration and £29.5 million of goodwill, alongside the fair value of acquired assets and liabilities. These are accounting disclosures, not alternative versions of the announcement’s £88 million headline consideration. The figures answer different questions: the announcement stated the deal consideration on its specified basis, while the annual report set out acquisition-accounting amounts and the allocation of value recognized in the accounts.
| Disclosure | Figure | What it describes |
|---|---|---|
| 2018 transaction announcement | £88 million | Cash-free and debt-free consideration, subject to customary adjustments |
| Electrocomponents 2019 annual report | £30.9 million | Cash consideration recorded for acquisition accounting |
| Electrocomponents 2019 annual report | £29.5 million | Goodwill recorded in the acquisition accounting |
The two annual-report figures should not be added and presented as the transaction price, nor should either replace the £88 million announcement figure. The available disclosure also refers to the fair value of acquired assets and liabilities, which is part of the accounting picture.
What services did IESA provide in MRO procurement?
IESA’s services addressed several stages of indirect purchasing: sourcing, transaction processing, and inventory and stores management. Its offer combined people-led services such as consultancy and training with a proprietary cloud-enabled marketplace called MyMRO, which could be integrated into client systems.

Sourcing and transaction processing
Sourcing covers the work of identifying and coordinating supply options for a customer’s requirements. Transaction processing concerns the purchasing workflow itself, including the administration associated with placing and handling orders. By offering both, IESA could support customers beyond simply presenting a catalogue of goods: its service proposition included parts of the process by which indirect purchases were obtained and managed.
Inventory and stores management
IESA also managed inventory and stores for clients. In this context, stores refers to the stock and supply arrangements maintained to support a customer’s operations. Inventory management is relevant to MRO because a business needs access to the right supplies without treating every item as a standalone emergency purchase. IESA described its training and consultancy as ways to support continuous improvement and inventory optimisation. Those are the company’s stated aims; the announcement did not quantify customer savings, efficiency gains or other outcomes attributable to the service.
MyMRO and client-system integration
MyMRO was IESA’s proprietary, cloud-enabled procurement marketplace. The company described it as a platform integrated into client systems and intended to help customers consolidate indirect-procurement vendors and improve efficiency. That description identifies the platform’s intended role, but it does not establish a specific technical architecture, supported software list, or measured result for customers.
The platform therefore mattered as one element of a broader outsourced service. It provided a digital route for procurement activity, while IESA’s wider offer included sourcing, transaction processing, inventory and stores management, training and consultancy. The acquisition rationale encompassed both service capabilities and e-commerce or platform capabilities; it was not described as a purchase of standalone consumer software.
How did IESA generate revenue, and what did its 2018 figures show?
IESA’s reported income included both the value of inventory passing through its operations and fees for value-added services. Keeping those categories separate is essential: the gross-income figure was not all revenue from service fees.

| IESA figure for the year ended 30 March 2018 | Amount | How to interpret it |
|---|---|---|
| Total gross income | £232 million | Combined figure reported in Electrocomponents’ acquisition announcement |
| Inventory pass-through revenue | £207 million | Inventory-related amount included within total gross income |
| Value-added-services fee revenue | £25 million | Service-fee component of the reported gross income |
| Adjusted operating profit | £7 million | Adjusted operating-profit figure reported for the same year |
Electrocomponents’ 2018 announcement gives the figures for the year ended 30 March 2018. It reports £207 million of inventory pass-through revenue within £232 million in total gross income, alongside £25 million in value-added-services fee revenue. The distinction helps explain the business model: a substantial part of the gross-income figure represented inventory purchasing that passed through the service, while the fee figure related to the value-added services themselves.

The announcement also reported £7 million of adjusted operating profit for that year. These are company disclosures and should be treated as figures for IESA as presented in the transaction announcement, not as independent market statistics or a forecast of later results.
Why did IESA matter to Electrocomponents’ strategy?
Electrocomponents said the acquisition would expand its value-added-services offer and its e-commerce and platform capabilities. More specifically, IESA gave the group a way to serve larger corporate customers that outsourced MRO, indirect procurement and inventory management.
That strategic fit differed from simply adding another range of products for customers to buy. IESA brought an operating-services proposition: it could take on procurement processes and inventory responsibilities that customers might otherwise handle across multiple suppliers and internal teams. Its platform and client-system integration complemented that service layer by supporting digital procurement activity.
The deal also extended the type of customer relationship Electrocomponents could pursue. A product supplier can support customers by selling needed items; an outsourced-services provider can additionally manage parts of the process by which a business sources, orders and stores indirect supplies. The company positioned IESA as a way to broaden its reach into the latter kind of relationship.

IESA’s market exposure was concentrated in the UK. Electrocomponents’ announcement said over 90% of IESA revenue came from the UK, with the balance primarily in Europe. That provides a geographic qualification to the strategic rationale: the acquired service capability was principally UK-focused at the time, rather than a globally distributed business according to the announced revenue mix.
What happened to IESA after the acquisition?
IESA initially operated as a separate business unit within Electrocomponents. In an announcement dated 3 April 2019, Electrocomponents chief executive Lindsley Ruth said: “I am pleased to say that IESA has been smoothly and quickly integrated into the Group.” This describes the company’s view of the integration at that point; it does not mean the IESA name remained a separate current business indefinitely.
For the year ended 31 March 2019, Electrocomponents’ annual report said IESA contributed £27.3 million of revenue and £0.8 million of profit after tax to the group since acquisition. Because the purchase completed on 31 May 2018, these figures are contributions during the post-acquisition period covered by that reporting year, not a full-year standalone result for IESA.
Electrocomponents plc later became RS Group plc. RS Group’s company history records that IESA and Synovos were consolidated into RS Integrated Supply in 2022. RS Integrated Supply describes its current business as outsourced procurement and storeroom solutions for indirect materials. Accordingly, IESA is best understood today as an acquired predecessor business within RS Group’s later integrated-supply structure, rather than as a standalone current brand.
What should readers take away from the deal?
The IESA transaction expanded Electrocomponents beyond product distribution into a more extensive service relationship around corporate indirect procurement. The acquired business combined sourcing and transaction processing with inventory and stores management, supported by the MyMRO platform and related training and consultancy.

Frequently Asked Questions
What does MRO mean in an industrial procurement contract?
MRO means maintenance, repair and operations: the supplies and related purchasing needed to maintain facilities, equipment and day-to-day operations. It is distinct from materials that become part of a company’s finished product.
Was MyMRO a product customers could buy on its own?
The company described MyMRO as IESA’s proprietary marketplace integrated into client systems as part of its service offer. The available description does not establish it as a standalone software product sold independently of IESA’s procurement services.
Did the acquisition announcement report IESA’s revenue as a global market share?
No. The revenue figures in the announcement describe IESA’s own reported business for the year ended 30 March 2018. They are not estimates of the size of the MRO market or of IESA’s share of that market.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteWas IESA’s customer impact independently quantified?
The announcement described goals such as consolidating vendors, improving efficiency and optimizing inventory, but it did not provide measured customer savings or outcomes attributable to IESA. Its stated benefits should therefore be understood as the company’s service proposition, not independently established performance results.
