Possibly—but there is no worldwide rule. The destination country may require a foreign company to register its local branch or place of business, while income-tax and GST/VAT registration are separate questions. A branch filing does not automatically settle either tax obligation, and a company may have GST/VAT duties even if it does not have a locally registered branch.

Which registrations should you check?

Start with the country where the branch will operate. Terms such as “branch,” “establishment,” “fixed establishment” and “permanent establishment” have jurisdiction- and tax-specific meanings. Do not assume that a test used for company registration also determines income tax or GST/VAT.

  • Foreign-company or branch registration: Does the local corporate registrar require the overseas company to record a place of business or branch?
  • Income tax: Do the company’s activities create a taxable or permanent establishment, or another local tax obligation? Check the relevant tax registration rules separately from the corporate filing.
  • GST/VAT: Do the company’s supplies, imports, place of supply, local presence or applicable thresholds require indirect-tax registration? A permanent-establishment conclusion alone may not answer this question.

These are separate workstreams: satisfying one does not establish that another registration is either required or complete.

How to assess your planned operation

  1. Identify the destination and activity. Specify what the local operation will do, when it will begin and whether it will sell goods, provide services, import goods or serve customers for the overseas company.
  2. Map the operating footprint. Record any office or other fixed site, employees, agents, inventory and imports. Note whether an agent is independent or acts on the company’s instructions.
  3. Map the transactions. Identify who contracts with customers, where customers are located, what is supplied, where it is supplied and whether the local operation supplies the head office or a related establishment.
  4. Check each rule separately. Ask the corporate registrar about foreign-company filings, and check the tax authority’s income-tax and GST/VAT rules, including non-resident provisions, thresholds, representative requirements and deadlines.
  5. Confirm before opening or starting taxable activity. Use the relevant local registrar or tax authority, or a qualified adviser in that country, to verify how the rules apply to the actual facts.

The examples below illustrate why the result depends on the destination and activity. They are not a country-by-country compliance guide.

Jurisdiction Corporate establishment Tax and GST/VAT points
United Kingdom Companies House guidance says an overseas company must register if it sets up a UK place of business or usually carries on business from somewhere in the UK. Detailed guidance says that carrying on business alone does not automatically require registration: some physical presence, such as a place of business or branch, is needed. Filing is due within one month of opening a qualifying establishment. An independent agent or occasional use of a hotel during periodic visits does not by itself constitute a UK establishment. Corporation Tax registration is separate. HMRC says a non-UK-resident company trading through a UK dependent-agent permanent establishment must register within three months of becoming liable. For this rule, a dependent agent does business for the company and is not an agent of independent status. For VAT, HMRC gives a branch with staff and offices providing services as an example of a UK fixed establishment; UK property alone does not necessarily create one.
Cyprus The Department of Registrar of Companies and Intellectual Property describes a separate step to notify the Tax Department and obtain a tax number within 60 days after registration of the overseas company’s place of business. The registrar’s guidance describes a VAT trigger for a person residing in Cyprus whose taxable supplies exceed €15,600 over the preceding 12 consecutive months or are expected to exceed that amount in the next 30 days. This is the page’s stated test, not a universal threshold for overseas branches; verify the current law and applicability.
Singapore The cited GST guidance describes an “overseas entity” as one without a business establishment, fixed establishment or usual place of residence in Singapore; it is not a general branch-registration test. For an overseas entity importing goods for supply in Singapore, IRAS says GST registration is compulsory when taxable supplies in Singapore exceed S$1 million. This threshold applies to that described case. An overseas entity registering for GST must appoint a local section 33(1) agent for GST matters.
Canada The cited CRA interpretation addresses GST/HST permanent establishment, not a general foreign-company branch filing requirement. The CRA says a non-resident without a Canadian permanent establishment may still carry on business in Canada and be required to register for GST/HST. The interpretation dates to 2004, so check current statutory and administrative rules before relying on it.

Other jurisdiction-specific concepts

Latvia’s State Revenue Service describes a permanent establishment as arising, among other listed grounds, when a non-resident uses a specific site of operation in Latvia permanently or with the purpose of permanent use for business activity; it treats that establishment as a separate domestic taxpayer for tax purposes. The UAE Ministry of Economy and Tourism lists services for registration, amendment, renewal, freezing and cancellation of foreign-company branches. These examples show that local procedures and tax concepts vary; they do not establish what another country requires.

What to verify before relying on a threshold or deadline

The figures above come from different authorities and apply to different legal tests. Companies House guidance surfaced on 7 October 2026; HMRC’s dependent-agent Corporation Tax guidance was last updated on 11 July 2025. The cited Cyprus and Singapore guidance is undated and was surfaced on 7 October 2026. Check the current official rules for the relevant country, the company’s precise activities and the point at which a filing obligation begins. In particular, do not apply the Cyprus supply threshold to an overseas company without confirming that the stated test covers its circumstances.

The cited material illustrates selected rules in the UK, Cyprus, Singapore, Canada, Latvia and the UAE; it is not a complete survey. If your destination is elsewhere, you need that country’s own corporate-registration, income-tax and indirect-tax requirements.
