The two contemporaneous accounts therefore connect the leadership pitch and the merger idea. They do not establish that the board had settled on a complete transaction or that negotiations advanced to an agreement.

Why was the approach made during OpenAI’s leadership crisis?
OpenAI’s board removed Altman in November 2023, setting off a governance crisis involving the nonprofit board, senior management, employees, and outside investors. Axios reported on the wider turmoil, which helps explain the circumstances in which the board considered leadership alternatives; it does not independently establish the board’s private motives for contacting Amodei. Was there a deal, or did the companies come close to merging?
The reports establish an approach and a declined proposal, not a completed merger. They do not provide a public offer letter or term sheet, a price, an ownership split, a financing plan, a transaction structure, or a detailed plan for governing a combined company. Without those details, claims that the companies nearly merged or had agreed on terms go beyond what the reporting establishes.
