Delaware is a popular legal home for companies because it offers flexible entity laws, a specialized business court and a deep body of corporate decisions. Those advantages can matter for startups planning complex governance, equity or transactions—but Delaware is not automatically the best or cheapest choice. Founders should weigh those benefits against annual obligations and any registration requirements where the business actually operates.
Why do so many companies incorporate in Delaware?
The case for Delaware is primarily its legal infrastructure, not a promise of lower taxes or secrecy. The state points to flexible corporate and alternative-entity statutes, the Court of Chancery, accumulated written decisions, a specialized legal-services community and filing administration as reasons businesses choose it. These features can offer a familiar framework for governance and disputes, but they do not guarantee a particular outcome or make Delaware the right fit for every company. Delaware is an established jurisdiction, rather than a new destination whose popularity alone proves it is best. The state reported 334,461 new business entities in 2025—74,716 corporations and 235,393 LLCs—and 2,287,728 total entities at year end. Those figures cover entity formations generally, not startups specifically, and say nothing about the quality or prospects of any individual company. The Division of Corporations’ annual statistics provide the state’s counts.
In its 2024 annual report, the Division of Corporations said 81.4 percent of U.S.-based IPOs chose Delaware. That is a state-reported figure about IPOs, not the share of startups incorporated there. The report also recorded 289,810 total entity formations in 2024. Read the 2024 annual report.

Is Delaware right for your startup?
Start with the company you intend to build, rather than with Delaware’s popularity. The state offers multiple entity types, each with advantages and limitations; its guidance recommends competent advice on entity selection, governance and capital structure. Delaware’s corporation-formation guide explains the basic filing and notes that companies operating in other jurisdictions may face additional licensing or registration requirements there.
- Investors and transactions: Consider whether your anticipated financing, ownership structure or future transactions make Delaware’s corporate-law framework and specialized court useful.
- Entity, equity and governance: Decide what type of entity fits your objectives and how you expect to handle ownership and decision-making. Do not assume every startup should form a corporation.
- Ongoing costs: Account for state taxes and filings, a Delaware registered agent, and any additional registration obligations where you operate.
- Operating location: Separate the company’s state of formation from its headquarters and places of business. A Delaware entity may need to register in states where it conducts business.
- Access to counsel: Consider whether you can obtain experienced legal and tax advice for the entity and capital structure you choose.
What obligations come with a Delaware entity?
Annual corporation franchise tax
Corporations formed in Delaware must pay annual franchise tax. A business incorporated elsewhere that does business in Delaware must register there as well. The amount and filing details depend on the applicable rules and circumstances, so check the current requirements rather than relying on an old estimate. The Division of Revenue’s incorporating guidance is a starting point.

Delaware registered agent
Every Delaware entity must maintain a registered agent with a Delaware street address. The registered-agent information is public, and the state notes that businesses commonly use a third-party service. This requirement does not mean the founder or company must be based in Delaware. See the state’s Frequently Asked Questions for its residency and registered-agent guidance.
Formation filing and operations elsewhere
To form a Delaware corporation, the state’s guide calls for filing a Certificate of Incorporation. It includes the company name, registered agent’s name and address, and incorporator details; a stock corporation also specifies authorized shares and par value. Forming in Delaware does not by itself satisfy licensing or registration requirements in other jurisdictions where the company operates.

Is Delaware a tax haven or a way to keep a company secret?
No. Delaware’s corporate-law explainer says the state is not a tax haven and does not charter secret corporations exempt from public knowledge and inquiry. The registered-agent information is public. Delaware may be chosen for its legal framework, but founders should not treat incorporation there as a privacy shortcut or assume it eliminates tax obligations.
Do founders have to live in Delaware?
No. The Division of Corporations’ FAQ says residency is not required to form a Delaware entity. The company must still maintain a Delaware registered agent with a Delaware street address.

How quickly can I incorporate or receive a filing back?
Timing depends on the filing and the state’s current processing arrangements. Check the Division of Corporations’ FAQ for its current answer on turnaround and filing requests; do not assume a processing time quoted elsewhere is guaranteed or still current.
