A crypto custodian safeguards or administers digital assets for a customer; a stablecoin issuer creates tokens and supports their issuance and redemption. Choose custody when you need assets held or administered. Consider an issuer only if your organization plans to create a stablecoin. If you simply hold, transfer, or accept an existing stablecoin, you are not automatically its issuer—but you should understand both how your wallet or exchange holds it and what redemption rights the token offers.
This guide focuses on U.S. federal rules and New York guidance. The two roles are different, though one company may perform both. Check the legal entity behind each service, the applicable regulator, and the contract or token terms that define who owes you what.
What is the difference between a crypto custodian and a stablecoin issuer?

These are typical functions, not mutually exclusive business models. A custodian may safeguard an issuer’s reserve assets, and one organization may offer both services. Confirm the contractual parties and responsibilities rather than relying on a company’s brand or service label.
Which service do you need?
You need safekeeping or administration
Evaluate a custodian if you need a provider to hold or administer digital assets for you or your organization. Review who can control or move the assets, how your interest is recorded, whether assets are segregated, and whether a sub-custodian is involved. Ask for the custody agreement and disclosures that explain these arrangements.

You plan to create a payment stablecoin
Evaluate issuer obligations if your organization intends to create a payment stablecoin and make representations about its value or redemption. For a reserve-backed token, the reserve and redemption arrangement are central: the issuer must understand the legal framework that applies, the assets supporting outstanding tokens, and how eligible holders can redeem them.
You are using an existing stablecoin
Holding, transferring, or accepting a stablecoin does not by itself make you its issuer. Assess two separate matters: how your wallet, exchange, or other provider safeguards the tokens, and what the token’s issuer promises about reserves and redemption. Some arrangements limit direct minting or redemption to designated intermediaries, so a token holder should not assume they can redeem directly with the issuer.

What to check before choosing a custodian
- Legal entity and oversight: Identify the entity that owes the custody obligation, its regulator, and the charter or license relevant to the service. A brand may operate through multiple entities.
- Control and access: Establish who can authorize transactions, how access works, and what happens if the provider or a third party becomes unavailable.
- Asset treatment: Read the contract and disclosures on possession, segregation, records, and the customer’s interest in the assets.
- Sub-custody: Find out whether another provider holds or controls assets, and which entity remains responsible to you.
- Insolvency terms: Review how the agreement describes customer assets and the provider’s role if it becomes insolvent. Legal outcomes depend on the facts, contract, and governing law.
- Operational and third-party controls: Ask how the custodian manages risks arising from its own operations and outsourced services.
U.S. national banks and federal savings associations may conduct crypto custody subject to applicable law and safe-and-sound risk management, according to the Office of the Comptroller of the Currency (OCC). The OCC’s May 2025 release also addresses customer-directed buying and selling of assets held in custody and outsourcing bank-permissible crypto activities subject to third-party risk management. A July 2025 interagency bulletin addresses crypto-asset safekeeping. These materials establish that custody is subject to control and supervisory expectations; they do not endorse a particular provider. OCC release, May 2025; interagency bulletin, July 2025.
New York DFS’s September 30, 2025 guidance describes expectations for covered virtual currency entities to protect customer assets, maintain books and records, disclose material service terms, and avoid misleading representations. It says DFS expects a custodian taking possession solely for safekeeping not thereby to establish a debtor-creditor relationship. That is an agency expectation in its jurisdiction and supervisory context—not a universal guarantee of bankruptcy treatment. NYDFS custody guidance, September 30, 2025.

What to check before relying on a stablecoin issuer
- Issuer identity and framework: Determine which legal entity issues the token, where it operates, and what authorization or supervision applies.
- Redemption rights: Read who may redeem, how to request redemption, and the fees, timing, conditions, and intermediaries involved. Do not assume every holder can redeem directly at par.
- Reserve support: For a reserve-backed token, review the stated reserve assets, how reserves are held, and what disclosures or independent reporting are available.
- Token design: Establish how the token seeks to maintain value. A stablecoin label alone does not establish a universal guarantee; reserve-backed and algorithmic designs do not work the same way.
- Applicable jurisdiction: Separate federal requirements from state frameworks and confirm which rules apply to the issuer and token in question.
In its April 4, 2025 statement, the SEC Division of Corporation Finance described a defined class of USD-referenced tokens as “Covered Stablecoins.” The statement’s category is limited: it describes tokens designed for one-for-one redemption and backed by low-risk, readily liquid reserves sufficient to meet redemption value. The described reserve is segregated, not used for general business purposes, and used to pay redemptions. The statement also notes that some holders may redeem directly while other arrangements limit direct minting or redemption to designated intermediaries. It is a staff view about that specified class, not a blanket conclusion about every stablecoin or crypto asset. SEC Division of Corporation Finance, Statement on Stablecoins, April 4, 2025.
New York DFS’s June 8, 2022 guidance sets expectations for issuers within its supervisory framework: reserves with market value at least equal to the nominal value of outstanding units, written redemption policies providing timely redemption at par subject to disclosed ordinary fees and reasonable conditions, and segregation of reserve assets from the issuer’s proprietary assets. The guidance identifies eligible depository institutions or DFS-approved asset custodians for reserve custody. How current U.S. rules affect the distinction
The GENIUS Act, Public Law 119–27, became federal law on July 18, 2025. It establishes a federal framework for payment stablecoins, including permitted and foreign issuer concepts, reserve requirements, and requirements for implementing rules. The law distinguishes payment stablecoin issuance from custody, so the two services should not be conflated. Because the statute directs agency rulemaking, distinguish enacted statutory requirements from implementing regulations and supervisory practice when assessing a particular issuer. Check the statute and current agency rules for the latest status. GENIUS Act, Public Law 119–27.
The U.S. materials above do not establish legal obligations for every token, issuer, custody contract, or reader. New York guidance applies within its own framework; it should not be treated as a nationwide rule. The SEC statement is likewise limited to the covered class it describes.

A practical decision sequence
- Identify what you are doing. If you are safeguarding or administering customer assets, assess custody. If you are creating a payment stablecoin and supporting redemption or reserve representations, assess issuer obligations.
- Separate use from issuance. If you only hold, transfer, or accept an existing stablecoin, examine the custody arrangement for your tokens and the issuer’s redemption characteristics as separate questions.
- Name the responsible entities. Identify the legal entity providing custody, the entity issuing the token, the regulator or framework involved, and any intermediary between you and the issuer.
- Match documents to the service. For custody, examine the agreement, asset-control disclosures, sub-custody terms, and insolvency provisions. For issuance, examine token terms, redemption policy, reserve disclosures, and available attestations.
- Test the practical path. For custody, determine how you retain access and how assets are treated if the provider or a sub-custodian has a problem. For a stablecoin, verify whether you are eligible to redeem directly and what steps, fees, timing, and conditions apply.
