China cleared Microchip Technology’s acquisition of Standard Microsystems Corporation (SMSC) in late July 2012, removing the final regulatory obstacle reported at the time. Microchip expected the $939 million transaction to close on August 2, 2012.
Did China approve Microchip’s purchase of SMSC?
Yes. China’s Anti-Monopoly Bureau of the Ministry of Commerce (MOFCOM) cleared the acquisition in late July 2012, according to EE Times. Microchip president and CEO Steve Sanghi said the confirmation completed the transaction’s regulatory approvals.
How much was the acquisition worth, and when was it expected to close?
EE Times reported a transaction value of $939 million. Microchip expected the deal to close on August 2, 2012; that was the company’s stated expectation, not a closing date established by the contemporaneous clearance report.
Why did the China clearance matter?
China was one of four jurisdictions outside the United States where Microchip identified required antitrust filings. Its June 6, 2012 SEC-filed release listed these filings and said closing remained subject to regulatory clearances and shareholder approval:
