Not automatically. A tool call may be evidence of agreement, but whether it creates a contract depends on the terms, the parties’ words and conduct, and whether the action can legally be attributed to the person or organization said to be bound. U.S. law recognizes electronic records and certain actions by automated agents; that recognition does not eliminate ordinary contract requirements.
What makes a tool call a possible acceptance?
A contract is an agreement that creates enforceable obligations. Cornell Law School’s Legal Information Institute (LII) summarizes the usual formation elements as mutual assent—offer and acceptance—consideration, capacity, and legality. Contract law is primarily state common law supplemented by statutes, and state courts may interpret the elements differently.
So the useful question is not simply whether software sent a request. It is whether the interaction, viewed in context, objectively communicated acceptance of an offer on identifiable terms. A call may matter as evidence, but it does not by itself establish all the elements of a contract. The offer, system behavior, surrounding conduct, and governing law all matter.
Does electronic form prevent a contract?
No. Under the federal E-SIGN Act, a covered contract or record generally cannot be denied legal effect solely because it is electronic. The statute says that “a contract relating to such transaction may not be denied legal effect, validity, or enforceability solely because an electronic signature or electronic record was used in its formation.” That rule addresses form; it does not prove that a particular person agreed to particular terms.

E-SIGN has a defined scope and exceptions, and it preserves other legal requirements. The Uniform Law Commission describes the Uniform Electronic Transactions Act (UETA) as giving electronic records and signatures legal equivalence to paper writings and manual signatures. UETA is a uniform act enacted through state law, so the applicable state’s enactment and the transaction’s circumstances matter.
Can an automated agent bind a person or company?
Potentially. E-SIGN defines an “electronic agent” as an automated means used independently to initiate an action or respond to electronic records or performances, in whole or part, without contemporaneous review or action by an individual. It also provides that a covered contract or record is not ineffective solely because one or more electronic agents took part in its formation, creation, or delivery—provided the agent’s action is legally attributable to the person to be bound.

That attribution condition is important. The statute does not resolve every question about authority within a company or other relationship, or establish that every system action is attributable to its operator. Whether attribution applies depends on the facts and governing law. The sources discussed here do not establish a categorical rule—or a verified court ruling—for AI tool calls as a class.

Does software need to click or sign manually?
Not necessarily. E-SIGN defines an electronic signature as an electronic sound, symbol, or process attached to or logically associated with a contract or record and executed or adopted by a person with intent to sign. A manual signature is therefore not the only possible electronic process. But a software event should not be called a signature without evidence of the required association and intent.

Does sending an API request make acceptance effective immediately?
Not as a universal rule. The mailbox rule is a default timing rule for certain acceptances sent by a method and medium invited by an offer. Cornell LII’s overview says an offer may prescribe otherwise and that state treatment varies. It does not analyze API or AI tool calls, so applying the rule to one requires legal analysis rather than assuming that sending a request is equivalent to mailing an acceptance.
Does E-SIGN make every displayed term enforceable?
No. Electronic-form recognition does not itself establish that someone saw, understood, or assented to a term. The ordinary formation questions still matter, and E-SIGN preserves other rights and obligations while providing for exceptions. Cornell LII also notes that courts scrutinize standardized form agreements and may decline to enforce terms they find unconscionable or unfair.

Use the call as one part of the record, not as the whole answer. These questions organize the relevant facts without assuming that any single technical event decides the issue:

- Acceptance signal: Did the call or surrounding conduct objectively communicate assent in the manner the offer invited?
- Attribution and authority: Can the action be legally attributed to the person or organization said to be bound? Was the software or its operator authorized in the relevant relationship?
- Other formation elements: Was there consideration or a valid substitute, capacity, and a lawful purpose?
- Timing and receipt: Did the offer specify when acceptance would take effect, and does a relevant default rule apply?
- Applicable rules: Which state’s law governs? Does a federal rule, statutory exception, or separate formality affect this transaction?
- Evidence: What do the prompts, displayed terms, system logs, authorization settings, confirmations, and later performance show?
For a consequential transaction, preserve the relevant system records and terms and consult a lawyer in the governing jurisdiction. The legal answer may turn on details that a brief description of the tool call leaves out.
